CITY OF SAINT ANTHONY VILLAGE <br />RESOLUTION 25-052 <br />A RESOLUTION APPROVING A FRANCHISE EXTENSION AGREEMENT <br />THIS AGREEMENT, effective upon passage and acceptance, between the City of St. Anthony <br />Village, Minnesota (the "City"), and Comcast of Minnesota, Inc., a Minnesota <br />corporation ("Comcast"). <br />WHEREAS, the City granted Comcast a non-exclusive franchise fora ten -;year t$' rn to <br />construct, operate and maintain a cable television system through a cable <br />television franchise resolution, Resolution 15-028, accepted and agreed upon by <br />Comcast (the "Franchise'); and <br />WHEREAS, Comcast agreed to additional commitments in a letter to the City dated February <br />15, 2018 (the "Agreement"); and <br />WHEREAS, the City is a member of the North Suburban Communications Commission (the <br />"Commission") that manages and negotiates the Franchise; and <br />WHEREAS, Comcast has requested renewal of the Franchise; and <br />WHEREAS, Comcast and the Commission have agreed to extend the term of the Franchise and <br />Agreement for an additional five years, subject to approval of the City and written <br />acceptance of Comcast. <br />NOW THEREFORE BE IT RESOLVED that the City Council of City of Saint Anthony <br />Village, Minnesota approves the following: <br />Section 1. Section 2, paragraph 4 of the Franchise is hereby amended by extending the term <br />of such Franchise through and including June 30, 2032. The Parties do not waive <br />any rights under Section 626 of the Federal Cable Act and agree that Grantee shall <br />not be required to file an additional Section 626 Letter to preserve its rights to <br />formal proceedings under the Franchise. <br />Section 2. Except as specifically modified hereby, the Franchise shall remain in full force <br />and effect. <br />Section 3. Neither party waives any rights under law as a result of agreeing to this Franchise <br />extension. <br />Section 4. The Agreement shall remain effective so long as Comcast, including any <br />successors or assigns, continues to operate under the Franchise, including as it <br />
