D. Assist the city staff to secure additional funding needed to <br />implement all program elements <br />H. Term. This agreement shall be effective January 1, 2005 and continue <br />until the agreement is until terminated by either party upon a 30 -day <br />written notice thereof. <br />III. Compensation. The fees for the Consultant services shall be $12,500 for <br />2005 due payable following the receipt of an invoice. Pees will be <br />negotiated annually thereafter. <br />IV. Indemnification. The parties shall indemnify and hold harmless each <br />other and their officials, agents, and employees from any loss, claim, <br />liability and expense (including reasonable attorney's fees and expenses of <br />litigation) arising out of any action of the respective parties in the <br />performance of the service of this contract. <br />V. Assigmnent. This agreement shall not be assigned, sublet, or transferred <br />without the written consent of the City or Consultant. <br />VI. Conflict of Interest.
