MISSISSIPPI WATERSHED MANAGEMENT ORGANIZATION <br />MEMORANDUM OF UNDERSTANDING <br />This Memorandum of Understanding is made by the parties as of the date stated below. It is . <br />not a contract but a good faith statement of intent by the parties. <br />Project Name: Adaptive Management Program (the "Project") <br />Grantee: City of Saint Anthony Village <br />3301 Silver Lake Road <br />St. Anthony, MN 55418 <br />Primary Contact: Mr Michael Morrison, City Manager <br />Telephone No.: 612-782-3311 <br />Facsimile No.: 612-782-3302 <br />Email Address: mmornson@ci.saint-anthony.mn.us <br />MWMO and City of Saint Anthony Village (hereinafter referred to as the "Grantee") staff <br />have discussed the Adaptive Management Program Proposal dated November 14, 2006 <br />(hereinafter referred to as the "Project"). The MWMO Board at its November 14, 2006 <br />approved expenditures for the Project as described in Attachment A, attached to and made a <br />part of this Memorandum. <br />2, The Project details are not at this time sufficient for the MWMO to make a final agreement <br />with the Grantee. Nevertheless, the MWMO has encumbered the amount of $70,700 to <br />fund or partially fund the purchase of equipment and provide monitoring for the Project <br />during the year FY2007. <br />The MWMO will give full and fair consideration to the information provided by Grantee. If <br />the. information developed by the MWMO and Grantee demonstrates that the Project is <br />consistent with the goals of the M1YVM0, the MWMO will provide funds for the Project or <br />parts thereof the Grantee and the MWMO can agree upon and execute a separate fund <br />agreement. If the MWMO determines that the information is insufficient or that the Project <br />is not consistent with Proposal, the MWMO will notify Grantee of such determination and <br />the reasons therefor, and Grantee will be given an opportunity to supplement or amend the <br />information provided. <br />4. By January 31, 2007, the MWMO and Grantee staff will finalize the Project in sufficient <br />detail for the MWMO to determine, in its sole discretion, whether the Project is in the best <br />interest of the public and is consistent with the Proposal, the purposes of the MWMO as set <br />forth in the Joint and Cooperative Agreement by which the MWMO was created, the <br />MWMO's surface water management plan, the MWMO's capital improvement program, <br />and all guidelines for the MWMO's grant programs. <br />CLL -242874v2 <br />MM160-1 <br />30 <br />
