Medical Direction Agreement — Allina the Law Enforcement Agencies <br />Page 5 of 8 <br />4.2 Work Standards. Physicians shall control the manner, method and means of performing <br />medical direction and supervision to the Law Enforcement Agencies. The medical direction <br />shall at all times be performed in accordance with customary professional standards. <br />4.3 Withholdint and Taxes. the Law Enforcement Agencies shall not be liable for any <br />withholding or payment, either for taxes, benefits, or other items on behalf of Allina. <br />4.4 Professional Liability Insurance. Allina shall procure and maintain (a) medical <br />malpractice or professional liability insurance, or both medical malpractice and professional <br />liability insurance, with coverage limits of $1,500,000 per occurrence and $3,000,000 in the <br />aggregate, and (b) comprehensive general or umbrella liability insurance, or both comprehensive <br />general and umbrella liability insurance, with coverage limits of $5,000,000 in the aggregate. <br />Allina may provide such insurance through a program of self-insurance. Allina's medical <br />malpractice insurance shall be either occurrence or claims made with an extended period <br />reporting option. Allina shall provide the Law Enforcement Agencies with a certificate of <br />insurance evidencing the required coverage. <br />ARTICLE V <br />Indemnification <br />Allina agrees to indemnify and hold the Law Enforcement Agencies, their member <br />cities' officers, contractors, employees and agents harmless from any liability claims, damages, <br />costs, judgments or expenses resulting directly or indirectly from any act or commission or <br />omission upon the part of Allina, its agents, employees or contractors, specifically including the <br />Physicians appointed by Allina, in the performance of services provided by this Agreement and <br />against all loss by reason of failure of Allina to fully perform in any respect, all obligations under <br />this Agreement. <br />Each of the Law Enforcement Agencies agrees to indemnify and hold Allina, its agents, <br />employees or contractors harmless from any liability, claims, damages, costs, judgments, or <br />expenses resulting directly or indirectly from any act or commission or omission on the part of <br />such law enforcement agency, its agents, employees, or contractors in the performance of <br />services provided by this Agreement and against all loss by reason of failure of such law <br />enforcement agency to fully perform in any respect, its obligations under this Agreement. The <br />duty of each law enforcement agency to indemnify and hold Allina and its Physicians harmless is <br />subject to the limitations, defenses and immunities in Minn. Stat. Chapter 466 which shall apply <br />and which are incorporated herein. The limits of liability for some or all of the Law <br />Enforcement Agencies may not be added together to determine the maximum amount of liability <br />for any party. <br />ARTICLE VI <br />Insurance <br />21 <br />
