17 <br />SHARED SERVICES AGREEMENT <br />THIS SIiARE,D SERVICES AGREEMENT (this "Agreement"), dated , by and <br />between the City of Saint Anthony Village, Minnesota, a Minnesota statutory city ("Saint <br />Anthony"), and Mississippi Watershed Management Organization, a watershed <br />management organization ("MWMO") (collectively, the "Parties"). <br />RECITALS <br />WHEREAS, Minnesota Statutes section 471.59 authorizes governmental units to <br />enter into intergovernmental agreements; <br />WHEREAS, Saint Anthony and Mississippi Watershed Management <br />Organization are both governmental units as defined under Minnesota Statutes section <br />471.59; <br />WHEREAS, Mississippi Watershed Management Organization desires to <br />contract with Saint Anthony for the provision of a certain set of financial services as <br />described in Exhibit A attached hereto (the "Services"); and <br />WHEREAS, Saint Anthony desires to assist Mississippi Watershed Management <br />Organization and has the ability to provide the Services to the extent and on the terms <br />provided within this Agreement. <br />NOW, THEREFORE, in consideration of the mutual covenants and promises <br />herein contained, the Parties agree as follows: <br />Scope of Services. <br />Saint Anthony will provide a certain set of financial services as described in <br />Exhibit A attached hereto (the "Services"). Mississippi Watershed Management <br />Organization agrees to provide to Saint Anthony the information necessary to perform the <br />Services well enough in advance to enable Saint Anthony to carry out its tasks during <br />normal working hours. Saint Anthony shall not be liable for timeliness, inaccuracy, <br />and/or incomplete information provided by Mississippi Watershed Management <br />Organization and the consequences resulting therefrom. Mississippi Watershed <br />Management Organization agrees to sign any releases necessary for Saint Anthony to <br />perform the Services. <br />2. Fees. <br />In consideration of the Services provided by Saint Anthony to Mississippi <br />Watershed Management Organization pursuant to this Agreement, Mississippi Watershed <br />Management Organization shall pay Saint Anthony fees as set forth in Exhibit B <br />attached hereto. <br />3. Designated Representative. <br />
