21 <br />17. Survival. Except for (i) any representations and indemnity obligations of Buyer and <br />Seller which under this Agreement survive Closing for the period so specified therein, (ii) <br />any post -closing obligations of Buyer and Seller specified in this Agreement and (iii) as <br />otherwise specifically provided in this Agreement, none of the agreements, warranties <br />and representations contained herein shall survive Closing. <br />18. Covenants of Seller. From the date of this Agreement until the Closing Date: <br />18.1. Seller shall not, without Buyer's prior written consent, (i) petition for a change in <br />the existing zoning (if any) for the Property, (ii) plat or restrict the Property, or <br />(iii) excavate the Property (except to the extent required to perform routine <br />maintenance or repairs). <br />18.2. Seller shall continue in effect all insurance coverage relative to the Property. <br />18.3. Seller shall not, without the prior written consent of Buyer, enter into any <br />agreements or contracts relating to the Property which could bind Buyer or the <br />Property after the Closing. <br />18.4. Seller shall cooperate and join with Buyer as reasonably necessary in any <br />applications for governmental approvals, but without expense to Seller. The <br />parties agree that all zoning or governmental approvals shall be conditioned on, <br />and not be effective until after, the sale of the Property to Buyer, unless otherwise <br />agreed to by Seller. <br />18.5. To the extent necessary, Seller shall cooperate in all reasonable respects with <br />Buyer in obtaining approvals from any governmental or quasi -governmental <br />entity, and shall execute such applications, permits and other documents as may <br />be reasonably required in connection therewith, all at Buyer's sole cost and <br />expense. <br />19. Notices. Any notice required or permitted hereunder shall be given by personal delivery <br />upon an authorized representative of a party hereto; or if mailed in a sealed wrapper by <br />United States registered or certified mail, return receipt requested, postage prepaid; or if <br />transmitted by facsimile copy followed by mailed notice; or if deposited cost paid with a <br />nationally recognized, reputable overnight courier, properly addressed as follows: <br />If to Buyer: St. Anthony Leased Housing Associates II, Limited <br />Partnership <br />2905 Northwest Boulevard, Suite 150 <br />Plymouth, MN 55441 <br />Attention: Paul R.
