33 <br />CITY OF ST. ANTHONY VILLAGE <br />STATE OF MINNESOTA <br />RESOLUTION 13-076 <br />RESOLUTION AU'rHORIZING THE SALE, AND ISSUANCE <br />OF MULTIFAMILY HOUSING REVENUE BONDS <br />(LANDINGS AT SILVER LAKE VILLAGE II), SERIES 2013; <br />ESTABLISHING 'THE SECURITY TIIEREFOR AND <br />AUTHORIZING THE EXECUTION OF DOCUMENTS <br />BE IT RESOLVED by the City Council of the City of St. Anthony, Minnesota (the <br />"City"), as follows: <br />Section 1. Recitals. <br />1.01. The City has by resolution adopted May 28, 2013, given preliminary approval to <br />the issuance of its Multifamily Housing Revenue Bonds (Landings at Silver Lake Village II) in a <br />principal amount not to exceed $18,750,000 (the "Bonds") for the purpose of making a loan to <br />St. Anthony, Minnesota Leased Housing Associates II, Limited Partnership, a Minnesota limited <br />partnership (the "Borrower"). Following such preliminary approval, the City applied for and <br />received an allocation of bonding authority pursuant to Minnesota Statutes, Chapter 474A in the <br />amount of $16,950,000. <br />1.02. Draft forms of the following documents relating to the Bonds have been prepared <br />and submitted to this Council and are hereby directed to be filed with the City Manager: <br />(a) a Loan Agreement (the "Loan Agreement"), respecting a loan of the <br />proceeds of the Bonds, proposed to be entered into by the City and the Borrower; <br />(b) an Indenture of Trust (the "Indenture") proposed to be entered into with <br />respect to the Bonds by the City and U.S. Bank National Association, as trustee (the <br />"Trustee"); <br />(c) a Bond Purchase Agreement (the "Bond Purchase Agreement"), proposed <br />to be entered into with respect to the Bonds by the City, the Borrower and Dougherty & <br />Company LLC (the "Underwriter"); <br />(d) a Regulatory Agreement between the City, the Borrower and the Trustee; <br />(e) an Official Statement or other offering document (the "Official <br />Statement') to be used in connection with the offer and sale of the Bonds by the <br />Underwriter. <br />-2- <br />
