CALL TO ORDER/ROLL CALL. 5 The meeting was called to order at 7:00 P.M. followed by the Pledge of Allegiance led by Mayor 6 Ranallo. 7 II. ROLL CALL. 8 Councilmembers Present: Ranallo, Enrooth, and Fleming. 9 Councilmembers Absent: Marks and Wagner. 10 Also Present: Michael Mornson, City Manager. 11 - III. APPROVAL OF OCTOBER 25, 1994 COUNCIL AGENDA. 12 Motion by Fleming, second by Enrooth to approve the October 25, 1994 Council Agenda as 13 presented. 14 Motion carried unanimously. 15 IV. APPROVAL OF OCTOBER 11, 1994 COUNCIL MINUTES. 16 Motion by Fleming, second by Enrooth to approve the October 11, 1994 Council minutes with is the following changes: 18 Page 2, Line 25 replace "Steering Committee" with"Nativity Youth/Community Service 19 Steering Committee". 20 Motion carried unanimously. 21 V. City Council Regular Meeting Minutes October 25, 1994 I Page 2 1 VI. PRESENTATION OF CLAIMS. 2 Motion by Fleming, second by Enrooth to approve the following claims: 3 A. Rieke Carroll Muller Associates. Inc. in the amount of$10,893.01 for professional 4 services rendered from August 28, 1994 to October 1, 1994. 5 B. 4 pages of Verified Claims as presented by the Finance Director. 6 Motion carried unanimously. 7 VII. REPORTS. 8 A. Mayor. 9 Mayor Ranallo reported of his attendance at a meeting last Tuesday night with 7 10- representatives of CUB Foods and 2 representatives of Knox Lumber. Larry Hamer and 11 Mike Morrison were also in attendance. The objective of the meeting was to discuss the 12 preliminary plans for these projects. He then attended the Planning Commission meeting 13 that followed. W4 Ranallo expressed his concern that the St. Anthony Bulletin is not giving the issue of the 5 redevelopment of Apache Plaza enough coverage. He stated that it is very important for 16 the residents of St. Anthony to be aware of the upcoming Planning Commission meeting 17 scheduled for November 15th, so they may have an opportunity to attend and express 18 their views. 19 He reported of a meeting with the assessors regarding the appraisal of homes in St. 20 Anthony. He commended the good job the assessors have done this year. They have 21 reached many homes in the area. 22 He reported his attendance at a meeting between himself, the City Manager,Police Chief 23 Engstrom and the City Administrator of the City of Lauderdale. The meeting was in 24 regard to the last three months of police work in that area. There is an upcoming meeting 25 scheduled with the Mayors of Falcon Heights and Lauderdale to do the same. 26 He also reported of his attendance at a meeting with the new Chairpersons of the 50th 27 Anniversary Committee. The first event of the celebration will be held in January of 28 1995. It will be held on the Feast of St. Anthony Day. The churches will get together 29 and have a prayer service for the City of St. Anthony. They have received a commitment 30 from 3 churches at this point. The next event will be a dance at Apache Plaza. The 31 committee is looking for volunteers to help with these events. The St. Anthony Bulletin will be involved by publishing historical articles about the City throughout the year. City Council Regular Meeting Minutes October 25, 1994 • Page 3 1 He reported that he has requested a meeting between himself,the Sport Boosters, 2 Chamber of Commerce and the Lions Club, to get input on the implementation of a gym 3 in the proposed new Community Center. He stated that the figures in Exhibit B at the 4 October 15th meeting were not final figures, but a concept plan from which to obtain 5 estimated square footage figures. The City will be asking for contributions from the 6 aforementioned organizations. Thus far, the response from these organizations has been 7 positive. 8 9 B. Council. 10 Fleming announced that the next Nativity Youth/Community Service Steering Committee 11 meeting will be held on November 3 from 7:30 until 9:00 A.M. 12 Enrooth reported of his meeting with Mr. Brown of the Library Board. 13 C. Ci, Manager. 14 City Manager Mornson announced that.there would be a work session for City Council 15 on November 1 st. He then suggested that the November 8th City Council meeting be 0 cancelled as it is difficult to schedule a meeting on election day. 17 Motion by Fleming,second by Enrooth to cancel Regular City Council Meeting of 18 November 8, 1994. 19 Motion carried unanimously. 20 Mornson announced that the Planning Commission meeting of November 15th would be 21 starting at 6:00 P.M.,rather than 7:00 P.M. due to it's expected duration. Mornson stated 22 that following the City Council meeting of November 22nd,there will be an HRA 23 meeting. He suggested that this may be a lengthy meeting and offered that this meeting 24 begin at 6:00 P.M., rather that the usual 7:00 P.M. 25 Motion by Fleming, second.by Enrooth to begin the Regular City Council Meeting on 26 November 22nd at 6:00 P.M. 27 Motion carried unanimously. 28 Mornson reported that the City received all necessary applications and fees from both 29 CUB Foods and Knox today. Two 50 page development agreements were also submitted 30 to the City Attorney. Mornson submitted a termination of lease for the City Rental Property,2900 Kenzie 32 Terrace N.E., dba Phil Lamere Barber Stylist. There is a tenant who would like to take City Council Regular Meeting Minutes October 25, 1994 • Page 4 1 over the lease as of November 1 st. She is intending to continue to use the space as a 2 barber shop and has asked that the lease be extended. 3 Motion by Ranallo, second by Enrooth to allow the City Manager to negotiate a new 4 lease with proposed new tenant in City Rental Property, 2900 Kenzie Terrace,N.E., 5 Barber Shop, subject to approval from City Council. 6 Motion carried unanimously. 7 Mornson reported that the figures for the liquor store for the 3rd quarter are better than 8 last year's third quarter. 9 Mornson stated that there is a meeting scheduled between himself, Mayor Ranallo, ISD 10 #282 Superintendent and the Chairman of the School Board,to discuss the proposed new 11 Community Center. 12 VIII. MISCELLANEOUS. 13 Rosemary Franzese, 3308 36th Avenue N.E. was in attendance at the meeting and 14 introduced Legislative Candidate Paul Kuettel. 05 Paul Kuettel welcomed the opportunity to introduce himself to the Council. He stated 16 that he is very impressed with the City of St. Anthony and looks forward to working with 17 them in the future. 18 In response to Franzese's questions, Ranallo stated that there is not a written policy 19 regarding rental of rooms in the current Community Center at the present time. It will be 20 discussed at the next work session. 21 IX. PUBLIC HEARING -None. 22 X. NEW BUSINESS. 23 A. Resolution 94-052 re: Plans Specifications and Ordering Advertisement for Bids for the 24 1995 Street Improvement Project. 25 Motion by Enrooth, second by Fleming to approve Resolution 94-052,Approving plans and 26 specifications and ordering advertisement for bids. 27 Motion carried unanimously. 28 B. Resolution 94-054 re: Road Maintenance Agreement with Hennepin County. Motion by Fleming, second by Enrooth to approve Resolution 94-054,Authorizing the Mayor City Council Regular Meeting Minutes October 25, 1994 Page 5 1 and City Manager to execute the agreement between Hennepin County and the City of St. 2 Anthony for road maintenance services. 3 Motion carried unanimously. 4 XI. UNFINISHED BUSINESS. 5 A. Ordinance 1994-003 re: Ground Signs 3rd reading, 6 Motion by Enrooth, second by Ranallo to approve the third reading and adopt Ordinance 1994- 7 003, relating to signs, amending Sections 1400.4 and 1400.10. g Motion carried unanimously. 9 B. Ordinance 1994-006. re: Fences on comer lots ( 3 reading). 10 Motion by Fleming, second by Enrooth to approve the third reading and adopt Ordinance 1994- 11 006, relating to corner lots, amending Section 1605.01 by adding Subd. 80 and Subd. 82; and 12 relating to fences, amending Section 1320.03, Subd. 3. 13 Motion carried unanimously. 04 XII. As an integral part of retooling it's plant,Happy's Potato Chip Co. proposes to erect six bulk storage tanks for raw materials on the southwest side of it's plant on Chandler Dri\'e. Further we propose to raise the roof of part of the building to accommodate transfer equipment for the aforementioned storage tanks. The proposed storage tanks will be epoxy lined, skirted carbon steel tanks. We will need 6 tanks, all 12 feet in diameter. Five tanks will have a total height of 24 feet, while one tank will be 30 feet tall. The raw materials will be freighted in on semi trailers. For com these will be hopper bottom type,that is unloaded onto a conveyor and elevated into the tank. Cornmeal and popcorn will come in pneumatic type • tankers that will blow the product straight into the tank with no contamination of the environment. The tanks will be unloaded with a pneumatic conveying system. The system will be enclosed, and all ventilation to the atmosphere will be filtered. Pneumatic conveying systems are very clean, and we do not expect any contamination of the plant or the environment. The proposed building addition will be to elevate a 21 feet 6 inches by 16 feet section of the existing roof from it's current height to 32 feet above grade level. This is necessitated to accommodate parts of the pneumatic transfer system. This addition also provides an easy access to the current roof and to the top of the storage tanks for maintenance purposes. We hope the planning commission will recommend this proposal, so the necessary permits can be obtained. They are proposing to demolish their present home to rebuild a home which will accommodate a wheel chair. The new home is proposed to have a lot coverage of 48%. The house and garage will cover 38% and the with the driveway, total lot coverage will be 48%. In addition, the new home will meet all setbacks required by ordinance. The Schroeder's are requesting a total lot coverage of 48%. All other building codes would be met. 1w.% Variances. Subd. 1. A22lication. An owner of property with an existing structure which, does not comply with the Zoning Code, or of property on which such a structure is proposed to be constructed, may apply for a variance upon payment of the fee specified in Subsection 615.07. Subd. 2. Council Approval. Variances to the dimensional provisions of the Zoning Code may be granted by the Council upon recommendation of the Board of Adjustments and Appeals, after a hearing is held by the Board of Adjustments and Appeals. Variances will not be granted with respect to uses. A majority affirmative vote of Council members present is required to approve a variance. Subd. 3. Evidence., No variance will be granted unless the evidence presented discloses all,of-the following facts: (a) The subject matter of the application is within the scope of this Subsection. (b) Strict enforcement would cause undue hardship because: (1) The property cannot be put to a reasonable use without the variance. (2) The circumstances causing the hardship were not created by the owner. (3) The variance, if granted, will not alter the essential character of the locality. (4) Economic considerations alone are not the basis of the hardship. (c) The circumstances causing the hardship are unique to the individual property under consideration. (d) The granting of the variance is in keeping with the spirit and intent of the Zoning Code. Subd. 4. Planning Commission Recommendation. The Planning Commission will consider the application at a public hearing at any regular or special meeting. Notice for the hearing will be given in accordance with Section 115. The Planning. Commission, sitting as the Board of Adjustments and Appeals, will make a recommendation to the Council as follows: (a) Recommend that the variance application be granted because the evidence considered at the meeting supports each of the findings required'under Subdivision 3 of this Subsection. ., 1647 (b) Recommend that the variance application be denied because the applicant did not present sufficient evidence for the Planning Commission to make all of the findings required under Subdivision 3 of this Subsection. Subd. 5. council Consideration. After the minutes of the Planning Commission meeting have been forwarded to the Council, the Council will consider the application and recommendation of the Planning Commission. Within 60 days after its first consideration, the Council will by motion grant or deny the application according to the provisions of Subdivision 3 of this Subsection and will make a record in the minutes stating its conclusions with respect to each of the findings required under Subdivision 3 of this Subsection. Subd. 6. ExRiration of Variance. According to the Uniform Building Code, if the structure is placed on the lot away from the Apache property, CUB would need 60 feet on all sides from any structure. Subd. 4. Permit Issuance. (1) Each application must be reviewed for compliance by the City Manager or the Manager's designee. (2) If the proposed sign complies with this Chapter, a permit will be issued within 30 days after the application date. (3) A sign permit will become null and void if the work for which the permit was issued has not been completed within one year of its issuance, or renewed. Application for renewal will consist of the same procedures as the initial application for permit, including payment of any fee. Subd. 5. ShopRing Centers/Strip Mall Comprehensive Sign Plan. A comprehensive plan must be provided for the whole of a shopping center development. This plan includes the location, size, height, color, lighting and orientation of all signs, and must be submitted for preliminary plan approval. When a comprehensive plan is presented, exceptions to the regulations of this Chapter may be permitted if the sign areas and densities for the plan as a whole are in conformity with the intent of this Chapter and if such exception results in an improved relationship between the various parts of the plan as determined by the Council. Comprehensive Sign Plans will be reviewed by the City Planning Commission who will forward a recommendation to the Council on the appropriateness of the proposed plan. 1400.10 Ground Signs. Are permitted in all districts, subject to the following: Subd. 1. Permit Application. A permit is applied for in accordance with Subsection 1400.09. Subd. 2. Height: (1) The sign does not exceed 5 feet in height, except as permitted under Subd. 4 of this Subsection. (2) The berming of a sign location will be considered in the height of a sign if the berm is more than 3 feet in height. t 14-11 1400.12 District Schedules. Signs shall be permitted as set forth in the folloN---ing provisions: Subd. 1. Residential. The following signs are permitted in a residential district. (1) R-1. R-1A & R-2. One identification sign per dwelling unit per right-of-way frontage. Additionally one address sign on the curb in front of each dwelling unit or on a freestanding mailbox. (2) R-3 & R-4. Each multiple divelling complex (nine or more units) will be allowed one freestanding sign identifying the complex. The sign may not exceed 50 square feet in sign surface area. The sign structure including the sign surface area, may not exceed 150 square feet in area. The highest point of the sign may not be more than 10 feet above ground level. (3) Each church located within the corporate limits of this City, subject to approval of size, location and type by the City Manager, may erect and maintain a maximum of three directional signs on municipal rights-of-way. No church may erect or maintain more than one such sign at any intersection. Subd. 2. Commercial and Limited Business. The following signs are allowed in a "B" Service Office Limited Business District and "C" Commercial Districts and may be erected after obtaining a permit and paying a required license fee. (1) One identification sign per right-of-way-frontage per commercial establishment. The sign may.have no more than 2 square feet of surface area per lineal foot of business frontage, up to a maximum of 150 square feet. The total area of all wall signs affixed to a wall may not exceed 15% of the total area of that wall. (2) A gasoline station will be allowed, in addition to all other authorized signs, one pylon sign to identify the gasoline brand. This sign may not exceed 30 feet in height, and must have a minimum clearance of 8 feet from the basic grade level to the lowest element of the sign surface and may not exceed 150 square feet in sign surface-area. Such an establishment will be allowed one price sign for each frontage having a curb cut. Such freestanding sign will be in addition to those signs allowed in paragraph 1 of this Subdivision. 14-13 i (3) Upon submittal of a comprehensive sign plan, and subject to approval of the Council, a shopping center over 75,000 feet may have major anchor/tenant ground sign(s) depending upon the number of major anchors. The total sign area shall not exceed 300 square feet. _ (4) Upon submittal of a comprehensive sign plan, and subject to approval of the Council, a shopping center over 75,000 square feet may be allowed additional wall signs for commercial establishments that need additional exposure from different vantage points. The number of additional wall signs N-611 not exceed one half the total number of commercial establishments and will be allowed a surface sign area of one-half of that which it is allowed. (5) A commercial establishment located within a shopping center, having no outside frontage, will be allowed a surface sign area of one-half of that which it would be allowed if it had outside frontage. (6) Commercial establishments will be allowed, in addition to all other authorized signs, one historical identification symbol, not exceeding 5 square feet in sign surface area. (7) Subject to approval of the Council, and as a conditional use, a movie theater may have a marquee. The total sign area for a marquee sign shall not exceed 200 square feet. (8) Subject to approval of the Council, and submittal of a comprehensive sign plan, a strip mall under 75,000 square feet and a shopping center over 75,000 square feet may be allowed a ground sign with a surface sign area not to exceed 150 square feet. (9) Upon submittal of a comprehensive sign plan, and subject to approval of the Council, a major anchor/tenant over 50,000 square feet in a-shopping center over 75,000 square feet may have a wall sign that is up to four times the sign surface area of which is allowed for other commercial establishments. A current commitment for title insurance showing the current ownership of the property. In this regard, I note that although all of our documents use the name "Apache Plaza Ltd.", the survey shows the owner as "Apache Plaza Investment Company". 3. _ The proposed Reciprocal Easement Agreement that will create the various reciprocal easements among the separately owned lots for purposes of parking, access, drainage and utilities, and that will contain the party wall provisions between the center and the Cub and Knox buildings. 4. As we discussed, the City should determine whether the City will require any new easements to be dedicated in the plat for drainage, utilities, or other purposes. I think it would be beneficial for everyone if all existing easements on this property are rededicated in the plat so that the plat is a convenient reference for the locations of all easements. 6. As we discussed, you should make certain that each lot on its own meets the parking requirements under the zoning ordinance. 7. The ordinances provide that a plat must be recorded within 30 days after its approval. I would assume the plat probably would not be recorded until the closing with Supervalu. If that is likely to occur more than 30 days after the plat is approved, we may want to grant a variance to that provision to give them a longer period in which to record it. 8. The City is entitled to be paid all of its expenses in connection with the plat, including engineering and attorney's fees, and any other costs the City may incur. As indicated in my letter of November 14, 1994 to you regarding the environmental assessment worksheet, the approval by the City Council would have to state that the plat would not be signed by the City, and that the project would not be deemed to have final approval, until the requirements of Minnesota Statutes, Section 116D.04, Subd. 2(b) have been met. NON-LIABILITY OF LANDLORD. ARTICLE 7. INSPECTION AND REPAIRS. The Landlord or its employees or agents shall have the right to enter the premises at all reasonable times, for the purpose of inspection, cleaning, repairing, altering or improving the same or said building, but nothing contained in this lease shall be construed so as to impose any obligation on the Landlord to make any repairs, alterations or improvements. ARTICLE 8. ALTERATIONS. Tenant will not make any alteration, additions or improvements in or to the leased premises or add, disturb or in any way change any plumbing or wiring therein without the prior written consent of the Landlord as to the character of the alterations, additions, or improvements to be made, the manner of doing the work, and the persons to do the work. In the event that such prior written consent is granted, Tenant agrees to make • such alterations, additions or improvements at its own sole expense, and warrants to Landlord that all such alterations, additions, or improvements shall be in strict compliance with all relevant laws, ordinances, governmental regulations and insurance requirements. The Tenant shall be responsible for the purchase and installation of any additional air conditioning units, other than those already provided, the cost of changing the combination on the vault, the cost of purchasing and installing any new locks, any improvements to the landscaping of the building and the installation of carpeting and drapes, if desired. ARTICLE 9. COMMON AREAS. Tenant agrees that the use of all halls, passageways and toilet rooms in said building, by the Tenant or Tenant's servants, employees, guests and invitees, shall be subject to such rules and regulations as may from time to time be made by Landlord for the safety, comfort and convenience of the owners, occupants and tenants of said building; and Tenant agrees that no awnings or shades shall be used upon the leased premises except such as may be'approved or furnished by Landlord. Landlord agrees to provide parking for Tenant, its employees and invitees in common with other tenants, their employees and invitees. Landlord may, at its option, set aside a parking area to be • used by Tenant and its employees, which area shall thereafter be used by Tenant and its employees to the exclusion of other areas. Tenant agrees to use and occupy the leased premises throughout the entire term hereof for the purpose or purposes herein specified, and for no other purposes, in the manner and to substantially the extent now intended, and not to assign this Lease or sublet said premises, or any part thereof, whether by voluntary act, operation of law, or otherwise, without obtaining the prior written consent of Landlord in each instance; Tenant shall seek such written consent by a written request therefor, setting forth such information as Landlord may desire. Landlord agrees not to withhold consent unreasonably. In the event that a bona fide sub-tenant or assignee is proposed to Landlord by Tenant, and Landlord cannot reasonably withhold consent to such proposed sub-tenancy or assignment, Landlord shall have the right, at Landlord's sole discretion, to terminate this lease upon thirty (30) days written notice to Tenant in lieu of consenting to such proposed sub-tenancy or assignment. Consent by Landlord to one assignment of this Lease or to one subletting of the leased premises shall not be a waiver of Landlord's rights under this Article as to any subsequent assignment or subletting. Landlord's rights to assign this Lease are and shall remain unqualified. ARTICLE 11. DAMAGE BY FIRE OR OTHER CASUALTY. If fire or other casualty shall render the leased premises untenantable, this Lease shall terminate forthwith, and any prepayments of rent shall be refunded by the Landlord pro- rate; provided, however, that if the premises can be repaired within ninety (90)'days from the date of such event, then at Landlord's option by notice in writing to Tenant mailed within thirty (30) days after such damage or destruction, this Lease shall remain in full force and effect, but the rent for the period during which the premises are untenantable shall be discounted pro-rata. ARTICLE 12. EMINENT DOMAIN. If such a portion of the leased premises are taken by any public authority under the power of eminent domain as to render the remaining portion unsuitable for the purposes intended hereunder, then the term of this Lease shall cease as of the day possession shall be taken by such public authority, and Landlord shall make a pro-rata refund of any rent that may have been paid in advance. All damages awarded for such taking under the power of eminent domain shall belong to and be the property of Landlord, irrespective of the basis upon which they are awarded. On the last day of the term of this Lease or on the sooner termination thereof, Tenant shall peaceably surrender the leased premises in good condition and repair consistent with Tenant's duty to make repairs as provided in Article 5 hereof. On or before the last day of the term of the lease or the -sooner termination thereof, Tenant shall at its expense remove all of its equipment from the leased premises, and any property not removed shall be deemed abandoned. Tenant shall reimburse Landlord for any expenses incurred by Landlord with respect to removal or storage of abandoned property. All alterations, additions and fixtures, other than Tenant's equipment, which have been made or installed by either Landlord or.Tenant upon the leased premises shall remain as Landlord's property and shall be surrendered with the leased premises as a part thereof. If the leased premises be not surrendered at the end of the term or sooner termination thereof, Tenant shall indemnify Landlord against loss or liability resulting from delay by Tenant in so surrendering the premises, including, without- litigation, claims made by any succeeding tenant founded on such delay, and attorneys fees. Tenant shall promptly surrender all keys for the leased premises to Landlord at the place then fixed for payment of rent and shall inform Landlord of combinations on any locks and safes on the leased premises. ARTICLE 14. NON-PAYMENT OF RENT: DEFAULTS. If any one or more of the following occurs, (1) a rent payment from Tenant to Landlord shall be and remain unpaid in whole or in part for more than fifteen (15) days after notice from the Landlord; (2) Tenant shall violate or default any of the other covenants, agreement, stipulations, or conditions herein, and such violation or default shall continue for a period of ten (10) days after written notice from Landlord of such violation or default; or (3) if Tenant shall be adjudged bankrupt or file a petition in bankruptcy or otherwise indicates insolvency or becomes insolvent; then it shall be optional for Landlord to declare this Lease forfeited and the said term ended, and to re-enter said premises, with or without process of law, using such force as may be necessary to remove all persons or chattels therefrom, and Landlord shall not be liable for damage by reason of such re-entry or forfeiture; but notwithstanding re-entry-by-Landlord or forfeiture or termination-of this Lease, the liability of Tenant for the rent provided for herein shall not be relinquished or extinguished for the balance of the term of this Lease. Tenant will pay, in addition to the rentals and other sums agreed to-be paid--hereunder, such additional sums as the court may adjudicate reasonable as attorney's fees in any suit or action instituted by Landlord to enforce the provisions of this Lease, or the collection of the rentals due Landlord hereunder. • City of St. Anthony Lease Agreement for 2800 Kenzie Terrace Page 7 ARTICLE 15. HOLDING OVER. In the event Tenant remains in possession of the premises herein leased after the expiration of this Lease and without the execution of a new lease, it shall be deemed to be occupying said premises as a tenant from month to month, subject to all the conditions, provisions, and obligations of this lease insofar as the same can be applicable to a month-to-month tenancy. ARTICLE 16. COVENANTS TO HOLD HARMLESS. Except in the case of negligence of Landlord, its agents or employees, Tenant agrees to hold Landlord harmless for any liability for damages to any person or property in or about the leased premises. All property kept, stored, or maintained in the leased premises shall be so kept, stored, or maintained at the sole risk of Tenant. Tenant agrees to pay all sums of money in respect of any labor, services, materials, supplies or equipment furnished or alleged to have been furnished to Tenant in or about the leased premises which may be secured by any mechanic's, materialmen's or other lien against the leased premises or the Landlord's interest therein and will cause each such lien to be discharged at the time performance of any obligation secured thereby matures, provided that Tenant may, upon depositing and maintaining with Landlord a sum reasonably satisfactory to Landlord to protect Landlord's interest in the leased premises from such lien, contest such lien, but if such lien is reduced to final judgement or process thereon is not stayed, or if stayed and said stay expires, then and each such event Tenant shall forthwith pay and discharge said judgement. Landlord shall have the right to post and maintain on the leased premises, notices of non-responsibility under the laws of Minnesota. ARTICLE 17. SUBORDINATION. Tenant agrees that this Lease shall be subordinate to any mortgages or trust deeds now on or hereafter placed upon said premises and to any and all advances to be made thereunder, and to the interest thereon, and all renewals, replacements, and extensions thereof. ARTICLE 18. GENERAL. This Lease does not create the relationship of principal and agent or of partnership or of joint venture or of any association between Landlord and Tenant, the sole relationship between Landlord and Tenant being that of landlord and tenant. No waiver of any default of Tenant hereunder shall be implied from any omission by Landlord to take any action on account of such default if such default persists or is repeated, and no express City of St. Anthony Lease Agreement for • 2800 Kenzie Terrace Page 8 waiver shall affect any default other than the default specified in the express waiver and that only for the time and to the extent therein stated. Each term and each provision of this Lease performable by Tenant shall be construed to be both a covenant and a condition. All preliminary negotiations are merged into and incorporated in this Lease. This Lease can only be modified or amended by an Agreement in writing, signed by the parties hereto. All provisions hereof shall be binding upon the heirs, successors and assigns of each party hereto. Any notice required to be served in writing hereunder shall be mailed to the parties at the addresses set out after their respective signatures. Any and all indebtedness owing by the Tenant to the Landlord pursuant to the terms of this Lease which remains unpaid for a period of thirty (30) days after it first becomes due and payable shall bear interest from and after the lapse of such thirty (30) day period at the rate of eight percent (8%) per annum. This Lease shall not be effective until executed by all parties hereto. ARTICLE 19. TERMINATION. Either party shall have the right to terminate this lease at any time upon ninety (90) days prior written notice to the other. Tenant shall be given first right to renew lease after lease expires, provided the City of St. Anthony owns the facility at the time the lease expires. ARTICLE 20. OTHER PROVISIONS. The signal light located on 39th and Silver Lake Road has been at that location for over 20 years. In conjunction with the improvements on Silver Lake Road, Ramsey County has proposed to replace this light at a cost of$79,200. This cost is not MSA refundable for the City. Ramsey County is asking the City to participate in the cost of this signal at 50% of the total cost, or $39,600. The light must hook up with the rest of the lights on Silver Lake Road. I informed Ramsey County that the costs for a new light on 39th/Silver Lake Road are not in the City's budget. In addition, I told them that the City would not have the funds to cover the costs for a new signal light until 1996. Serviceable life of such devices is 20 years. The inplace system will be 19 years old this month. • • The reconstructed system will include protected/permissive left turns (i.e., left turns on a green indication).The inplace system has protected left turns only (green arrows). • Coordination and interconnect with systems north and south is part of the project and will provide better progression and reduce the number of stops. • New control cable will be included in the project. The County has been experiencing some difficulty with the control cable at this signal causing increased malfunctioning equipment. • New Pedestrian curb-ramps are included at some locations,to improve handicapped access. DISCUSSION OF THE PURCHASE OF 3111 SILVER LAKE ROAD. 2 Executive Director Mornson stated that the Planning Commission will be discussing this 3 purchase at their next meeting, September 20. He added that the Council has scheduled the 4 Redevelopment Plan public hearing on October 11, 1994. 5 It was noted that variances will be needed. Wagner requested that a survey be conducted to 6 assure that variances will not change from what is existing. Executive Director Morrison 7 reported that the property owner is in the process of obtaining a survey which will also be a 8 requirement of the.Purchase Agreement. 9 XI.
