WHEREAS, the City Council desires to continue operation of the St. Anthony Recycling Center, WHEREAS, proposals for the operation of the center were sought to replace Metro Recycling Center, Inc. , WHEREAS, the proposal of Dick's, Sanitary Service/Brooklyn Recycling is deemed the best responsible proposal received by the City. NOW, THEREFORE, BE IT RESOLVED that the Mayor and City Manager are hereby authorized to enter into the agreement with Dick' s Sanitary Service/Brooklyn Recycling, subject to the specified modifications in the agreement. Adopted this day of 1980 . Mayor ATTEST':_ City Clerk Reviewed for Administration: Citxf Nanager y �"r ACRE RMNT • THIS AGRIORC T made and entered into this day of 1980, by and between the City of St. Anthony, a Minnesota municipal corporation ("St. Anthony"), and Dick's Sanitary . j Service, Inc./Brooklyn Recycling, a Minnesota corporation("Purchaser"). WITNESSETH THAT: ' i WHEREAS, St. Anthony operates a depot for the collection of bi-metal - i cans, aluminum, glass bottles and jars of any color, newspapers, and other recyclable pater products :(herein called "Recyclable Materials") for the purpose of recycling; and WHEREAS, Purchaser desires to purchase said Recyclable Materials. NOW, THEREFORE, for and in consideration of the mutual agreements i herein contained, the parties hereto agree as follows: r 1, St. Anthony, agrees to: a. Operate a recycling depot within the cow-porate limits of St. Anthony, Minnesota, for the collection of Recyslable Materials, the I' location of and hours of business of such depot to be determined by St. Anthony; b. Employ such personnel as St. Anthony deems desirable or necessary for adequate staffing of ',the depot; c. Maintain the depot, except equipment and vehicles owned by Purchaser, at its expense in such condition and to such extent as St. Anthony deems desirable or necessary. d. Use its best efforts to sort and separate Recyclable Materials in the manner requested by ,Purchaser. c ; e. Carry on educational and publicity efforts concerning the • depot to the extent deemed necessary or desirable by St. Anthony. tl f� r ' f. Sell all Recyclable Materials including bi-metal cans, aluminum, glass bottles and jars of any color, newspapers, and other recyclable paper products exclusively to Purchaser. Notwithstanding the above, St. Anthony shall have no obligation to sell to Purchaser i and Purchaser shall have no obligation to buy from St. Anthony other materials received at the depot including but not limited to scrap iron, used oil, clothing, and appliances. i g. Dispose of at St. Anthony's expense materials received at ' the depot which are not recyclable due to chemical or physical composition including but not limited to garbage,- plastics, oil cans_, pyrex glass, and window glass. 2. Purchaser agrees to: a. At all times provide a sufficient number of trailers or suitable containers at the depot for the deposit of Recyclable Materials , • collected at the depot; i b. ' Locate at the depot such trailers or containers as Purchaser - i may provide pursuant hereto only in locations from time to time designated ' . I by St. Anthony; i c. Maintain in suitable repair and .condition all trailers, is containers. or other epuipment as Purchaser may provide at the -depot; l d. d. Empty such trailers or containers and transport all Recyclable Materials deposited therein from the depot at such times as St. Anthony shall request; e. Pay to St. Anthony in cash, at regular monthly intervals, ' the value of the Recyclable Materials picked up at the depot during the month preceeding payment, and deliver with each payment a bre*# wn ' of the Recyclablq Materials so picked up as to kind and quantity. • al i t I V The first such regular payment shall be received thirty (30) days after the effective date of this Agreement; • f. Purchase and transport from the depot without exception all Recyclable Materials including bi-metal cans, aluminum, glass bottles and jars of any color, newspapers, and other recyclable paper products 't collected at the depot; 3. The minimum price to be paid by Purchaser for Recyclable Materials shall bebased on the schedule of prices attached hereto and hereby made a part hereof. Such schedule shall be reviewed by both parties at ninety (90) day intervals and prices shall be adjusted as mutually agreed between the parties. 4. This agreement shall be effective on , and shall continue thereafter until cancelled by either party by notice 1 given to the other, which notice shall state the date on which this agreement shall be d.a cYled but which date shall be not earlier than ninety (90) days after the date such notice is given. 5. All notices, reports, or demands required or permitted to be given under this agreement shall be in writing and shall be deemed to be given when delivered personally to any officer of the party to which notice is being given or when deposited in the United States mail in a sealed envelope, with registered or certified mail postage prepaid thereon, addressed to the parties at the following addresses: To St. Anthony: 3301 Silver lake Road St. Anthony, Minn.55418 Attn: James Fornell i U To Purchaser: 3417 85th Avenue North Brooklyn Park, Mn. 55443 -3- IN WITNESS WHERBOF,. the parties have caused this agreement to be dulyexecuted the da and y year above written. .
