NOW, THEREFORE, BE IT RESOLVED, . that the City Council of _-,/• the City of St. Anthony hereby approves the East Side Hennepin County Human Services Council By-Laws and has agreed to become a member- of said Council on behalf of the City. Name The name of this organization shall be The East Side Hennepin County Human Services Council . The East Side is defined as that area included in the boundaries of the Northeast and University Planning Districts and the Hennepin County portion of the City of St. Anthony. Article II. Purpose The Council shall be the citizen participation mechanism for advising Hennepin County in the process of assessing and prioritizing human services needs and in recommending ways to meet these needs. • Article III. Membership There shall be two categories of membership on the Council : resident and categorical . Although an individual may be both a resident and a categorical member at the same time, an individual shall have only one vote, subject to such provisions as are otherwise contained, herein. A. Resident Membership. Any person residing in the East Side area 16 years of age or older is eligible for membership on the Council . There will 'be one member for every 3,000 residents in each of the three areas, except that no area shall have less than two members. The population shall be determined by the most recent United States Census. The method of selection of membership in each of the three areas shall be left to the discretion of the University Planning District Citizens Advi- sory Committee, the Northeast Planning District Citizens Advisory Committee, and the City of St. Anthony. -2- B. Categorical Membership. There are five required categorical member- ships: elderly, child care, mental health, mental retardation, chemical dependency. These will be filled either by designating a resident member, or the resident members appointing a member. There may be additional categorical memberships, except that at no time should the number of categorical members exceed two-thirds the number of resident members. The additional categorical members shall be selected by the resident members, both as to category to be represented and person to fill the position. C. No more than 40 percent of the members shall be providers of human services. No more than 40 percent shall be current clients of County-funded human service programs. D. Term of Membership. • 1. Term of resident members shall be two years, except as provided in three. 2. Half of the resident members will be selected annually. 3. At the first selection, the resident membership positions shall be filled as follows: 2 YEAR TERM 1 YEAR TERM Northeast - 6 Northeast - 6 University - 5 University - 5 St. Anthony - 1 St. Anthony - 1 When determining the number of resident members, the method of rounding fractions shall be as follows: fractions of one-half or more, round up; fractions of less than one-half, round down. 4. Categorical memberships shall expire annually, both as to category and individual . The resident members shall approve and fill cate- gorical memberships each year as appropriate. -3- E. Resignations, Terminations and Appointments. 1. Members of the Council who are unable to actively participate artici ate in the affairs of the Council shall submit their resignations in writing to the Council . Unexcused absences for three successive Council meetings shall be cause for termination of the member. Resident members who move from the designated Human Services Council geographical area may no longer serve on the Council . 2. Categorical members who cease to receive or provide services in the Human Services Council geographical area may no longer serve on the Council . 3. Interim replacements for vacant resident member positions shall be selected by the sponsoring district which the member had represented. Interim replacements for categorical positions shall be selected by the resi- dent members. 4. Interim members shall serve out the term of the person they • replace. Article IV. Officers and Executive Committee A. Officers of the Council shall be a Chairperson, a Vice Chairperson, a Secretary, and a Treasurer. They will serve one year terms and may be re-elected. They shall be elected by the Council at the first meeting of the Council and shall serve until new officers are elected. Subsequent elections shall occur at the annual meeting of the Council . B. Duties of the Officers. 1. The Chair shall prepare the agendas, send notice, convene and conduct meetings of the Human Services Council and of the Executive Committee and shall carry out such other duties as may be assigned or authorized by the Human Services Council , ,and shall serve as the contact person. • wF �. r -4- 2. The Vice Chair shall carry out the duties of the Chair in the absence of the Chair and perform such other duties as may be assigned or authorized by the Human Services Council . 3. The Secretary shall take minutes of the Human Services Council meetings, maintain the official list of the Council membership, inform the Chair of members who have missed three or more meetings without having noti- fied an officer, and perform such other duties as may be assigned or authorized by the. Chair or the Council . 4. The Treasurer shall conduct any and all financial business of the Human Services Council , maintaining accounts, signing financial documents, and preparing financial reports as appropriate and as authorized by the Human . Services Council C. The Executive Committee shall consist of the four officers plus • three additional members of the Council selected by the Council . The Execu- tive Committee shall transact such business as is referred to it by the Council . Article V. Committees Standing, Special , and Ad Hoc Committees may be appointed by the Council as the need arises. Members of the committees shall be confirmed by the Council . Committees shall report to the Council . Article VI. Meetings A. The Council shall meet once a month. Notice of meeting and agenda shall be sent by mail to members no less than one week in advance of the meeting. Meetings shall be open to the public and accessible to the handi- capped. B. Annual meetings shall be held once a year on a date to be chosen- by the Council . J -5- C. Special meetings may be held upon call by the Executive Committee or by petition of at least 25 percent of the members. Notice of special meetings must be communicated to the membership at least three days prior to the meeting. . Business transacted at a special meeting may be reconsidered at the next regular meeting of the Council at the request of any member. D. Conduct of business shall be governed by Roberts Rules of Order. E. A quorum shall consist of a majority of the. Council membership. Article VII. Amendments Bylaws may be amended by a two-thrids vote of the Council . A proposal to amend must have been presented at a previous regular meeting and the amendments mailed to the Council members in advance of the meeting at which they are to be voted upon. •
