I am writing to inform you that the property that I own on the 3200 block of Stinson
Boulevard is for sale. The addresses of the properties are 3201,(the current towing
office), 3207(house north of the office), and the vacant lot (current impound lot) located
to the south of the property.
You advised me that the first step would be that the City of St. Anthony would have to
have an appraisal done on the property. You have my full consent to have an appraisal
done as soon as possible. I am also in the process of seeking my own appraisal.
We are both aware that there is more than one way in which the city may acquire the
property. Please list the avenues in which the city may have in purchasing the property,
and forward them to me. I will then have my accountant look at all the tax options or
advantages.

At the October 8, 2002 City Council work session, the Council directed staff and Ehlers to interview
interested developers to ascertain their interest in redeveloping the above referenced site. Since that
time, we have discussed the project with a couple of developers, one which showed an immediate
interest in redeveloping the site.
This developer, Amcon Construction, has extensive experience in redevelopment, new commercial,
office and industrial development, as well as construction and construction management services.
Staff relayed the following key points of the redevelopment to Amcon Construction:
1. The City would like to retain an 8,000-10,000 sq/ft municipal liquor store on the site
2. The City would like to have a new restaurant that would accommodate the existing pull tab
establishment on site
3. The City would like to see an outdoor seating space accommodated by the restaurant
4. The City would need to relocate and reconstruct a new Fire Station, which the timing of this
and the redevelopment would have to coincide or a phasing plan worked out; and
5. This intersection is the gateway to the community and therefore, the design of the site would
need to reflect this status.
Based upon these discussions, Amcon developed the enclosed proposal, dated December 13, 2002.
Amcon is proposing to construct a 25,000 sq/ft retail center that would accommodate a restaurant, a
new 8,000- 10,000 sq/ft municipal liquor store and additional retail space. Amcon currently partners
with a sports bar/restaurant chain in some of their commercial developments. This restaurant would
accommodate the current pull tab establishment. However, it should be noted that the City has been
approached by a couple of other restaurateurs that have shown interest in developing a restaurant on
site, both of which will also accommodate pull tabs. If selected to proceed with the development,
Amcon would be required to contact the other two interested parties to develop the best fit for this
site and the community.
Since the City desire to maintain a municipal liquor store on site, Amcon has provided the City with
several options:
1. Amcon would purchase the land from the City for $8.00 sq/ft ($400,000) and lease the liquor
store space back to the City for a negotiated lease price.
2. The City would lease the property to Amcon, whom would complete the improvements and
lease the space for a 30-year term'. The City would generate a steam of lease payments that

could be utilized for the liquor store improvements or to assist in paying for the new fire
station. At the end of this 30-year term, the City could get the property back
3. The City could provide the land to Amcon, fee of charge, and potentially receive a "free" or
reduced lease for an extended period of time.
If the Council decided to proceed with Amcon as the Master Redeveloper, these options (and
potential variations thereof), will be analyzed in more detail and a recommendation will be brought
before the City Council for final approval.
In addition to this proposal, Amcon has stated that they would provide the City an analysis of a new
fire station facility. This service would be provided "free of charge" and would include design
services (production of conceptual plans) that would assist the City in determining the
appropriateness of selected sites, as well as construction estimates. Amcon would request in return,
that the City consider their construction management services when the City moves forward with the
development of a new facility. It should be noted that if the City chooses to utilize these services,
they will not be under any obligation or required to utilize Amcon's construction management
services.
Based upon the preliminary review of the development proforma submitted by Amcon and the
proposed options, I am confident that they will be able to complete the redevelopment in a timely
fashion and to the City's desired standards. I will provide further detailed analysis of the options at
your December 19, 2002 work session for your review and consideration of this proposal. In the

SUBJECT: PERSONNEL ORDINANCE CHANGES
The following changes are recommended amendments to the Personnel Ordinance on personal leave.
This will impact all non-union employees and Department Heads.It would be the City's intent to
incorporate changes to the unions during negotiations in 2003.
Change 1. Maximum Personal Bank.The maximum personal leave bank shall be 1,200 hours. Currently
there is no bank. Prior to 2000,the City converted sick leave and vacation leave to personal leave. There
was a bank of 1,200 hours.The max an employee could get paid out via personnel ordinance as
severance pay is 600 hours. This doesn't change and has been in place for 10 years.
Change 2. Personal Leave Earnings.
New 0 -5 years 120 hours
Old 0-5 years 176 hours(employees hired prior to 1/1/03)
New 5 - 15 years 216 hours
New 15 +years 256 hours
It is my opinion that 22 days off after working one years is excessive and that 0 -5 years should be
reduced to 15 days.
Personal/Comp-Time Usage.
1) Maximum allowable usage in a year=30 days* (240 hours)
*Maximum allowable usage includes any combination or use of personal leave,comp-time hours
and time off without pay.
2) No employee shall use more than 3 consecutive weeks of personal leave,comp-time or time off
without pay unless special permission is granted by the City Manager.
Additional Time Off.
1) In some instances,additional personal leave and comp-time off may be granted with the approval
of the City Manager.
2) Additional usage is permissible for family/medical leave and extended illness.
3) Additional usage is allowed for workers compensation or work related injuries.

I am pleased to submit the enclosed proposal for the redevelopment of the Municipal Stonehouse
property. Enclosed please find information regarding Amcon Construction Company and our
vision for the property to be developed.The project presents some challenges given the Village's
needs regarding the fire station and municipal liquor store.
This situation means that as with virtually all redevelopment projects there will have to be a great
deal of coordination between the public and private entity's. Therefore, we are requesting the
exclusive development rights to the property to enable Amcon and the Village to prepare and
approve the appropriate plans for the redevelopment of the site, beginning with the development
of the new fire station.
• 1. For more than 25 years, Amcon Construction has provided start-to-finish design and
construction for the commercial, industrial,and housing sectors. More recently,we have
• demonstrated success in the following office and retail projects, including Mankato
Heights Plaza, Valley Creek in Golden Valley, Sunfish Commons in Ramsey and
• Wayzata Executive Park. We have also recently acquired for rehabilitation a low and
moderate-income high rise in Brooklyn Center, MN; adding diversity and a commitment
to affordable housing to our redevelopment portfolio.
2. Amcon's team of experienced architects, engineers, and project managers are prepared to
serve the Village of St. Anthony. Our commitment to project integration sets us apart,
which means that St. Anthony Village would have one contact point throughout the
project. We start with careful planning and engage the community, which is consistent to
what I have seen the City accomplish with the Apache Plaza redevelopment project.
We can find similarities between our experiences on other projects,but anticipate St. Anthony
Village wanting its own identity and features. While similar site conditions exist elsewhere,the
ultimate project is going to be determined by the market, budgets, and public support.

• Amcon is proposing to acquire the old Stonehouse property
and construct a new 25,000 square foot retail center. The
• City and Amcon could agree to either a sale or lease of the
property depending on the City's needs and desires. Amcon
would lease space for a municipal liquor store. The existing
'• fire station must be relocated to facilitate the redevelopment.
Amcon is prepared to commence all development activities
• immediately. Amcon requests execution of an agreement
granting exclusive development rights.

Amcon proposes to demolish the existing structure and
• rebuild a new retail building of approximately 25,000 square
feet. Amcon proposes that St. Anthony Village lease a portion
of the space for it's municipal off-sale liquor store.

• Our concept contemplates removal of existing structures and
construction of 25,000 square feet of retail space. The end
• caps are anticipated to be anchor tenants with larger floor
plates. Uses contemplated include restaurant with liquor,
• municipal off-sale liquor, and neighborhood convenience such
as hair salon or coffee shop and professional services such as
• medical, insurance or health related.
• Key aspects of the proposed building include a marquee type
entrance facing the east to take advantage of the street views
and an access off Kenzie Terrace.

The site can accommodate 125 parking spaces or 5 spaces
• per 1000 square feet of building.
The buildings exterior appearance, including materials can be
a joint effort between the City and Amcon.

• The intersection is viewed as an important element and we
anticipate working with the City to include an urban
streetscape design that incorporates signs, landscaping and
monument considerations such as a clocktower. The current
• site plan simply identifies the streetscape as a feature
element.
• Property Disposition
The site is approximately 50,000 square feet. For purposes of
this proposal, we have identified three alternatives for the
• property disposition including sale, lease and deed.
1. Sale of the Property to Amcon. Under the terms of
• the sale, Amcon would provide space for the
municipal liquor store anticipating a traditional
• lease, including property taxes. Proceeds of the
sale would be at the City's discretion but could help
• supplement liquor store furnishings, the fire station,
or other uses. Our experience suggests the value of
• the property to be in the range of $8.00 to $10.00
square foot.
• 2. Lease Property to Amcon. A long-term lease in
favor of the City. Under this scenario Amcon would
• complete the building and lease space for the liquor
store. The City would get the property back upon
• termination (i.e. thirty years) and generate a
stream of payments. These payments could be
• used for liquor store furnishings or debt service for
the fire station. Under this scenario, the property
• may remain tax-exempt and payment in lieu of
taxes could be negotiated.
• 3. Deed to Amcon. The property could be deeded
(given) to Amcon and a corresponding value used in
the lease for the liquor store. The property would
be taxable under this scenario.

Our understanding is that the City wishes to have a location
for its off-sale liquor store. The size is estimated at 8,000 to
10,000 square feet. Amcon proposes to lease this space to
the City with an initial seven (7) year term with options for
the City to extend. The initial lease rate is estimated to be
between $12-$13 per square foot on a triple net basis. The
lease rate would be a result of the property agreement, which
• can provide different scenarios and opportunities. In addition,
Amcon is prepared to complete the liquor store improvements
. and could amortize the costs over the term of the lease.
• Fire Station
Amcon offers at no cost to the City, to participate in the City
analysis of a new fire station facility. Amcon will provide
design services to the City in order to determine the
• appropriateness of selected sites. Conceptual schematics
would look parking, drive lanes, site and building size.
• Amcon acts as a construction manager for cities and school
districts for various types of facilities and can provide
estimates of the cost of the new fire station. Amcon would
simply ask in return that it be given consideration as the
• Construction Management firm should the Council choose that
method of delivery.
Proforma
• A preliminary proforma follows the site plan, which illustrates
a traditional sale of property. The land sale is shown at $8/
• square foot and the building at a total of $85/square foot.
The estimated total cost of the project is $2,900,000.

LETTER OF UNDERSTANDING
• THIS AGREEMENT made and entered into as of this_day of
• 2003,by and between ST. ANTHONY VILLAGE,a Minnesota public body corporate and
politic hereinafter the "City" and AMCON CONSTRUCTION COMPANY,LLC,hereinafter
"Developer".
• WHEREAS, there exists parcels of property located at the intersection of
Streets in the City of St. Anthony Village as described in
• Exhibit"A" attached hereto(the "Subject Property") and
WHEREAS, Developer wishes to explore the possibility of acquiring the
• Subject Property to create a commercial site, and
WHEREAS, the City wishes to explore the possibility of a redevelopment
project which includes an analysis of fire operations, municipal liquor operations,and increasing
the local tax base,and
• WHEREAS, the Developer has requested the help of the City in investigating
the possibility of redevelopment and obtaining title of such property,and
NOW THEREFORE IT IS MUTUALLY AGREED AS FOLLOWS:
• 1. From six months of the date of this Agreement, City will work solely with Developer
to undertake redevelopment of the area.
2. City and staff agree to work with the Developer regarding zoning and planning
issues.
3. Both parties will use their best efforts to attempt to bring to fruition the
redevelopment contemplated.
4. Both parties are aware and acknowledge that many contingencies and unknowns
presently exist,any one or more could make the project cost prohibitive, and that
both parties are expending sums of money and time with full knowledge of the risks
involved and that neither party shall be liable for any of the other party's expenses in
• any event.
5. Developer shall provide the following items during the term of this agreement:
Preliminary Concept Plan of Redevelopment Site,Preliminary Concept of Fire Station,
Financing Alternatives,Project Schedules,Planning and Zoning Analysis, Detailed Elevations
• and Material Lists,Marketing Plan/Market Study/Market Analysis
• 6. This Agreement contemplates the Developer and City entering a Contract for Private
Redevelopment with the City and terms of such contract being acceptable to both
Parties.
7. This Agreement maybe extended for an additional six months by Action of City
Council.
