A RESOLUTION REGARDING THE SALE OF
PROPERTY RELATING TO THE STONEHOUSE
DEVELOPMENT PROJECT
BE IT RESOLVED that the City Council of the City of St. Anthony hereby authorizes (i) the
sale of the property legally described on Exhibit A, attached hereto (the "Property") in
accordance with that certain proposed purchase agreement by and between City of St. Anthony,
• as Seller, and Amcon St. Anthony LLC, as Buyer(the"Purchase Agreement"); (ii) the execution
and delivery of the final Purchase Agreement by the City, and (iii) the consummation of the
transactions contemplated by said Purchase Agreement.

That part of Lot 1, Block 1,"St. Anthony Village Commercial Center Addition No. 1"and of the
unplatted portion of the North Half of Section 7, Township 29, Range 23, described as follows:
Commencing at the north quarter corner of said Section 7; thence on an assumed bearing of
South 00 degrees 32 minutes 05 seconds East, along the North and South quarter line of said
Section 7, a distance of 1227.04 feet to a point on the southwesterly right-of-way line of St. Anthony
Boulevard and the point of beginning of the land to be described; thence South 31 degrees 39
minutes 31 seconds East, along said southwesterly right-of-way line, a distance of 92.51 feet; thence
southeasterly and southerly, along said southwesterly right-of-way line and the westerly right-of-way
line of Highway No. 88, on a tangential curve concave to the West, having a radius of 150 feet and a
central angle of 56 degrees 16 minutes 18 seconds, a distance of 147.32 feet; thence South 24
degrees 36 minutes 48 seconds West, tangent to said curve, along said westerly right-of-way line, a
distance of 144.95 feet to the intersection with the southeasterly extension of the northeasterly line of
