A RESOLUTION AUTHORIZING THE MAYOR AND CITY MANAGER
TO SIGN A CONSTRUCTION COOPERATIVE AGREEMENT
WITH HENNEPIN COUNTY
WHEREAS, the City of St. Anthony has developed a project for the City known as "1997
Watermain, Street and Storm Sewer Improvements"; and
WHEREAS, said project includes drainage improvements and associated restoration work
at the intersection of 35th Avenue NE and Stinson Boulevard; and
WHEREAS, the City has requested the County and the County has indicated its
willingness to approve the plans and specifications, authorize the City to
perform work in the County right-of-way and participate in 50% of the
construction costs of County Project 9705.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of St.
Anthony hereby authorizes the Mayor and City Manager to sign the Construction
Cooperative Agreement relating to the 1997 Watermain, Street and Storm Sewer
Improvements project on behalf of the City of St. Anthony.

CONSTRUCTION COOPERATIVE AGREEMENT
AGREEMENT, Made and entered into this day of �_
19 �" , by and between the County of Hennepin, a body politic and corporate
under the laws of the State of Minnesota, hereinafter referred to as the
"County" , and the City of St. Anthony, a body politic and corporate under the
laws of the State of Minnesota, hereinafter referred to as the "City"
WITNESSETH:
WHEREAS, The City, through its consultant engineer Rieke Carrol Muller
• Associates, Inc. , has prepared plans and specifications, received and opened
bids and is prepared to award a contract for a roadway and utility improvement
project known and identified as "1997 Watermain, Street and Storm Sewer
Improvements: St. Anthony, Minnesota, hereinafter referred to as the "City
Project" ; and
WHEREAS, Said City Project includes drainage improvements and associated
restoration work at the intersection of 35th Avenue NE with County State Aid
Highway No. (CSAH) 27 (a.k.a. Stinson Boulevard) ; and
WHEREAS, That portion of said City Project within the County's Right of
Way for CSAH 27 shall be identified in the County's records as County Project
No. 9705 and shall hereinafter be referred to as "C.P. 9705" ; and
WHEREAS, The City has requested that the County approve said plans and
specifications, authorize the City to perform the hereinreferenced work in
County Right of Way and participate in fifty (50) percent of the construction
costs of C. P. 9705; and
WHEREAS, The County has indicated its willingness to approve said plans
• and specifications and authorize the City to perform the hereinreferenced work
on County Right of Way and participate in the construction costs of said C. P.

9705 under the terms and conditions as hereinafter set forth; and
WHEREAS, It is contemplated that said work be carried out by the parties
hereto under the provisions of Minnesota Statutes 1992, Section 162. 17,
Subdivision 1 and Section 471 .59.
NOW THEREFORE, IT IS HEREBY AGREED:
I
The City shall submit the plans and specifications for the City Project
to the County for approval .
II
The City or its agent shall apply for, obtain, and comply with, at its
sole cost and expense, all permits and approvals from all other governmental
or regulatory agencies as may be required to accomplish said C.P. 9705. Said
permits and approvals shall be obtained prior to the start of any construction
• and made available to the County upon request.
III
The City shall include the work necessary to complete C.P. 9705 in any
contract it awards for said City Project. It is understood that the apparent
low bid for said City Project in the amount of Five Hundred Seventy Thousand
Five Hundred Forty Seven Dollars and Thirty Three Cents ($570,547.33) was
submitted by Northdale Construction. A copy of an abstract of all bids
received is attached hereto marked Exhibit "A" and by this reference made a
part hereof.
IV
Prior to beginning construction, the City shall furnish the County with
two (2) complete sets of County approved plans and specifications for said
City Project. Said plan sets shall all be on 11" by 17" paper and furnished
at no cost to the County.

• The City at its own cost and expense shall administer the contract and
perform the required engineering, inspection and testing all in accordance

with said City Project plans.
The County Engineer or his staff shall have the right, as the work
progresses, to enter upon C. P. 9705 to make any inspections deemed necessary,
but will have no responsibility for the supervision of the work.
VI
The County shall reimburse the City for fifty (50) percent of the
construction costs for the work within CSAH 27 right of way (C. P. 9705) as set
forth in the Preliminary Cost Participation Summary in Exhibit "B" , attached
hereto and by this reference, made a part hereof. All other construction
costs on said City Project shall be the responsibility of the City. It is
understood that said summary is an estimate of the construction cost for the
contract work on said City Project and that the unit prices set forth in the
contract with the successful bidder and the final quantities as measured by
the City Engineer shall govern in computing the total final contract
construction cost for apportioning the cost of said C. P. 9705 according to the
• provisions of this paragraph.
VII
Upon award of the contract by the City, the City shall invoice the County
for ninety five (95) percent of the estimated County share of the contract
construction costs for C. P. 9705. Said estimated County share shall be based
on actual contract unit prices for estimated quantities shown in the plans .
Within forty five (45) days after receipt of said invoice, the County shall
deposit with the City, said estimated County share.
The remainder of the County share in the contract construction cost is to
be paid to the City upon the following: (1) completion of the City Project,
(2) final C. P. 9705 approval by the County, (3) submittal of the City' s Final
Estimate and (4) submittal of an invoice including the County' s final share in
the contract construction costs for C.P. 9705. Payment to be made within
forty five (45) days of receipt of said invoice and compliance with the above
provisions .
The costs for all work performed on said City Project which are not
• specifically identified herein as those costs in which the County will
participate shall be borne 100 percent by the City.

VIII
All extra work orders or changes in the plans affecting construction of
said C.P. 9705 within the right of way of CSAH No. 27 shall be subject to the
approval of the County Engineer or his designated representative prior to
performing the work in accordance with such extra work orders or changes in the
plans.
IX
All records kept by the City and the County with respect to C.P. 9705 shall
be subject to examination by the representatives of each party hereto.

It is understood and agreed that upon completion of any and all
improvements proposed herein, all water distribution systems, sanitary sewer
systems and municipal street construction, located within the County's Right of
Way, included in said improvement shall become the property of the City and all
maintenance, restoration, repair, replacement or other work or services required
• thereafter shall be performed by the City at its own expense.
The City agrees to defend, indemnify and hold harmless the County, its
elected officials, officers, agents, volunteers, and employees from any
liability, claims causes of action, judgments, damages, losses, costs or
expenses, including reasonable attorney's fees, resulting directly or indirectly
from any act or omission of the City, its contractors, anyone directly or
indirectly employed by them, and/or anyone for whose acts and/or omissions they
may be liable for related to the ownership, maintenance, existence, restoration,
repair or replacement of the City owned improvements .
XI
Each party agrees that it will be responsible for its own acts and the
results thereof, to the extent authorized by the law, and shall not be
responsible for the acts of the other party and the results thereof. The
County's and the City' s liability is governed by the provisions of Minnesota
Statutes, Chapter 466.
The County and the City each warrant that they are able to comply with the
aforementioned indemnity requirements through an insurance or self-insurance
program.

XII
The City also agrees that any contract let by the City or its agents for
the performance of the work on CSAH 27 as provided herein shall include clauses
that will : (1) Require the Contractor to defend, indemnify, and save harmless
the County, its elected officials, officers, agents, volunteers and employees
from any liability, claims, causes of action, losses, demands, damages,
judgments, costs, interest, expenses (including, without limitation, reasonable
attorney's fees, witness fees, and disbursements incurred in the defense
thereof) arising out of or by reason of the negligence of the said Contractor,
its subcontractors, anyone directly or indirectly employed by them, and/or
anyone for whose acts and/or omissions they may be liable for. (2) Require the
Contractor to be an independent contractor for the purposes of completing the
work provided for in this Agreement. (3) Require the Contractor to provide and
maintain insurance in accordance with the following:
1 . Workers' Compensation including Employers' Liability Insurance:
- Bodily Injury by Accident $100,000 each accident
- Bodily Injury by Disease $500,000 policy limit/
$100,000 each employee
Note: An all states endorsement is required if the Contractor is
based outside the State of Minnesota.
2. Commercial General and Automobile Liability Insurance:
(A) Commercial General Liability:
- Combined Bodily Injury and Property Damage:
- Each Occurrence Limit $1,000,000
- General Aggregate Limit $1 ,000,000
- Products--Completed Operations
Aggregate Limit $1 ,000,000
- Personal and Advertising Injury
Limit $1 ,000,000
- Coverages above shall also include:
- Premises--Operations
- Contractual Liability (including oral and written

contracts)
- Explosion, Collapse, Underground Property Damage (XCU)
(B) Automobile Liability including Hired Car and Employers Non-
Ownership Liability:
-Combined Bodily Injury and Property Damage:
Each Occurrence Limit $1 ,000,000
The above subparagraphs establish minimum insurance requirements, and it is
the sole responsibility of the City' s Contractor to purchase and maintain
additional insurance that may be necessary for the project.
All insurance policies shall be open to inspection by the County and copies
of policies shall be submitted to the County upon written request.

It is further agreed that any and all employees of the City and all other
persons engaged by the City in the performance of any work or services required
or provided for herein to be performed by the City shall not be considered
employees of the County, and that any and all claims that may or might arise
under the Workers' Compensation Act or the Minnesota Economic Security Law on
behalf of said employees while so engaged and any and all claims made by any
third parties as a consequence of any act or omission on the part of said
employees while so engaged on any of the work or services provided to be
rendered herein shall in no way be the obligation or responsibility of the
County.
Also, any and all employees of the County and all other persons engaged by
the County in the performance of any work or services required or provided for
herein to be performed by the County shall not be considered employees of the
City, and that any and all claims that may or might arise under the Workers'
Compensation Act or the Minnesota Economic Security Law on behalf of said
employees while so engaged and any and all claims made by any third parties as a
consequence of any act or omission on the part of said employees while so
• engaged on any of the work or services provided to be rendered herein shall in
no way be the obligation or responsibility of the City.

XIV
In order to coordinate the services of the County with the activities of
the City so as to accomplish the purposes of this Agreement, the Hennepin County
Engineer or his designated representative shall manage this Agreement on behalf
of the County and serve as liaison between the County and the City.
In order to coordinate the services of the City with the activities of the
County so as to accomplish the purposes of this Agreement, the St. Anthony
Director of Public Works or his designated representative shall manage this
Agreement on behalf of the City and serve as liaison between the City and the
County.
Xv
It is understood and agreed that the entire agreement between the parties
is contained herein and that this Agreement supersedes all oral agreements and
negotiations between the parties relating to the subject matter hereof. All
• items referred to in this Agreement are incorporated or attached and are deemed
to be part of this Agreement.
Any alterations, variations, modifications, or waivers of provisions of
this Agreement shall only be valid when they have been reduced to writing as an
amendment to this Agreement signed by the parties hereto.
XVI
The provisions of Minnesota Statutes 181 .59 and of any applicable local
ordinance relating to civil rights and discrimination and the Affirmative Action
Policy statement of Hennepin County shall be considered a part of this Agreement
as though fully set forth herein.

RESOLUTION 97-022
A RESOLUTION AUTHORIZING THE MAYOR AND CITY MANAGER
TO SIGN A CONSTRUCTION COOPERATIVE AGREEMENT
WITH HENNEPIN COUNTY
WHEREAS, the City of St. Anthony has developed a project for the City known as "1997
Watermain, Street and Storm Sewer Improvements"; and
WHEREAS, said project includes drainage improvements and associated restoration work
at the intersection of 35th Avenue NE and Stinson Boulevard; and
WHEREAS, the City has requested the County and the County has indicated its
willingness to approve the plans and specifications, authorize the City to
perform work in the County right-of-way and participate in 50% of the
• construction costs of County Project 9705.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of St.
Anthony hereby authorizes the Mayor and City Manager to sign the Construction
Cooperative Agreement relating to the 1997 Watermain, Street and Storm Sewer
Improvements project on behalf of the City of St. Anthony.
