A RESOLUTION APPROVING PLANS FOR THE
SILVER LAKE ROAD BRIDGE RECONSTRUCTION PROJECT
WHEREAS, the City of St. Anthony and Ramsey County desire to reconstruct and rebuild
the bridge on Silver Lake Road over the CP Railroad tracks north of 37`h
Avenue NE; and
WHEREAS, preliminary studies and reports conducted by the City and County indicate that it
is feasible, practical, and technically property to provide for the Silver Lake
Road Bridge reconstruction.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of St. Anthony
hereby approves the Plans as submitted by Ramsey County, regarding said project.

THIS AGREEMENT made and entered into as of the 1st day of December, 1999, by
and between SOO LINE RAILROAD COMPANY, doing business as Canadian Pacific
Railway, hereinafter called "Railroad Company,"and CITY OF ST.ANTHONY, hereinafter
called "Licensee,"
WITNESSETH:
1. The Railroad Company grants to the Licensee permission to install and maintain
a DIP pipe line, not exceeding 12 inches in diameter, hereinafter called "pipe line",
extending upon and across the Railroad Company's property and tracks in the
SE1/4 SW1/4 of Section 31, Township 29 North, Range 23 West, County of Ramsey, at
or near St. Anthony (Wilson), State of Minnesota, for a distance of approximately 200 feet
at Railroad Survey Station 421+40.
In the location indicated in red and in accordance with the details as shown on the map
hereto attached marked"Exhibit A,"and specifications hereto attached marked"Exhibit B,"
at a depth of not less than 6.5 feet beneath the base of the rail of any railroad tracks
located on said property, to be used by the Licensee exclusively for water purposes,
• subject to the conditions hereinafter set forth.
2. The Licensee shall pay the Railroad Company the sum of$800.00 in advance
as rental for the permission herein granted, and shall assume and pay all taxes and
assessments that may be levied or assessed against the pipe line, or against the Railroad
Company's property by reason of the location of said pipe line thereon. Except as provided
in paragraph 9 below, this agreement shall continue in effect until terminated by either
party hereto upon thirty (30) days' written notice to the other. The Licensee shall not, by
reason of termination of this agreement, be entitled to refund or reimbursement of any
payment, or portion thereof, made by the Licensee under this agreement.
3. The Licensee, after first securing all necessary public authority, shall at the
Licensee's sole expense install and thereafter maintain the pipe line upon and across the
Railroad Company's property and underneath any railroad tracks located thereon at the
above described location, in a manner satisfactory to the Railroad Company's Chief
Engineer, and in strict conformity with the requirements of all laws, ordinances and orders
of competent public authority now existing, and future modifications thereof, so as not to
endanger the safety of railroad or other operations upon said property and so as not to
endanger the safety of the persons or property near or adjacent to the Railroad Company's
property.
4. The Licensee shall be responsible for determining the location and existence of
• any pipes, wires, conduits, sewers, piling or other obstructions to the construction of
Licensee's pipe line and shall indemnify, hold harmless and defend the Railroad Company

• from and against any and all liability for damage to the foregoing pipes, wires, conduits,
sewers, piling or other obstructions, if any, caused by the construction or maintenance of
Licensee's pipe line. The Railroad Company makes no representation by the granting of
this license that its property is free of any such pipes, wires, conduits, sewers, pilings or
other obstructions. The Licensee's obligations hereunder shall survive the termination or
expiration of this agreement.
5. The Licensee shall not carry on any work in connection with the installation,
maintenance, repair, changing or renewal of the pipe line underneath or in close proximity
to any railroad track at the above described location before giving the Chief Engineer at
least three (3) days'written notice at his headquarters located at Minneapolis, Minnesota,
and not until an authorized representative of the Railroad Company shall be present to
supervise same. Upon bills being rendered therefor,the Licensee shall promptly reimburse
the Railroad Company for all expenses incurred by it in connection with such supervision,
including all labor costs for flagmen supplied by the Railroad Company to protect railroad
operations, and for the entire cost of the furnishing, installation and later removal of any
temporary supports for said tracks, which said Chief Engineer or his authorized
representative may consider necessary while such work is in progress.
6. The Licensee, at the Licensee's sole expense, whenever notified to do so, shall
promptly make such repairs to or changes in the pipe line, including change in location, as
• said Chief Engineer or his authorized representative shall for any reason consider
necessary and require. The Railroad Company shall have the right, at its election, to make
emergency repairs to the pipe line, and in such event the Licensee, upon bills being
rendered therefor,will promptly reimburse the Railroad Company for all expenses incurred
in connection therewith.
7. Maintenance and use of the pipe line upon and across the Railroad Company's
property at the above described location, however long continued, shall not vest in the
Licensee any rights adverse to those of the Railroad Company.
8. As one of the material considerations of this agreement, without which the
license granted hereunderwould not be granted,the Licensee expressly assumes any and
all risk of damage to or destruction of the pipe line through any cause whatsoever while
located upon or across the Railroad Company's property, and hereby releases and agrees
to indemnify, hold harmless and defend the Railroad Company and its directors, officers,
stockholders, divisions, agents, affiliates, subsidiaries, predecessors, successors and
assigns, or anyone acting on its behalf or their behalf, from and against any and all Claims
(including without limitation any Claims arising under any Environmental Law and all
Claims arising at common law, in equity or under a federal, state or local statute, rule or
regulation) of every kind, past, present and future, existing and contingent, known and
unknown, arising from any injury to persons, firms or corporations whomsoever(including
the parties hereto and their employees, agents and invitees), including injuries resulting in
death, and damage to property whatsoever (including property of the parties hereto),
• wherever such persons or property are located, caused by or attributable to, in whole or

• in part, the presence of the pipe line upon the Railroad Company's property, or any act or
omission of the Licensee (or the Licensee's employees, agents, contractors,
representatives, or invitees), including without limitation the Use or Release of Hazardous
Substances by the Licensee and the breach by the Licensee of any of its warranties,
representations or covenants. The Licensee's obligations hereunder shall survive the
termination or expiration of this agreement.
9. If the Licensee shall default on its obligation to make any payment required
under this agreement,the Railroad Company may immediately declare this agreement and
the permission herein granted terminated without advance notice to the Licensee. The
waiver by the Railroad Company of a breach by the Licensee of any provision hereof, shall
be limited to the act or omission constituting such breach, and shall not constitute a
continuing or permanent waiver.
10. This agreement shall not be assigned or in any manner transferred by the
Licensee, voluntarily or involuntarily, by operation of law or otherwise,without the advance
written consent of the Railroad Company. Any attempted or purported assignment or
transfer by the Licensee without such consent shall be void. Subject thereto, this
agreement shall inure to the benefit of, and be binding upon the heirs, executors,
administrators, successors and assigns of the respective parties.
• 11. Any notice given by the Railroad Company hereunder shall be good if served
personally upon the Licensee or if deposited in a United States post office, certified mail,
addressed to the Licensee at the Licensee's last known address.
12. The Licensee, at the Licensee's sole expense, within thirty (30) days from the
date of service of notice of termination as above provided, shall take up and remove said
pipe line from the Railroad Company's property at the above described location and restore
said property to a condition satisfactory to said Chief Engineer. Failure on the part of the
Licensee to do so shall constitute an abandonment of the pipe line by the Licensee, and
the Railroad Company shall have the right to remove the whole or any part of the pipe line
from said property and perform said work of restoration, and in either event the Licensee,
upon a bill being rendered therefor, shall promptly reimburse the Railroad Company for all
expenses incurred in connection therewith, plus fifteen percent (15%).
13. The Railroad Company shall not be required to assume any portion of the cost
of the construction of said pipe line or future maintenance thereof.
14. The Railroad Company does not warrant title to the above-described property,
and the Licensee shall have no recourse against the Railroad Company in the event the
Licensee shall be required, through the action of any third party, to either remove the pipe
line from the Railroad Company's property or to make any payment to avoid such removal.
• 15. Each provision, paragraph, sentence, clause, phrase, and word of this
agreement shall apply to the extent permitted by applicable law and is intended to be

• severable. If any provision, paragraph, sentence, clause, phrase orword of this agreement
is illegal or invalid for any reason whatsoever, such illegality or invalidity shall not affect the
legality or validity of the remainder of the agreement.
16. (A) "Claim" or "Claims" means any and all liabilities, suits, claims,
counterclaims, causes of action, demands, penalties, debts, obligations, promises, acts,
= fines,judgments,damages, consequential damages, losses,costs, and expenses of every
kind (including without limitation any attorney's fees, consultants' fees, response costs,
remedial action costs, cleanup costs and expenses which may be related to any Claims);
(B) "Environmental Law"or"Environmental Laws"means the Comprehensive
Environmental Response, Compensation and Liability Act ("CERCLA"), 42 U.S.C. § 9601
et seq., the Resource Conservation and Recovery Act, 42 U.S.C. § 6901 et seq., the
Federal Water Pollution Control Act, 33 U.S.C. § 1251 et seq., the Clean Water Act, 33
U.S.C. § 1321 et seq., the Clean Air Act, 42 U.S.C. § 7401 et seq., the Toxic Substances
Control Act, 15 U.S.C. § 2601 et seq., all as amended from time to time, and any other
federal,state, local or other governmental statute, regulation, rule, law or ordinance dealing
with the protection of human health, safety, natural resources or the environment now
existing or hereafter enacted;
(C) "Hazardous Substance"or"Hazardous Substances"means any pollutant,
• contaminant, hazardous substance or waste, solid waste, petroleum product, distillate, or
fraction, radioactive material, chemical known to cause cancer or reproductive toxicity,
polychlorinated biphenyl or any other chemical, substance or material listed or identified
in or regulated by any Environmental Law;
(D) "Release"or"Released"means any actual or threatened spilling, leaking,
pumping, pouring,emitting, emptying, discharging, injecting,escaping, leaching, dumping,
disposing or spreading of any Hazardous Substance into the environment, as
"environment" is defined in CERCLA;
(E) "Use" means to manage, generate, manufacture, process, treat, store,
use, re-use, refine, recycle, reclaim, blend or burn for energy recovery, incinerate,
accumulate speculatively, transport, transfer, dispose of, or abandon a Hazardous
Substance.

THIS AGREEMENT, by and between the City of Saint Anthony, a municipal
corporation, hereinafter referred to as the "City," and Ramsey County, a political subdivision of the
State of Minnesota, hereinafter referred to as the "County";
WITNESSETH:
WHEREAS, the City and the County desire to reconstruct and rebuild the bridge on Silver
Lake Road over the CP Railroad Tracks north of 37`h Avenue; and
WHEREAS, Silver Lake Road from 37`h Avenue to Silver Lane is designated County State
Aid Highway 44; and
WHEREAS, Silver Lake Road from 37`h Avenue to Silver Lane is in the City; and
WHEREAS, preliminary studies and reports conducted by the City and County indicate
that it is feasible, practical, and technically proper to provide for the Silver Lake Road bridge
• reconstruction; and

• WHEREAS, the County has prepared or will prepare the necessary designs, plans,
specifications, estimates, proposals and approvals in accordance with funding requirements for the
Minnesota Department of Transportation to take bids for this project; and
WHEREAS, the reconstruction of the Silver Lake Road bridge over the CP Railroad has
been designated as eligible for a grant of Federal Funds as Minn. Proj. STP 6200 (035); and
WHEREAS, this project has been designated as eligible for CSAH funds, reimbursement
as S.P. 62-644-16; and
WHEREAS, plans for this project provide for the removal and reconstruction of the
existing bridge on Silver Lake Road on the CP Railroad tracks; and
WHEREAS, plans for this project provide for the resurfacing of Silver Lake Road from
37`h Avenue to Silver Lane; and
WHEREAS, plans for this project provide for the reconstruction of the watermain between
37`' Avenue and Silver Lane and provide for construction of a sidewalk on the east side of Silver
Lake Road from 37`h Avenue to Silver Lane; and
WHEREAS, plans for this project S.P. 62-644-16 and Minn. Proj. STP 6200 (035)
showing proposed bridge reconstruction, alignment, profiles, grades, and cross-sections for the
improvement of County State Aid Highway 44 within the limits of the City as a Federally Assisted
County State Aid Highway project have been presented to the City; and
WHEREAS, the grading provisions require acquisition of certain right of way and
temporary construction and slope easements prior to construction; and
WHEREAS, the County is acquiring necessary rights of way as determined by the project
grading limits under a separate project, S.A.P. 62-644-22, utilizing its State Aid funds for all
reimbursable costs; and
WHEREAS, the project includes, in addition to other things, right of way acquisition,
bridge reconstruction, grading, paving, walks, utility adjustments, watermain installation, concrete
curb and gutter, storm sewers, street lights; and
WHEREAS, MN/DOT will take bids for the project, prepare an abstract of bids and cost
participation summary, request the County's concurrence to award a contract, award a contract and
pay the contractor from Federal, State Aid, and local funds identified for the project.
NOW. THEREFORE, IT IS HEREBY MUTUALLY AGREED AS FOLLOWS:
1. Prior to County concurrence to MN/DOT to award a contract, the County shall first
• receive concurrence from the City for award of the contract to the lowest responsible bidder.

• 2. Upon award of a construction contract by MN/DOT the County shall perform or
contract the performance of the construction inspection.
3. The County shall acquire and pay for all rights of way and easements required for the
construction of the project within the grading limits of the plan. Any rights of way that cannot be
negotiated will be acquired through eminent domain proceedings.
4. All City owned rights of way and easements within the limits of the project for roads,
utilities and stormwater are hereby granted to the County for project use during construction.
5. All Silver Lake Road rights of way and temporary easements will be in the name of the
County, and parking and other regulations will be controlled by the County.
6. The County and City shall participate in the costs of construction in accordance with
the adopted Ramsey County Public Works cost participation policy.
7. The estimated construction cost of items eligible for federal participation is
$824,393.50. Federal Funds granted to this project shall be applied to all eligible items at a rate not
to exceed 80% of their construction cost.
8. The estimated construction cost of items not eligible for federal participation is
$1,142,317.20. The costs will be paid by a combination of County State Aid Highway funds,
• Municipal State Aid Highway funds and City of Saint Anthony local funds.
9. Storm sewer construction costs attributable to the road right of way and facilities
needed for the road drainage are estimated to be eligible for reimbursement from County State Aid
funds. Each agency shall pay for the storm sewer costs as determined by the MN/DOT hydraulics
memorandum.
10. Upon completion of the project, the County shall own and maintain the storm sewer
catch basins and leads on its County roads and the City shall own and maintain the storm sewer
trunk lines within the City. Laterals and drains servicing property within the City outside the road
right of way shall also be owned and maintained by the City.
11. The City shall pay to the County 50% of the cost of modifications to the median
constructed within the City. This consists of replacing the existing bituminous median with
colored, stamped concrete. Upon completion of the project, the County shall own and maintain the
median.
12. The City shall pay to the County 75% of the cost of concrete sidewalk on the east side
of Silver Lake Road from 37`" Avenue to Silver Lane. Upon completion of the project, the City
shall own and maintain the concrete sidewalk.
13. The City shall pay to the County 100% of the cost of streetlights provided in the
• project. Upon completion of the project, the City shall own and maintain the streetlights.

• 14. The City shall pay to the County 100% of the cost of the new watermain between
Silver Lane and 37 IhAvenue. These costs shall include all restoration associated with the
construction of the new main and all reconnection of existing services.
15. Upon completion of the work the City shall own and maintain the watermain within
the City.
16. All City utilities or facilities modified or added to those provisions presently made in
the plans and specifications may be incorporated in the construction contract by supplemental
agreement and shall be paid for as specified in the supplemental agreement. Design and
construction engineering fees shall be negotiated.
17. Bridge construction is eligible for 80% Federal funds. The remaining 20% is split
between the County and City based on the percentage cost of amenities added to the bridge
construction. This results in a cost distribution for the bridge construction as follows: 80% Federal
funds, 18.6% County State Aid Highway funds and 1.4% City of Saint Anthony funds.
18. The City shall reimburse the County ten percent (10%) of its share of the construction
cost for all items except the watermain as a preliminary engineering fee.
19. The City shall reimburse the County two percent (2%) of its share of the construction
• cost for watermain as a preliminary engineering fee.
20. The City shall reimburse the County twelve percent (12%) of its share of the
construction cost, as determined by the final amount due the contractor, except for the watermain as
a construction engineering fee.
21. The city shall provide construction inspection services for the watermain
construction. The City shall reimburse the County two percent (2%) of its share of the construction
cost of the watermain, as determined by the final amount due the contractor, as a construction
engineering fee.
22. Quantity distributions identified above are shown in the Statement of Estimated
Quantities in the plans. Estimated costs are identified in the Engineers Estimate. Actual costs shall
be based on the contractor's unit prices and the quantities constructed.
23. All liquidated damages assessed the contractor in connection with the work
performed on the project shall result in a credit shared by the City and the County in the same
proportion as their respective total share of construction costs to the total construction cost
without deduction for Federal Funds and liquidated damages.
24. The City shall not assess or otherwise recover any portion of its cost for this project
through levy on County-owned property.

• 25. The County shall, when a construction contract is proposed to be awarded, prepare a
revised estimate and cost participation breakdown based on construction contract unit prices and
submit a copy to the City. Upon concurrence to award a construction contract, the City agrees to
advance to the Treasurer of Ramsey County an amount equal to the City total construction cost
share. MN/DOT shall then be paid by the County.
26. Upon substantial completion of the work, the County shall prepare a revised estimate
of cost participation breakdown based upon the contract unit prices and the actual units of work
estimated to have been performed and submit a copy to the City. The construction engineering
costs to be paid the County by the City shall be based on this estimated final construction cost. The
County shall add to the City's estimated final construction costs the construction engineering costs,
make necessary adjustments for liquidated damages, if any, and deduct City funds previously
advanced for the project by the City. The City agrees to pay to the County any amounts due. In
the event the calculations show that the City has advanced funds in greater amount than is due the
County, the County shall refund the amount to the City without interest.
27. The City and County agree to indemnify each other and hold each other harmless
from any and all claims, causes of action, lawsuits,judgments, charges, demands, costs, and
expenses, including, but not limited to, interest involved therein and attorneys' fees and costs and
expenses connected therewith, arising out of or resulting from the failure of either party to satisfy
the provisions of this Agreement or for damages caused to fourth parties as a result of the manner
• in which the City or the County perform or fail to perform duties imposed on each party by the
terms of this Agreement. Nothing herein shall constitute a waiver by either party of the limits or
liability provided by Minnesota Statutes, Chapter 466 or other applicable law.
28. This Agreement shall remain in full force and effect until terminated by mutual
agreement of the City and the County.
29. Preliminary plans reviewed at the City public hearing and final plans and
specifications are hereby in all things approved.
