34 II.PROCLAMATIONS AND RECOGNITION.

A.36 VillageFest Presentation.

38 Ms. Julianne Hunter of VillageFest stated a request has been submitted for a Special Event
39 Permit to hold the annual VillageFest celebration August 4-5, 2023. Being that the request
40 involves City property, amplified music and expects to exceed 100 attendees ; a Special Event
41 Permit is required.

43 VillageFest is a large and long-standing community event that involves a number of events in
44 different areas of the City, and required support from the City’s Public Safety and Public Works
45 Departments.

47 On June 27th, 2023 VillageFest representatives met with staff representatives to discuss the
48 needs of City services, primarily focused around road closures and staff support for the parade,

1 and support services for events in Central Park. Staff found those requests to be reasonable and
2 consistent with past celebrations. A schedule of events was provided for Council review.

4 Councilmember Walker asked about the date/time for the blood drive. Ms. Hunter stated it is
5 Friday from 9am – 3pm.

7 Mayor Stille thanked Ms. Hunter for her presentation and thanked her for all she does for the
8 community.

B.10 Night to Unite Presentation.

12 Police Sergeant James South provided an overview of Night to Unite. The City has supported
13 Night to Unite for 16 years. Prior to that they supported National Night Out. The date is
14 Tuesday, August 1, 2023. This is a great opportunity for the community to meet the Police
15 Officers. Last year there were 45 block parties. As of today there are 40 parties registered. Cub
16 Foods provides a bucket of vanilla ice cream for free to all registered block parties.

1 Mayor Stille opened the public hearing at 7:15 p.m.

3 City Attorney Jay Lindgren reviewed the City currently has a franchise ordinance allowing
4 CenterPoint Energy a nonexclusive right to use public grounds and rights of way to distribute
5 natural gas to customers within the City. The current ordinance expires soon and requires
6 consideration of a new ordinance for a 20 year period.

8 The proposed franchise ordinance is similar to the current ordinance in that it requires (1)
9 agreement with the City about location of gas utilities, (2) allows the City to charge a franchise
10 fee to be established as part of your annual fee schedule (as long as consistent with Minnesota
11 Public Utilities Commission), (3) allows the City to charge permit fees consistent with an annual
12 schedule, and (4) allows the City to require escrow deposits, prior to disturbing any public
13 ground.

15 Based on this, there should be no substantial changes to the way the franchise operates over the
16 next 20 years.

18 Mayor Stille asked if this would address should a utility fee be charged in the future. Mr.
19 Lindgren stated that would be a separate action but this would allow you to charge a permit fee
20 to CenterPoint. Mayor Stille noted the City does not do that. Mayor Stille asked about the
21 potential for escrows. There needs to be escrows before they dig. Mr. Lindgren stated that is true.

42 City Manager Charlie Yunker reviewed Council is requested to approve the Use of Central Park

B.4 Ordinance 2023-03 Regulating the Sale and Distribution of Hemp-Based Cannabinoid
5 Products.

7 City Planner Steve Grittman reviewed the proposed ordinance for the regulation of commercial
8 sales of THC/Hemp products (or “cannabinoids”). The information reflect the discussion held by
9 the Council at the first reading. The ordinance is essentially the same as that presented during the
10 first reading, with updates to internal language and references noted by Council.
11
12 The moratorium ordinance related to THC/Hemp products expires on July 26, 2023. Because the
13 moratorium expires a day after the Council’s second reading, the Council may wish to exercise
14 its authority to waive the third reading if desired, to avoid a gap between the expiration of the
15 moratorium and adoption of the ordinance.

17 Mayor Stille noted the Planning Commission suggested one of the reasons for not providing the
18 license if there was a conviction for illegal selling of cannabis products and they questioned why
19 not expanding that to other illicit drugs. Mr. Grittman stated with discussions with the City
20 Manager they felt the existing language was most appropriate.

22 Motion by Councilmember Jenson, seconded by Councilmember Walker, to approve Second
23 Reading of Ordinance 2023-03 Regulating the Sale and Distribution of Hemp-Based
24 Cannabinoid Products, waiving Third Reading and adopting the ordinance.

28 Mayor Stille stated at the last meeting the cannabinoid issue was discussed but Council was not
29 able to move forward on a moratorium due to timing. Mr. Grittman clarified it is the cannabis
30 material that the League of Minnesota Cities has advised Cities to adopt a moratorium to avoid
31 the establishment of a cannabis related business that could last until 1-1-2025 but because there
32 is no state office yet, no one can get a license yet. A public hearing would need to be held and it
33 is planned for the first meeting in August.

37 City Manager Charlie Yunker reviewed the resolution before the Council is for approving a
38 Summary Publication for Ordinance 2023-03.

D.45 Liquor Operations Mid-Year Report.

1 Liquor Operations Manager Mike Larson presented a power point summarizing the mid-year
2 report for the St. Anthony Village Liquor Operations. Two other employees Chris Mork and Bill
3 Haugen were also present. Mr. Haugen noted there are two locations – Silver Lake Village 2602
4 39th Avenue and Marketplace 2700 Highway 88. He reviewed the Mission and Vision
5 Statements. The profits from the liquor operations are transferred to the General Fund and can be
6 used to provide property tax levy relief, provide funds for equipment purchases for police, fire
7 and public works departments and supplement general fund purchases.

9 Mr. Larson reviewed the conditions through June 2023 and provided a January – June 2023-2022
10 Sales and Profit Comparison chart. Other charts were presented including 2023 Sales
11 Comparison, 2023 Sales Projection, and 2023 Net Income Projection.

13 The 2023 Accomplishments included:

16 Minnesota Municipal Beverage Association Conference
17 MMBA/MLBA Legislative Day at the Capital
18 Students in Government
19 Social Media Advertising & New Sharing Group

23 The current status of where the liquor operations are now include construction surrounding the
24 stores, supply chain delivery issues, inflationary influence on customers purchasing habits, and
25 cost of products and retail prices stabilizing.

27 Liquor Operations will be celebrating 75 years of Public Service in 2023. Plans for the future
28 include implement new on-line ordering and application, continued collaboration products with
29 local distilleries and breweries, holiday sampling events and THC/Cannabis/Hemp products.

32 Councilmember Walker congratulated Mr. Larson for 75 years of service. Mr. Larson stated he
33 has been here for 27 years. Councilmember Walker asked about the north location sales increase.
34 Mr. Larson explained the construction on Highway 88.

36 Councilmember Jenson stated the overall business picture presented looks favorable. Liquor
37 Operations are exceeding projections. He thanked Liquor Operations Staff for their contribution
38 to enabling the business plan to be as good as it is.

40 Councilmember Randle thanked Mr. Larson for his presentation. He asked if there is an appetite
41 for the hemp based products in the City. Mr. Larson stated they are looking forward to the
42 adoption of the ordinance. Residents have been inquiring about the product being available and
43 the demand is very high.

45 Mayor Stille noted the Mission Statement will be outdated as it only addresses alcohol. He
46 thanked Mr. Larson for the presentation.

8 Councilmember Jenson stated on July 14, the Ramsey County Local League of Governments had
9 a Climate Action Plan Program. On July 19, he attended the Northeast Youth and Family
10 Services had an Open House.

BACKGROUND
As part of the City’s continuous efforts to enhance amenities throughout our park system, staff applied for a Be
Active! Be Green! Bench grant through Ramsey County.
Active Living Ramsey Communities works to place benches on trails and pedestrian corridors throughout
Ramsey County to create a more walkable environment for people of all ages and abilities.
The goal of the Be Active! Be Green! Bench Initiative is to have benches placed often enough that when people
sit on one bench, they're able to see the next one — with the thought that seniors, people with disabilities, or
small children can more easily make it to the next bench.
St. Anthony was awarded 5 benches that will be placed in Emerald Park and along Silver Lane, about equidistant
between Emerald Park and the Silver Oak park Trail connection on the New Brighton side of Silver Lane.
RECOMMENDATION
Staff recommends approval of the resolution to authorize staff to execute the agreement.

Be Active! Be Green! Bench Grant Agreement
This agreement dated ______________ is between the County of Ramsey (“COUNTY”) and
Saint Anthony Village (“GRANTEE”).
RECITALS
A. GRANTEE has requested COUNTY provide Be Active! Be Green! benches for placement on
property GRANTEE owns or operates.
B. COUNTY wishes to provide the proposed benches and wishes to ensure that they will be placed
as attached and will be maintained.
AGREEMENT
THE COUNTY and GRANTEE AGREE THAT, in consideration of the COUNTY providing the indicated
number of benches for no charge, the GRANTEE:
A. Has a legal right to the trail, path, sidewalk, or other right-of-way (“right-of-way”) upon
which the benches will be installed. The legal right may be in the form of fee title,
permanent recorded easement, or lease with a remaining term of no less than 20 years.
B. Will provide transportation of the benches from a central distribution location to a safe
and secure location prior to its transport to the location of installation, at GRANTEE’s
expense, within two weeks of being notified by email that the benches are ready for
pick up. The safe and secure location shall provide protection of the bench from
condition that may cause damage beyond normal wear and tear.
C. Will assemble and install the provided benches, at GRANTEE’s expense, on publicly
accessible right-of-way at the locations indicated on Attachment A Part 1 and Part 2,
and in accordance with the plans and details contained in the Be Active! Be Green!
Bench Initiative documents and grantee's application attached here to as Attachment B
Part 1 and Part 2, within one year of receipt. Installation shall include attaching the
bench to a base sufficient to provide security and stability of the benches. The location
and pad must meet Americans with Disability Act requirements.
D. Will promote the availability of benches and the Be Active! Be Green! Bench Initiative to
its residents and other visitors through its customary and usual communications tools
including any community newsletter, organizational website, or other common means
of communication and will be a part of the Active Living Ramsey Communities Coalition
by being a part of its mailing lists and attend meetings when possible.
E. Ensure each bench is maintained in safe and usable condition. The GRANTEE agrees that
benches will be available for use by all people regardless of race, gender, economic
background, or national origin.
F. The GRANTEE is solely responsible for the future maintenance, repair, upkeep, or
replacement of all benches installed.
G. Will provide the specific location data for each bench in a format that can be integrated
with the COUNTY’s geographical information system (GIS).

H. Will provide a photograph of each bench installed for use by COUNTY for its reporting,
messaging, and marketing purposes.
OTHER TERMS:
I. CANCELLATION and REMOVAL: GRANTEE agrees that, in the event a bench is removed
or not maintained, that GRANTEE will reimburse COUNTY for the cost of the bench at a
pro-rated amount based on a twenty-year useable life. If the bench is reinstalled at an
COUNTY approved replacement location, either owned by GRANTEE or another partner,
COUNTY may waive the reimbursement requirement.
J. LIMIT OF COUNTY PARTICIPATION: The County’s participation in this agreement is
limited to providing funding for the initial supply of benches, coordinating delivery, and
ensuring the benches are located, installed, maintained, and repaired, as it determines
is necessary and as provided herein. Nothing herein shall be deemed to require the
County to pay or perform maintenance, repair, or replacement on the provided
benches.
K. INDEMNIFICATION: The GRANTEE shall defend and indemnify the COUNTY, its officers,
agents, and employees from all claims and causes of actions relating to or arising from
the GRANTEE's installation, use, and maintenance of the benches, or their use and
availability to visitors and other members of the public. This provision shall survive any
termination of this agreement.
L. ENTIRE AGREEMENT: This Agreement shall constitute the entire Agreement between
the parties and shall supersede all prior oral or written negotiations and any
amendments to this Agreement shall be in writing.
This Agreement is duly executed on the last date written below.

BACKGROUND AND ANALYSIS
This memorandum forwards an interim ordinance establishing a moratorium on the use of land
for sales, manufacturing, or distribution of cannabis products within the Village. As you are
likely aware, the State Legislature authorized both personal use and business activities related
to cannabis products in its 2023 session.
The ordinance is to be considered following a public hearing, which has been noticed for this
meeting date.
Personal use (including use, possession, and growing) of these products became legal
throughout the state on August 1. The relevant statute authorized personal use in specific
areas, and prohibited it others, although Cities are left to regulate a variety of public places
separately.
The statute also authorizes business activities related to sales, manufacturing and distribution
of cannabis. However, these activities will be licensed through a new state “Office of Cannabis
Management”, which is still being established and staffed. As such, business activities are not
expected to begin prior to January 1, 2025. As such, the proposed interim ordinance
establishes a local moratorium through that date, allowing St. Anthony to study the land use
and public health issues related to the new law, and create relevant regulations around
businesses that may seek a St. Anthony location.
Just to be clear, the interim ordinance addresses business aspects of cannabis only – the
personal use issues are not subject to the moratorium.

STAFF RECOMMENDATION
1.Staff recommends that the City Council adopts the proposed interim ordinance, and
directs staff to conduct the relevant studies for City Council review and consideration.

AN INTERIM ORDINANCE ESTABLISHING A MORATORIUM
ON THE USE OF ANY LAND, ACCEPTANCE OF APPLICATIONS,
OR THE ISSUANCE OF ANY CITY PERMITS, FOR THE SALE, MANUFACTURE,
OR DISTRIBUTION OF ANY CANNABIS PRODUCTS REGULATED UNDER
MINN. STAT. §342 AND/OR MINNESOTA SESSION LAWS 2023, CHAPTER 63
THE ST. ANTHONY CITY COUNCIL ORDAINS AS FOLLOWS:
WHEREAS, the City of St. Anthony Village finds that the Minnesota Legislature’s enactment
of amendments to Minn. Stat. § 342 as adopted in Minnesota Session Laws 2023 Chapter 63
have the potential to impact existing land use and the public health, safety, and welfare of the St.
Anthony community; and
WHEREAS, the City of St. Anthony Village takes notice of state encouragement and/or
allowances for local determination of appropriate regulations surrounding the sale, manufacture,
and distribution of cannabis products subject to the relevant statute; and
WHEREAS, the City of St. Anthony Village takes notice of other Minnesota cities engaged in
the development of regulations and/or licensing procedures for such sales, manufacture, and
distribution; and
WHEREAS, the City of St. Anthony Village hereby adopts this ordinance to allow the City
adequate time to study and consider appropriate land use and other regulatory controls related to
the sale of any cannabis products; and
WHEREAS, the City of St. Anthony Village is presently conducting, or soon will conduct, a
study for the purpose of considering amendment of its official controls regarding appropriate
land uses related to the sale of such products; and
WHEREAS, such study is needed so the City can review its official controls, including its
zoning and other regulations, to identify the potential issues and impacts of cannabis product
businesses, and to clarify said regulations relating to such sales as principal or accessory uses of
property; and
WHEREAS, there is a need for an interim ordinance to be adopted for the purpose of protecting
the planning process and the health, safety, and welfare of the citizens of the City until such a
study has been completed.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of St. Anthony
Village, Minnesota:
1.Pursuant to Minn. Stat. § 462.355, et seq., and Minn. Stat. § 342, the City hereby adopts
and approves the order for interim ordinance temporarily prohibiting the use of any land,
prohibiting the City from accepting any application, or issuing any City permit, for the
sale, manufacture, or distribution of any cannabis-related product subject to the
requirements of Minn. Stat. § 342 or any related or similar activity, as a principal or
accessory use within any portion of the City of St. Anthony, Minnesota.
2.This ordinance shall take effect and be in full force from and after its passage pursuant to
the requirements of relevant Minnesota law. It shall remain in effect until the adoption of
the official controls contemplated herein or January 1, 2025, whichever occurs first, after
which occurrence this ordinance shall lapse, unless properly extended pursuant to
applicable state law.

David Maceda, owner of Catrina’s, has submitted a request for a Special Event Permit for the Despues de la
Playa “pop-up” event on August 27, 2023 located at 2510 Kenzie Terrace from 12pm to 6pm.
The event will be held in the parking lot where up to 20 local small businesses will be selling merchandise and
amplified music will be playing. They expect approximately 100 people to attend the event. No alcohol will be
served.
RECOMMENDATION
Staff recommends approval of the Special Event Permit to David Maceda for August 27, 2023.

Indemnification Agreement and Insurance Information
The applicant hereby agrees to save, defend, hold harmless, and indemnify the City of
St. Anthony Village and all of its officers, departments, agencies, agents, and
employees (collectively the “City”) from and against any and all claims, losses,
damages, injuries, fines, penalties, and costs, including attorneys’ fees, charges,
liability, or other exposures, however caused, resulting from, arising out of, or in any
way related to the applicant’s event as herein described and applicant’s use of City
property and/or right-of-way. Nothing herein shall have any effect on the City’s right to
assert any liability defense in accordance with Minnesota Statutes, Chapter 466.
The City, in its sole discretion, may require the Applicant to obtain liability insurance
coverage(s) for any event. If the City notifies the Applicant in writing that liability
insurance is required, the Applicant must provide proof of the appropriate liability
insurance(s) in the amount(s) provided herein.
The Applicant must provide the City with a Certificate of Insurance showing proof of the
required liability insurance(s). The City must be listed as an additional insured on all
liability policies. Applicant’s insurance shall act as the primary insurance coverage for
any claims of loss covered by the insurance policy.
The City requires the Applicant to obtain any or all of the following insurance coverage,
in at least the coverage amounts contained herein:
1. Commercial general liability insurance or equivalent special event coverage
protecting Applicant and City from claims for damages or bodily injury and property
damage which may arise out of or in connection with the event’s operation and use of
the City’s property or right-of-way. This general liability insurance policy shall be in an
amount not less than $1,000,000.00 per occurrence.
2. If Applicant will be using an automobile for any portion of the Applicant’s event,
Applicant must obtain automobile liability insurance in an amount not less than
$1,000,000.00 per occurrence. Such policy must include liability coverage for owned,
nonowned, and hired automobiles.
3. If alcohol will be served or included in Applicant’s event, Applicant must obtain
liquor liability (also known as dram shop) insurance in an amount not less than
$1,000,000.00 per occurrence.
The City reserves the right to modify these insurance requirements at its sole discretion
based on the nature and scope of Applicant’s proposed event.

Resolution:Approval of Resolution 23-044 to authorize staff to contract with Rose City to replace dynamic
display sign at City Hall.
OVERVIEW
Our current McKay LED dynamic display sign located at City Hall was installed in 2000, and is no longer working.
Over the years we had been fortunate to have one option for sign repairs unfortunately our repair service is no
longer available and we have been unable to locate alternative repair services for our sign.
Staff has participated in demonstrations from two vendors and is recommending Option number 2 in full color,
from Rose City. The cost of the new sign is $53,231.00. This includes installation of a new 15.85 mm message
center on our current sign base, removal and disposal of existing sign, 5 year warranty on parts & 1 year
warranty on labor, and lifetime cellular plan. Electrical hookup for the new sign will be an additional charge. The
sign is a budgeted item for replacement in 2024.

The City currently has a franchise ordinance allowing CenterPoint Energy a nonexclusive right
to use public grounds and rights of way to distribute natural gas to customers within the City.
The current ordinance expires soon and requires consideration of a new ordinance for a
20 year period.
The attached proposed franchise ordinance is similar to the current ordinance in that it requires
(1)agreement with the City about location of gas utilities,(2)allows the City to charge a
franchise fee to be established as part of your annual fee schedule (as long as consistent with
Minnesota Public Utilities Commission),(3)allows the City to charge permit fees consistent
with an annual schedule,and (4)allows the City to require escrow deposits,prior to disturbing
any public ground.
Based on this,there should be no substantial changes to way the franchise operates over the
next 20 years.

CENTERPOINT ENERGY MINNESOTA GAS (“CENTERPOINT ENERGY”), ITS
SUCCESSORS AND ASSIGNS, A NONEXCLUSIVE FRANCHISE (“FRANCHISE”) TO
CONSTRUCT, OPERATE, REPAIR AND MAINTAIN FACILITIES AND EQUIPMENT
FOR THE TRANSPORTATION, DISTRIBUTION, MANUFACTURE AND SALE OF GAS
ENERGY FOR PUBLIC AND PRIVATE USE AND TO USE THE PUBLIC WAYS AND
GROUNDS OF THE CITY OF ST. ANTHONY, MINNESOTA, FOR SUCH PURPOSE;
AND, PRESCRIBING CERTAIN TERMS AND CONDITIONS THEREOF
THE CITY COUNCIL OF THE CITY OF ST. ANTHONY,, MINNESOTA, ORDAINS:
SECTION 1.DEFINITIONS
For purposes of this Ordinance, the following capitalized terms listed in alphabetical order shall have
the following meanings:
City. The City of St. Anthony, Counties of Hennepin and Ramsey, State of Minnesota.
City Utility System. Facilities used for providing public utility service owned or operated by
City or agency thereof, including sewer, storm sewer, water service, street lighting and traffic signals,
but excluding facilities for providing heating, lighting, or other forms of energy.
Commission. The Minnesota Public Utilities Commission, or any successor agency or
agencies, including an agency of the federal government, which preempts all or part of the authority
to regulate gas retail rates now vested in the Minnesota Public Utilities Commission.
Company. CenterPoint Energy Resources Corp. d/b/a CenterPoint Energy Minnesota Gas
its successors and assigns including all successors or assigns that own or operate any part or parts of
the Gas Facilities subject to this Franchise.
Gas Energy. Gas Energy includes both retail and wholesale natural, manufactured or mixed
gas.
Gas Facilities. Gas transmission and distribution pipes, lines, ducts, fixtures and all necessary
equipment and appurtenances owned or operated by the Company for the purpose of providing Gas
Energy for retail or wholesale use.

Notice. A writing served by any party or parties on any other party or parties. Notice to
Company shall be mailed to CenterPoint Energy, Minnesota Division Vice President, 505 Nicollet
Mall, Minneapolis, Minnesota, 55402. Notice to the City shall be mailed to City Manager, City of St.
Anthony, 3301 Silver Lake Road, St. Anthony, Minnesota. Any party may change its respective
address for the purpose of this Ordinance by written Notice to the other parties.
Ordinance. This gas franchise ordinance, also referred to as the Franchise.
Public Way. Any highway, street, alley or other public right-of-way within the City.
Public Ground. Land owned or otherwise controlled by the City for utility easements, park,
trail, walkway, open space or other public property, which is held for use in common by the public or
for public benefit.
SECTION 2.ADOPTION OF FRANCHISE
2.1 Grant of Franchise. City hereby grants Company, for a period of 20 (twenty) years
from the date this Ordinance is passed and approved by the City, the right to import, manufacture,
distribute and sell Gas Energy for public and private use within and through the limits of the City as
its boundaries now exist or as they may be extended in the future and also the right to transport Gas
Energy through the limits of the City for use outside of the City limits. For these purposes, Company
may construct, operate, repair and maintain Gas Facilities in, on, over, under and across the Public
Ways and Public Grounds, subject to the provisions of this Ordinance. Company may do all
reasonable things necessary or customary to accomplish these purposes, subject, however, to such
lawful regulations as may be imposed by the City pursuant to a public right-of-way ordinance or
permit requirements adopted consistent with state law, including all fees and deposits required under
City Code, Chapter 96, and the City’s corresponding annual fee schedule, so long as the fees are not
contrary to the provisions in Minnesota Administrative Rule 7819.000.
2.2 Effective Date; Written Acceptance. This Franchise shall be in force and effect from
and after the passage of this Ordinance and publication as required by law and its acceptance in writing
by Company.
2.3.Service and Gas Rates. The terms and conditions of service and the rates to be
charged by Company for Gas Energy in City are subject to the exclusive jurisdiction of the
Commission.
2.4.Publication Expense. Company shall pay the expense of publication of this
Ordinance.
2.5.Dispute Resolution. If either party asserts that the other party is in default in the
performance of any obligation hereunder, the complaining party shall notify the other party of the
default and the desired remedy. The notification shall be written. Representatives of the parties must
promptly meet and attempt in good faith to negotiate a resolution of the dispute. If the dispute is not
resolved within thirty (30) days of the written Notice, the parties may jointly select a mediator to
facilitate further discussion. The parties will equally share the fees and expenses of this mediator. If
a mediator is not used or if the parties are unable to resolve the dispute within thirty (30) days after

first meeting with the selected mediator, either party may commence an action in District Court to
interpret and enforce this Franchise or for such other relief as may be permitted by law or equity.
2.6.Continuation of Franchise. If the City and the Company are unable to agree on the
terms of a new franchise by the time this Franchise expires, this Franchise will remain in effect until
a new franchise is agreed upon, or until ninety (90) days after the City or the Company serves written
Notice to the other party of its intention to allow Franchise to expire.
SECTION 3.LOCATION, OTHER REGULATIONS
3.1.Location of Facilities. Gas Facilities shall be located, constructed, and maintained
so as not to interfere with the safety and convenience of ordinary travel along and over Public Ways
and so as not to disrupt normal operation of any City Utility System. Gas Facilities may be located
on Public Grounds in a location to be mutually agreed by the City and the Company. The location
and relocation of Gas Facilities shall be subject to reasonable regulations of the City consistent with
authority granted the City to manage its Public Ways and Public Grounds under state law, to the extent
not inconsistent with a specific term of this Franchise.
3.2.Street Openings. Company shall not open or disturb the surface of any Public Way
or Public Ground for any purpose without first having obtained a permit from the City for which the
City may impose a reasonable fee and escrow deposit under City Code, Chapter 96 and the City’s
corresponding annual fee schedule. Permit conditions imposed on Company shall not be more
burdensome than those imposed on other public right-of-way users for similar facilities or work.
Company may, however, open and disturb the surface of any Public Way or Public Ground without
a permit if (i) an emergency exists requiring the immediate repair of Gas Facilities and (ii) Company
gives telephone, email or similar Notice to the City before commencement of the emergency repair,
if reasonably possible. Within two (2) business days after commencing the repair, Company shall
apply for any required permits and pay any required fees.
3.3.Restoration. After undertaking any work requiring the opening of any Public Way
or Public Ground, the Company shall restore the Public Ways or Public Grounds in accordance with
Minnesota Rules, 7819.1100. Company shall restore the Public Ground to as good a condition as
formerly existed, and shall maintain the surface in good condition for six (6) months thereafter. All
work shall be completed as promptly as weather permits, and if Company shall not promptly perform
and complete the work, remove all dirt, rubbish, equipment and material, and put the Public Ground
in the said condition, the City shall have, after demand to Company to cure and the passage of a
reasonable period of time following the demand, but not to exceed five (5) days, the right to make the
restoration of the Public Ways or Public Grounds at the expense of Company. Company shall pay to
the City the cost of such work done for or performed by the City. The Company shall not be required
to post a construction performance bond.
3.4.Avoid Damage to Gas Facilities. The Company must take reasonable measures to
prevent the Gas Facilities from causing damage to persons or property. The Company must take
reasonable measures to protect the Gas Facilities from damage that could be inflicted on the Gas
Facilities by persons, property or the elements. Per Minnesota Statute § 216D.05, the City must take
protective measures when it performs work near the Gas Facilities.

3.5.Notice of Improvements to Streets. The City will give Company reasonable written
Notice of plans for improvements to Public Ways and Public Grounds where the City has reason to
believe that Gas Facilities may affect or be affected by the improvement. The Notice will contain:
(i) the nature and character of the improvements, (ii) the Public Ways or Public Grounds upon which
the improvements are to be made, (iii) the extent of the improvements, (iv) the time when the City
will start the work, and (v) if more than one Public Way or Public Grounds is involved, the order in
which the work is to proceed. The Notice will be given to Company a sufficient length of time,
considering seasonal working conditions, in advance of the actual commencement of the work to
permit Company to make any additions, alterations or repairs to its Gas Facilities Company deems
necessary.
3.6 Mapping Information. If requested by City, Company must promptly provide
complete and accurate mapping information for any of its Gas Facilities in accordance with the
requirements of Minnesota Rules 7819.4000 and 7819.4100.
3.7.Emergency Response. As emergency first responders, when a public safety concern
exists both the City and Company shall respond to gas emergencies within the City without additional
direct fee or expense to either City or Company.
SECTION 4.RELOCATIONS
4.1.Relocation in Public Ways. The Company and City shall comply with the provisions
of Minnesota Rules 7819.3100 with respect to requests for the Company to relocate Gas Facilities
located in Public Ways.
4.2 Relocation in Public Grounds. City may require Company at Company’s expense
to relocate or remove its Gas Facilities from Public Grounds upon a finding by City that the Gas
Facilities have become or will become a substantial impairment to the existing or proposed public
use of the Public Grounds. Nothing in this Section 4.2 shall be construed so as to invalidate or impair
any existing company easements in Public Grounds. If Company is required to relocate from an
existing easement, City shall provide an equivalent easement for the relocated facilities.
4.3.Projects with Federal Funding. Relocation, removal or rearrangement of any
Company Gas Facilities made necessary because of the extension into or through City of a federally
aided highway project shall be governed by the provisions of Minnesota Statutes §§ 161.45 and
161.46.
SECTION 5.INDEMNIFICATION
5.1.Indemnity of City. Company shall indemnify and hold the City harmless from any
and all liability, on account of injury to persons or damage to property occasioned by the construction,
maintenance, repair, inspection, the issuance of permits or the operation of the Gas Facilities located
in the Public Ways and Public Grounds. The City shall not be indemnified for losses or claims
occasioned through its own negligence or otherwise wrongful act or omission except for losses or
claims arising out of or alleging the City's negligence as to the issuance of permits for, or inspection
of, Company's plans or work.

5.2.Defense of City. In the event a suit is brought against the City under circumstances
where this agreement to indemnify applies, Company at its sole cost and expense shall defend the
City in such suit if written Notice thereof is promptly given to Company within a period wherein
Company is not prejudiced by lack of such Notice. If Company is required to indemnify and defend,
it will thereafter have control of such litigation, but Company may not settle such litigation without
the consent of the City, which consent shall not be unreasonably withheld. This section is not, as to
third parties, a waiver of any defense or immunity otherwise available to the City. The Company, in
defending any action on behalf of the City, shall be entitled to assert in any action every defense or
immunity that the City could assert in its own behalf. This Franchise agreement shall not be
interpreted to constitute a waiver by the City of any of its defenses of immunity or limitations on
liability under Minnesota Statutes, Chapter 466.
SECTION 6.VACATION OF PUBLIC WAYS AND PUBLIC GROUNDS
The City shall give Company at least two weeks prior written Notice of a proposed vacation
of a Public Ways or Public Grounds. The City and the Company shall comply with Minnesota Rules
7819.3100 and 7819.3200 with respect to any request for vacation.
SECTION 7.CHANGE IN FORM OF GOVERNMENT
Any change in the form of government of the City shall not affect the validity of this
Ordinance. Any governmental unit succeeding the City shall, without the consent of Company,
succeed to all of the rights and obligations of the City provided in this Ordinance.
SECTION 8.FRANCHISE FEE
8.1.Form. During the term of the franchise hereby granted, the City may charge the
Company a franchise fee. The Company will administer the collection and payment of franchise fees
to City in lieu of permit fees or other fees that may otherwise be imposed on the Company in relation
to its operations as a public utility in the City. The franchise fee will be collected on a flat fee basis,
or by some other method that is mutually acceptable to both City and Company for each retail
customer account within the corporate limits of the City. The amount of the fee collected may differ
for each customer class. The City will use a formula that provides a stable and predictable amount of
fees, without placing the Company at a competitive disadvantage. Such fee shall not exceed any
amount that the Company may legally charge to its customers prior to payment to the City and be
consistent with the Minnesota Public Utility Commission’s March 23, 2011, Order establishing
franchise fee filing requirements in Docket No. E,G999/CI-09-970. If the Company claims that the
City required fee formula is discriminatory or otherwise places the Company at a competitive
disadvantage, the Company will provide a formula that will produce a substantially similar fee amount
to the City. If the City and Company are unable to agree, the disagreement shall be subject to the
Dispute Resolution provisions of this Ordinance. For clarity, the City and Company agree that the
City may charge all required permit fees and deposits imposed under City Code, Chapter 96, and the
City’s corresponding annual fee schedule, until such time as the City chooses to impose the franchise
fee authorized under this Section 8.1.
8.2.Separate Ordinance. The franchise fee shall be imposed by separate ordinance duly
adopted by the City Council. The effective date of the franchise fee ordinance shall be no less than

ninety (90) days after written Notice enclosing a copy of the duly adopted and approved ordinance
has been served upon the Company by Certified mail. The Company is not required to collect a
franchise fee if the terms of the fee agreement are inconsistent with this franchise or state law,
provided the Company notifies the City Council of the same within the ninety (90) day period.
8.3.Condition of Fee. The separate ordinance imposing the fee shall not be effective
against the Company unless it lawfully imposes a fee of the same or substantially similar amount on
the sale of energy within the City by any other energy supplier, provided that, as to such supplier, the
City has the authority or contractual right to require a franchise fee or similar fee through an agreed-
upon franchise.
8.4.Collection of Fee. The franchise fee shall be payable not less than quarterly during
complete billing months of the period for which payment is to be made. The franchise fee formula
may be changed from time to time, however, the change shall meet the same Notice and acceptance
requirements and the fee may not be changed more often than annually. Such fee shall not exceed
any amount that the Company may legally charge to its customers prior to payment to the City and
be consistent with Minnesota Public Utility Commission’s March 23, 2011, Order establishing
franchise fee filing requirements in Docket No. E,G999/CI-09-970. Such fee is subject to
subsequent reductions to account for uncollectibles and customer refunds incurred by the Company.
The Company shall not be responsible to pay City fees that Company is unable to collect under
Commission rules or order. Company agrees to make available for inspection by City at reasonable
times all records necessary to audit Company’s determination of the franchise fee payments.
8.5.Continuation of Franchise Fee. If this franchise expires and the City and the
Company are unable to agree upon terms of a new franchise, the franchise fee, if any being imposed
by the City at the time this franchise expires, will remain in effect until a new franchise is agreed
upon. However, the franchise fee will not remain in effect for more than one (1) year after the
franchise expires as stated in Section 2.6 of this Franchise. If for any reason the franchise terminates,
the franchise fee will terminate at the same time.
SECTION 9.ABANDONED FACILITIES
The Company shall comply with Minnesota Rules, Part 7819.3300, as it may be amended
from time to time with respect to abandoned facilities in Public Ways. The Company shall
maintain records describing the exact location of all abandoned and retired Gas Facilities within
the Public Ways and Public Grounds, produce such records at the City’s request and comply with
the location requirements of Minnesota Statutes § 216D.04 with respect to all Gas Facilities located
in Public Ways and Public Grounds.
SECTION 10.PROVISIONS OF ORDINANCE
10.1.Severability. Every section, provision or part of this Ordinance is declared separate
from every other section, provision or part; and if any section, provision or part shall be held
invalid, it shall not affect any other section, provision or part. Where a provision of any other City
ordinance is inconsistent with the provisions of this Ordinance, the provisions of this Ordinance
shall prevail.

10.2.Limitation on Applicability. This Ordinance constitutes a franchise agreement
between City and Company as the only parties. No provisions herein shall in any way inure to the
benefit of any third person (including the public at large) so as to constitute any such person as a
third-party beneficiary of this Ordinance or of any one or more of the terms hereof, or otherwise
give rise to any cause of action in any person not a party hereto.
SECTION 11.AMENDMENT PROCEDURE
Either party may propose at any time that this Franchise Ordinance be amended. Franchise
Ordinance may be amended at any time by the City passing a subsequent ordinance declaring the
provisions of the amendment, which amendatory ordinance shall become effective upon the filing of
Company’s written consent thereto with the City Clerk within ninety (90) days after the effective date
of the amendatory ordinance.

solicit public response to a proposed amendment to City Code granting CenterPoint Energy, its
successors and assigns, a non-exclusive franchise to construct, operate, repair and maintain a gas
distribution system including necessary gas mains, pipes and equipment for the transportation,
distribution and sale of gas for public and private use and to use public ways and public grounds of the
