Resolution:Approving Proposed Fourth Amendment to Contract for Redevelopment with Doran SLV, LLC
BACKGROUND
In front of you this evening is a resolution approving a Fourth Amendment to Contract for Redevelopment with
Doran SLV, LLC for the former Walmart site redevelopment, referred to as The Ruby.
The initial Contract for Private Redevelopment contemplated the construction of each phase of our Ruby project
to be done in two phases. A Second Amendment was requested and subsequently approved, which changed the
improvement construction commencement and completion dates given uncertainties with the recent pandemic.
In December of 2023, a Third Amendment was requested by Doran SLV, LLC and approved by the City to further
extend the commencement and completion dates due to economic conditions.
Due to those ongoing market challenges, Doran SLV, LLC is requesting an extension of timing requirements on
Phase 2. Doran SLV, LLC proposes Phase II Commencement deadline of January 1, 2026 and completion date of
January 1, 2028.
Doran SLV, LLC representative Evan Doran is on hand to discuss their challenges, offer further insight to the
request, and answer any questions the Council may have.
RECOMMENDATION

OF ST. ANTHONY, MINNESOTA, THE CITY OF
ST. ANTHONY VILLAGE, AND DORAN SLV, LLC
This Fourth Amendment ("Fourth Amendment") is made as of _________, 2024
by and among the HOUSING AND REDEVELOPMENT AUTHORITY OF ST.
ANTHONY, MINNESOTA, a public body politic and corporate (the "Authority"), the
CITY OF ST. ANTHONY VILLAGE, a Minnesota municipal corporation (the "City"),
DORAN SLV, LLC, a Minnesota limited liability company (the "Phase I Redeveloper"),
Doran St. Anthony, LLC, a Minnesota limited liability company (the "Phase I Owner")
and Doran SLV II, LLC, a Minnesota limited liability company (the "Phase II Owner
and Redeveloper" and, together with the Phase I Redeveloper, the "Redeveloper").
WHEREAS, the Authority, the City, and the Phase I Redeveloper entered into
that certain Contract for Private Development dated as of February 19, 2019, and filed
of record in the office of the Ramsey County Recorder on March 17, 2020, as Document
No. A04802554, as affected by City of St Anthony Village Resolution 19-093 approving
Contract for Private Redevelopment Agreement with Phase I Redeveloper, recorded
March 11, 2020, as Document No. A04801670, as affected by Housing and
Redevelopment Authority of St. Anthony, Minnesota Resolution 19-05, a resolution
approving Contract for Private Redevelopment and awarding the sale of, and providing
the form, terms, covenants and directions for the issuance of its tax increment revenue
notes to Phase I Redeveloper, recorded March 11, 2020, as Document No. A04801671,
as affected by the Assignment and Subordination of Development Agreement dated
October 30, 2020, recorded February 11, 2021, as Document No. A04863728, as affected
by Amended and Restated Assignment and Subordination of Development Agreement,
dated November 24, 2020, recorded May 7, 2021, as Document No. A04882387, as
affected by Amended and Restated Assignment of Subordination of Development

Agreement and TIF Note dated November 24, 2020, recorded May 7, 2021, as Document
No. A04882388 (collectively, the “Original Agreement”), as amended by (a) that certain
First Amendment to Contract for Private Redevelopment by and among the Authority,
the City and Phase I Redeveloper dated June 2020 (the “First Amendment”); (b) that
certain Second Amendment to Contract for Private Redevelopment by and among the
Authority, the City, Phase I Redeveloper, Phase I Owner and Phase II Redeveloper and
Owner dated November 24, 2020 (the “Second Amendment”); and (c) that certain Third
Amendment to Contract for Private Redevelopment by and among the Authority, the
City, Phase I Redeveloper, Phase I Owner and Phase II Redeveloper and Owner dated
January 4, 2024 (the “Third Amendment”) and affected by (i) that certain City of St
Anthony Village Resolution 20-054 approving the First Amendment (“Resolution 20-
054”); (ii) that certain Housing and Redevelopment Authority of St. Anthony, Minnesota
Resolution 20-05, a resolution approving the First Amendment (“Resolution 20-05”);
(iii) that certain City of St Anthony Village Resolution 20-085 approving the Second
Amendment (“Resolution 20-085”); (iv) that certain Housing and Redevelopment
Authority of St. Anthony, Minnesota Resolution 20-08, a resolution approving the
Second Amendment (“Resolution 20-08”); (v) that certain City of St Anthony Village
Resolution 20-084 approving the Amended and Restated Assignment and Subordination
of Development Agreement dated November 24, 2020, recorded May 7, 2021, as
Document No. A04882387 (“Resolution 20-084”); (vi) that certain Housing and
Redevelopment Authority of St. Anthony, Minnesota Resolution 20-07, a resolution
approving the Amended and Restated Assignment and Subordination of Development
Agreement dated November 24, 2020, recorded May 7, 2021, as Document No.
A04882387 (“Resolution 20-07”); (vii) that certain City of St Anthony Village
Resolution 23-076 approving the Third Amendment (“Resolution 076”); and (viii) that
certain Housing and Redevelopment Authority of St. Anthony, Minnesota Resolution 23-
02, a resolution approving the Third Amendment (“Resolution 23-02”, and collectively
with the First Amendment, Second Amendment, Third Amendment, Resolution 20-054,
Resolution 20-05, Resolution 20-085; Resolution 20-08, Resolution 20-084, Resolution
20-07, Resolution 076, the “Unrecorded Agreements”), all such Unrecorded Agreements
evidenced by that certain Memorandum of Unrecorded Documents dated July 16, 2024
and recorded July 16, 2024 in the Office of the Ramsey County Recorder, as Document
No. A05031978 (collectively, the Original Agreement, as amended by the Unrecorded
Agreements the "Contract"), which Contract encumbers the Phase I Property and Phase
II Property legally described on Exhibit A attached hereto and incorporated herein by
reference; and
WHEREAS, the Phase II Redeveloper has requested, and the Authority and City
have agreed, to modify certain terms of the Contract arising as a result of the continuing
effects of the COVID-19 pandemic on the construction market and other causes.
NOW, THEREFORE, in consideration of the premises and the mutual
obligations of the parties hereto, each of them does hereby covenant and agree with the
other as follows:
1.Amendment of Section 4.3(a) of the Contract.

(a)The second sentence of Section 4.3(a) of the Contract is deleted in
its entirety and replaced with the following: “Subject to Unavoidable Delays, the Phase
II Owner and Redeveloper shall commence construction of Phase II of the Minimum
Improvements by January 1, 2026.”
(b)The fourth sentence of Section 4.3(a) of the Contract is deleted in its
entirety and replaced with the following: “Subject to Unavoidable Delays, the Phase II
Owner and Redeveloper shall complete construction of Phase II of the Minimum
Improvements by January 1, 2028.”
2.Resolutions. The authority of the City of St. Anthony Village to enter
into this Fourth Amendment is evidenced by the resolution attached hereto as Exhibit B
and the authority of the Housing and Redevelopment Authority of St. Anthony,
Minnesota to enter into this Fourth Amendment is evidenced by the resolution attached
hereto as Exhibit C.
3.Miscellaneous. Except as amended by this Fourth Amendment, the
Contract shall remain in full force and effect. Wherever in the Contract or any other
instrument, reference is made to the "Contract" such reference shall be to the Contract,
as amended by this Fourth Amendment. Upon execution, Phase II Owner and
Redeveloper shall reimburse the Authority for all outofpocket costs incurred by the
Authority in connection with negotiating, drafting and approval of this Fourth
Amendment. Each party hereto represents and warrants to the other parties that such
party has the requisite power and authority to enter into this Fourth Amendment; that all
necessary and appropriate approvals, authorizations and other steps have been taken to
effect the legality of this Fourth Amendment; that the signatories executing this Fourth
Amendment are authorized to do so on behalf of such party; and that this Fourth
Amendment is valid and binding upon and enforceable against such party. This Fourth
Amendment may be executed in any number of counterparts, each of which shall be
deemed an original. Facsimile or email copies of the signature pages to this Fourth
Amendment shall be deemed to be originals for all purposes of this Fourth Amendment.

RESOLUTION APPROVING FOURTH AMENDMENT TO CONTRACT
FOR PRIVATE REDEVELOPMENT BETWEEN THE HOUSING AND
REDEVELOPMENT AUTHORITY OF ST. ANTHONY, MINNESOTA,
THE CITY OF ST. ANTHONY VILLAGE, DORAN SLV, LLC, DORAN
ST. ANTHONY, LLC, AND DORAN SLV II, LLC
BE IT RESOLVED BY the Board of Commissioners ("Board") of the Housing and
Redevelopment Authority of St. Anthony, Minnesota (the "Authority") as follows:
Section 1.Recitals.
1.01.Pursuant to its authority under Minnesota Statutes, Sections 469.001 to 469.047
and 469.174 to 469.1794, as amended, the Authority has undertaken a program to promote the
development and redevelopment of land identified as the Northwest Quadrant which is
underutilized within the City, and in this connection created its Redevelopment Project Area No.
3 (hereinafter referred to as the “Project”) in an area (the “Project Area”) located in the City
pursuant to the Act, and previously established Tax Increment Financing District No. 3-5, a
redevelopment TIF district (the “TIF District”), made up of property in the Project Area.
1.02.The Authority, the City of St. Anthony Village, and Doran SLV, LLC executed a
Contract for Private Redevelopment, dated as of December 10, 2019 as amended by a First
Amendment thereto dated as of June 23, 2020, and further amended by a Second Amendment
thereto dated as of November 24, 2020, and further amended by a Third Amendment on December
12, 2023 (as so amended, the “Contract”), providing, among other things, for the construction of
certain improvements (the “Minimum Improvements”) on the property legally described in the
Contract and located within the TIF District (the “Redevelopment Property”).
1.03.Due to ongoing challenging economic and financial market conditions which
create hardship to secure project financing and other factors, the parties have negotiated and
propose to execute a Fourth Amendment to the Contract (the “Fourth Amendment”) to extend
the deadlines for the commencement and completion of construction of the Minimum
Improvements, and to acknowledge certain partial assignments of Doran SLV, LLC’s rights and
obligations under the Contract to Doran St. Anthony, LLC and to Doran SLV II, LLC.
Section 2.Fourth Amendment Approved.
2.01.The Fourth Amendment as presented to the Board is hereby in all respects
approved, subject to modifications that do not alter the substance of the transaction and that are
approved by the Chair and Executive Director, provided that execution of the Fourth
Amendment by such officials shall be conclusive evidence of approval.

2.02.The Chair and Executive Director are hereby authorized to execute on behalf of
the Authority the Fourth Amendment and any documents referenced therein requiring execution
by the Authority, and to carry out, on behalf of the Authority, its obligations thereunder.
2.03.Authority staff and consultants are authorized to take any actions necessary to
carry out the intent of this resolution.

Dear Mr. Yunker:
As requested, outlined below is a scope of work and cost estimate to develop the specs, complete the
contractor bidding, and provide environmental oversight and management to facilitate the underground
storage tank (UST) system removal at the former Bear Stop filling station at 3803 Stinson Boulevard in
Saint Anthony Village, Minnesota (Site).
Three 10,000-gallon alcohol blend (gasoline) USTs are present at the northern portion of the Site,
below the current fuel island canopy. The USTs are associated with a former filling station (Bear Stop)
and were installed in 1988. The USTs remain installed at the Site but have been inactive since 2014.
A Minnesota Pollution Control Agency (MPCA) inspection of the Site UST system in November 2015
determined the USTs contained the minimal allowed level of product to remain designated as
temporarily out of use. A petroleum leak was discovered at the Site during the completion of WSB’s
subsurface investigation in February 2023 (MPCA Leak Site LS0021928). The leak investigation
remains active at this time as efforts to delineate the contamination extent and magnitude are ongoing.
WSB understands the City of Saint Anthony Village (City) plans to remove the UST system and fuel
island canopy to prepare the Site for future sale and redevelopment. Based on the ongoing Site
investigation activities, petroleum impacted soil will be encountered and require proper management
during the UST removal activities. The proposed scope of services outlined below will include the
development of tank removal work plan documents to solicit contractor bids and environmental
oversight services per MPCA guidance.
Task 1 – Quotation Package, Bid Solicitation, and Contract Execution
WSB will prepare a Work Plan and solicit bids from at least three MPCA certified tank removal
contractors for the removal and disposal of the UST system and overhead canopy, including Site
restoration activities. It is anticipated that a minimum of two competitive bids will be obtained prior to
awarding the UST removal contract. Additionally, it is anticipated that WSB will organize and complete
one contractor pre-bid walk approximately one or two weeks before the bid deadline. The quotation
package will include details pertaining to the following UST/canopy removal, disposal and restoration
components/requirements:
• Ramsey County Parcel/City Site information
• Contractor statement of qualifications and proof of insurance
• City independent contract agreement
• Removal and disposal of the overhead canopy

• Removal, management, and disposal of the UST system (tanks and product piping)
• Removal and management of any liquids, sludge, and/or solids remaining in the tanks
• Cleaning of the USTs prior to removal and disposal
• Removal and management of petroleum impacted soil
• Public and private utility locates and the disconnection of any required public and private
utilities prior to demolition/removal.
• Permit and notification responsibilities prior to demolition/removal.
• Restoration of Site, including backfill.
• Bid form with costs broken down by:
o Removal and disposal of the overhead canopy
o Removal and disposal of the UST system
o Removal, loading, hauling and disposal of petroleum impacted soil
o Procurement of clean backfill material and backfilling and compaction of fill within the
tank excavation area
o Site restoration
WSB will summarize the provided UST system and overhead canopy removal bids in a letter to the
City and recommend a contractor based on the lowest responsible bid meeting the criteria outlined in
the quotation package. WSB will also assist with contract execution prior to initiation of fieldwork
activities.
Task 2 – UST System Removal Oversight, Soil Sampling and Documentation
WSB will coordinate with the City and the UST removal contractor to ensure removal and restoration
activities are performed on schedule and in accordance with local, state, and federal guidelines. WSB
will also communicate with the contractor to obtain documentation for final reporting purposes. WSB
will provide notification to the MPCA through their e-Services database for the sampling and
documentation activities.
WSB will provide oversight during the UST system and overhead canopy removal and conduct soil
sampling and screening per MPCA Guidance Document c-prp3-01, Excavation of Petroleum-
Contaminated Soil and Tank Removal Sampling (May 2024) and other applicable MPCA Guidance
documents. WSB will screen soils with a photoionization detector (PID) during the UST removal
activities to document and manage contamination. WSB will collect up to 14 total soil samples for
laboratory analysis following the UST system removal for documentation purposes per MPCA
guidelines. It is assumed that four sidewall (one from each side), six bottom (one from below each end
of the three tanks), and four dispenser (one from below each former dispenser island) soil samples will
be collected from the excavation basin for laboratory analysis. Additional samples will be collected as
needed for soil screening and documentation purposes. The 14 soil samples will be submitted for
laboratory analysis of:
• Gasoline range organics (GRO) by the Wisconsin Modified Method
• Volatile organic compounds (VOCs) by EPA Method 8260D
One trip blank will also be submitted to the laboratory for GRO and VOC analysis for quality
assurance/quality control (QA/QC) purposes. Upon receipt of the laboratory analytical results, an
excavation report will be prepared and submitted to the MPCA summarizing the excavation of the UST
system and soil sampling results according to MPCA Guidance Document c-prp3-02, General
Excavation Report Worksheet (July 2022).
It is anticipated that the fuel island canopy will be removed along with the UST system. WSB’s
Asbestos and Regulated Materials (ARM) Assessment completed at the Site in Winter 2022/2023 did
not identify any asbestos or regulated materials requiring abatement/removal prior to the canopy
demolition.
A final walkthrough will be completed following the UST system and overhead canopy removal to
ensure the Site has been properly backfilled, graded and restored according to the bid specifications.

Task 3 – Contaminated Soil Disposal Management
Based on previous investigation activities at the Site, it is expected that petroleum impacted soil will be
encountered and require management during the UST removal activities. Per MPCA Guidance
Document c-prp3-01, contaminated soil excavated for UST system removals should be returned to the
excavation basin, except petroleum-saturated or grossly contaminated soil. For the purposes of this
proposal, it is assumed up to 200 cubic yards of petroleum-saturated or grossly contaminated soil will
be excavated and hauled off-Site for landfill disposal.
WSB will provide oversight and management of contaminated soils during the excavation activities.
Soils that meet the MPCA requirements for reuse as backfill will be segregated from contaminated
soils requiring off-Site landfill disposal. WSB will coordinate with the landfill to obtain waste approval
on behalf of the City and ensure waste manifests are assigned to each truckload of soil designated for
disposal. Following the UST system removal activities, WSB will provide the City with daily field logs
documenting the contaminated soil excavation activities and volume of soil hauled offsite to the landfill.
Task 4 – MPCA Coordination
WSB will coordinate with the MPCA prior to, and during the UST system removal activities. The
MPCA will require notification if more than 200 cubic yards of petroleum-saturated or grossly
contaminated soil will require off-Site landfill disposal. The MPCA may also require additional soil
excavation and/or sampling based on the findings of the ongoing Site petroleum leak investigation
(LS0021928).
Task 5 – Petrofund Reimbursement Application
Portions of the costs associated with the UST system removal and environmental oversight and
sampling will be eligible for reimbursement via the Petroleum Tank Release Cleanup Fund (Petrofund).
Following completion of the project, WSB will prepare the Petrofund reimbursement application for
eligible costs associated with the management and disposal of petroleum contaminated soil during the
UST system removal activities.
Assumptions
The following items are assumed for this Scope of Work:
• It is assumed the total costs for the UST system and overhead canopy removal activities will
not exceed $175,000; therefore, a public competitive bid advertisement will not be required.
• The tank removal contractor will contract with the City directly for the UST system removal,
overhead canopy removal, and Site restoration activities.
• The vacant commercial building at the east side of the Site will not be disturbed.
• Based on information obtained during the ongoing leak investigation, groundwater is
anticipated to be present below 12 feet below grade at the Site. This proposal assumes
groundwater dewatering will not be required to facilitate the tank removals.
• WSB will contract an analytical testing firm for soil sample analysis.
• The fuel dispensers have been previously removed from the site and no removal or disposal
of fuel dispensers will be required.
• Up to 14 total documentation soil samples will be collected following the UST system removal
activities. Additional soil samples may be needed based on the size of the excavation basin.
Additional samples beyond those listed under Task 2 will require additional fees.
• Up to 200 cubic yards of petroleum-saturated or grossly contaminated soil will require special
management and off-Site landfill disposal.
• The UST system removal, overhead fueling canopy removal, and contaminated soil disposal
activities will be completed in up to four working days.
• The designated landfill will be selected by the UST removal contractor. Landfill disposal
tickets will be billed to the UST removal contractor directly.

The cost to perform the above-described services is a lump sum fee of $23,310 as summarized below:
