HomeMy WebLinkAboutRES 25-044 PROVIDING FOR THE SALE OF GENERAL OBLIGATION IMPROVEMENT BONDS, SERIES 2025ACouncilmember Elnagdy_ introduced the following resolution (the "Resolution") and moved its adoption: RESOLUTION 25-044 RESOLUTION PROVIDING FOR THE SALE OF GENERAL OBLIGATION IMPROVEMENT BONDS, SERIES 2025A A. WHEREAS, the City Council (the "Council") of the City of St. Anthony, Minnesota (the "City"), has heretofore determined that it is necessary and expedient to issue the City's General Obligation Improvement Bonds, Series 2025A (the "Bonds"), in the approximate principal amount of $1,725,000, pursuant to Minnesota Statutes, Chapters 429 and 475, to finance certain road and utility improvement projects in the City (the "Project") and to pay costs of issuance of the Bonds; and B. WHEREAS, the City has retained Ehlers & Associates, Inc., in Roseville, Minnesota ("Ehlers"), as its independent municipal advisor for the Bonds in accordance with Minnesota Statutes, Section 475.60, Subdivision 2(9). NOW, THEREFORE, BE IT RESOLVED by the Council of the City, as follows: 1. Authorization-, Findings. The City Council hereby authorizes Ehlers to assist the City in the sale of the Bonds. 2. Meetin • Proposal Opening. The City Council shall meet at 7:00 p.m. on July 8, 2025, or such other date and time deemed acceptable to the Council, for the purpose of considering proposals for and awarding the sale of the Bonds. 3. Official Statement. In connection with said sale, the officers or employees of the City are hereby authorized to cooperate with Ehlers and participate in the preparation of an official statement for the Bonds and to execute and deliver it on behalf of the City upon its completion. 4. Staff Authorizations. City staff are authorized and directed to take all other actions necessary to carry out the intent of this resolution. The motion for the adoption of the foregoing resolution was duly seconded by Councilmember _Doolan , and upon vote being taken thereon, the following voted in favor thereof: Mayor Pro Tem Jenson Councilmember Randall and the following voted against the same: whereupon said resolution was declared duly passed and adopted, and was approved and signed by the Mayor, whose signature was attested by the City Clerk. Councilmembers present: Jenson, Doolan, Randall and Elnagdy Councilmembers absent: Mayor Webster Documents Attached: Minutes of said meeting (pages): RESOLUTION 25-044 RESOLUTION PROVIDING FOR THE SALE OF GENERAL OBLIGATION IMPROVEMENT BONDS, SERIES 2025A I, the undersigned, being the duly qualified and acting recording officer of the public corporation issuing the obligations referred to in the title of this certificate, certify that the documents attached hereto, as described above, have been carefully compared with the original records of said corporation in my legal custody, from which they have been transcribed; that said documents are a correct and complete transcript of the minutes of a meeting of the governing body of said corporation, and correct and complete copies of all resolutions and other actions taken and of all documents approved by the governing body at said meeting, so far as they relate to said obligations; and that said meeting was duly held by the governing body at the time and place and was attended throughout by the members indicated above, pursuant to call and notice of such meeting given as required by law.
