Documents: XIII. 3 THIS PAGE LEFT INTENTIONALLY BLANK 4 WHEREAS, the Minnesota Crime Prevention Association, AAA of Minnesota, and the Saint Anthony Village Police Department are sponsoring a statewide crime and drug prevention program on August 5, 2025, called "Night to Unite"; and WHEREAS, this is the 17 Annual Night to Unite in Minnesota, and it provides a unique opportunity for Saint Anthony Village to join forces with hundreds of other communities across Minnesota in promoting cooperative, police-community crime and drug prevention efforts; and th WHEREAS, the City of Saint Anthony Village plays a vital role in assisting the Saint Anthony Village Police Department through joint crime and drug prevention efforts in Saint Anthony Village and is supporting Night to Unite 2025 locally; and WHEREAS, it is essential that all citizens of Saint Anthony Village be aware of the importance of crime prevention programs and the impact their participation can have on reducing crime and drug abuse in the City of Saint Anthony Village; and WHEREAS, police and community together promoting neighborhood safety, awareness and cooperation, are important themes of the Night to Unite program. He congratulated the City on the rating upgrade to AA+. There 16 was positive financial performance over the past several years. He reviewed the rating report. 17 92% of the City’s debt will be repaid within the next 10 years. He reviewed a general 18 background on the bonds that were sold. 4 bids were received earlier today. The spread was 19 approximately 10 basis points. $1.570 million was the final bond amount. The interest rate was 20 3.48%. There is substantial interest in cost savings in the City. TD Securities USA LLC, New 21 York, New York, is the recommended bidder. 22 23 Councilmember Doolan and Councilmember Elnagdy thanked Mr. Dahl for explaining the value 24 of the upgraded rating. Mayor Webster thanked Mr. Dahl for sharing the great news. Mayor Pro 25 Tem Jenson thanked City Staff for their work in achieving the AA+ rating and noted it is a 26 benefit to the City. 27 28 Motion by Councilmember Elnagdy, seconded by Councilmember Doolan, to approve 29 Resolution 25-050 – A Resolution Relating to the $[PAR] General Obligation Improvement 30 Bonds, Series 2025A; Authorizing the Issuance, Awarding the Sale, Fixing the Form and Details, 31 Providing for the Execution and Delivery thereof and the Security Therefore and Levying Ad 32 Valorem Taxes for the Payment Thereof. 33 34 Motion carried 4-0. 35 B.36 2024 Finance Audit. 37 38 Mr. Andy Hering of Redpath CPA reviewed a PowerPoint for the 2024 Audit Results. The 39 reports issued include the Annual Comprehensive Financial Report, Which Includes the 40 Independent Auditor’s Report, Report on Internal Controls, Report on Minnesota Legal 41 Compliance, and Communication with Those Charged with Governance. 42 43 The Audit Team determined that the financial statements are presented by GAAP and are free of 44 material misstatement. The Team planned and performed audit procedures to verify occurrence, 45 completeness, accuracy, cutoff, and classification using Audit techniques. An unmodified or 46 “clean” opinion was issued on the 2024 financial statements. 8 City Council Regular Meeting Minutes July 8, 2025 Page 3 1 2 For the Report on Internal Controls, the Team gained an understanding of internal controls in 3 place and their effectiveness in designing the audit procedures. Examples of Internal Controls 4 include Approval over disbursements, reviewing monthly bank reconciliations, establishing ideal 5 segregation of duties, and reviewing financial information to detect errors. There were no 6 internal control findings. 7 8 For the Report on Minnesota Legal Compliance, which is required by Minnesota Statute §6.65, 9 the OSA audit guide covers seven categories: 10 11 Contracting and bidding. 12 Deposits and investments. 13 Conflicts of interest. 14 Public indebtedness. 15 Claims and disbursements. 16 Tax increment financing. 17 Miscellaneous provisions. 18 19 There were no compliance findings. 20 21 For Communication with Those Charged with Governance, the City implemented one new 22 accounting standard relating to compensated absences. Routine estimates included valuation of 23 land held for resale and net pension liability and related items. A significant footnote – Note 6 – 24 Long-term Debt was noted. Corrected and uncorrected misstatements and no difficulties or 25 disagreements were encountered. 26 27 Mr. Hering presented the financial results for the General Fund, Capital Fund Balance, Water 28 and Sewer Enterprise Fund, and Liquor Fund. 29 30 Councilmember Doolan commented in comparing this to last year, our budget increased from 31 54% to 56% due to market conditions and the Staff’s work. 32 33 Mayor Pro Tem Jenson referred to the water/sewer enterprise fund and asked why operating 34 revenue was below the cost line when combining depreciation and operation expenses, and asked 35 if this was because people were using less water in lawn irrigation. Mr. Hering stated that water 36 usage varies. Mayor Pro Tem Jenson asked if fees should be adjusted. He thanked Mr. Hering for 37 his report and the City Staff for their great work. 38 39 Mayor Webster thanked Mr. Hering for his diligence in conducting the audit, and she agrees it is 40 wonderful to have received a clean opinion due to the leadership of Finance Director Maloney 41 and Staff. 42 43 Motion by Councilmember Elnagdy, seconded by Councilmember Doolan, to accept the 2024 44 Financial Audit Results as presented. 45 46 Motion carried 4-0. 9 City Council Regular Meeting Minutes July 8, 2025 Page 4 1 C.2 2025 Goals Update. 3 4 City Manager Yunker provided an update on the 2025 Goals Chart, reviewing Action Steps and 5 Actions Taken for each area. 6 7 Mayor Pro Tem Jenson noted there are 28 actions relating to the 30 goals. He asked if the actions 8 would bring the goal to closure. Mr. Yunker stated that some of the goals are ongoing. Some 9 goals may be complete, but others will remain on the list. 10 11 Mayor Webster thanked Mr. Yunker and Ms. Morello for implementing the goals. 12 13 X.REPORTS FROM CITY MANAGER AND COUNCIL MEMBERS. 14 15 City Manager Yunker had no report. 16 17 Councilmember Doolan stated she attended sessions in Duluth and reviewed the sessions. 18 19 Councilmember Elnagdy attended the League of Minnesota Cities sessions in Duluth. 20 21 Mayor Pro Tem Jenson had no report. 22 23 Mayor Webster stated she was notified that Duane Mitke passed away, who was a former mayor 24 of St. Anthony. 25 26 XI.COMMUNITY FORUM - NONE. 27 28 No one appeared to address the City Council. 29 30 XII.INFORMATION AND ANNOUNCEMENTS - NONE. 31 A.32 Future Agenda Items. 33 34 The next Regular Council Meeting will be held on July 22, 2025. 35 36 XIII. Those nine cities are Arden Hills, Falcon Heights, Lauderdale, Little Canada, Mounds View, New Brighton, North Oaks, Roseville, and St. Anthony Village. Each member city adopts its cable television franchise agreement, which is both an agreement and an ordinance. The City currently has one franchised cable television operator, which is Comcast. A franchise grants a valuable privilege to Comcast to use the public rights-of-way in order to construct and operate a cable system to provide cable service. The City’s current cable television franchise agreement with Comcast has a ten-year term and was effective January 1, 2017. When a cable operator desires to renew its cable television franchise with a city, it is required to send a notice to the city 30-36 months prior to the expiration of the franchise. Comcast sent such a notice to the City and the NSCC in early 2024. In the notice, Comcast reserved the right to pursue its renewal pursuant to the formal process set forth in the federal Cable Act, but it indicated a preference to renewing it through informal negotiations. Shortly after receiving the notice, the NSCC adopted a resolution commencing the renewal process, which it is required to do under the federal Cable Act and sent a letter to Comcast agreeing to pursue the cable television franchise renewal through informal contract negotiations, while, like Comcast, also reserving the City’s rights to pursue the formal renewal process. Shortly thereafter, the NSCC and Comcast began informal renewal negotiations. In 2025, NSCC counsel and Comcast tentatively agreed on a cable franchise renewal extension that would extend the current terms and conditions of the cable television franchise agreement through 2032. The extension was presented to the NSCC board in May, 2025 and the board recommended to all of the member cities of the NSCC to approve the extension. The cable television franchise agreement extension is done by ordinance, since the cable television franchise agreement is both an agreement and an ordinance. The cable television franchise agreement extension ordinance has also been approved by Comcast. The current cable television remains one of the best, if not the best, cable television franchises in the metro area. The following is a high-level summary of the current cable 28 television franchise agreement terms, which will be extended if the City adopts the extension ordinance: A nonexclusive cable television franchise to Comcast to construct and operate a cable system in the public rights-of-way to provide cable service. A reservation of rights to require Comcast to obtain additional authorization from the City to provide other services if allowed by applicable law. A requirement that Comcast comply with all local laws and other applicable laws. An authorization and requirement to serve all areas of the City, subject to density and line extension requirements. A requirement to provide cable service to government buildings in the City. Construction standards for constructing the cable system, including underground and safety requirements. Technical standards and testing requirements for the cable system. A provision allowing the City to regulate the rates of the cable operator to the extent allowed by applicable law. Attachments Resolution 25-052 30 CITY OF SAINT ANTHONY VILLAGE RESOLUTION 25-052 A RESOLUTION APPROVING A FRANCHISE EXTENSION AGREEMENT THIS AGREEMENT, effective upon passage and acceptance, between the City of St. Anthony Village, Minnesota (the “City”), and Comcast of Minnesota, Inc., a Minnesota corporation (“Comcast”). WHEREAS, the City granted Comcast a non-exclusive franchise for a ten-year term to construct, operate and maintain a cable television system through a cable television franchise resolution, Resolution 15-028, accepted and agreed upon by Comcast (the “Franchise’); and WHEREAS, Comcast agreed to additional commitments in a letter to the City dated February 15, 2018 (the “Agreement”); and WHEREAS,the City is a member of the North Suburban Communications Commission (the “Commission”) that manages and negotiates the Franchise; and WHEREAS, Comcast has requested renewal of the Franchise; and WHEREAS, Comcast and the Commission have agreed to extend the term of the Franchise and Agreement for an additional five years, subject to approval of the City and written acceptance of Comcast. NOW THEREFORE BE IT RESOLVED that the City Council of City of Saint Anthony Village, Minnesota approves the following: Section 1. Section 2, paragraph 4 of the Franchise is hereby amended by extending the term of such Franchise through and including June 30, 2032. The Parties do not waive any rights under Section 626 of the Federal Cable Act and agree that Grantee shall not be required to file an additional Section 626 Letter to preserve its rights to formal proceedings under the Franchise. Section 2. Except as specifically modified hereby, the Franchise shall remain in full force and effect. Section 3. Neither party waives any rights under law as a result of agreeing to this Franchise extension. Section 4. The Agreement shall remain effective so long as Comcast, including any successors or assigns, continues to operate under the Franchise, including as it 31 may be extended pending the completion of the renewal process. Two bids were received. The bids were checked for mathematical accuracy. Please find enclosed the bid summary indicating the low bid as submitted by Derau Construction, LLC, Burnsville, Minnesota in the amount of $529,400. The Engineers Estimate was $310,000. As indicated in the tabulation, the bids received exceed the Engineers Estimate by $219,400.00 or 71%. RECOMMENDATION WSB has discussed this bid with City Staff and we recommend rejecting the bid and soliciting quotes for just the portion of the Public Works Facility needed to move forward with the solar installation to reduce the size of the project and better align with the available funding.
