B. Replacement Bonds. If the City has notified <br />Holders that Replacement Bonds have been made available as <br />provided in paragraph 6, then for every Bond thereafter <br />transferred or exchanged (including an exchange to reflect the <br />partial prepayment of a Global Certificate not previously <br />exchanged for Replacement Bonds) the Bond Registrar shall deliver <br />a certificate in the form of the Replacement Bond rather than the <br />Global Certificate, but the Holder of a Global Certificate shall <br />not otherwise be required to exchange the Global Certificate for <br />one or more Replacement Bonds since the City recognizes that some <br />beneficial owners may prefer the convenience of the Depository's <br />registered ownership of the Bonds even though the entire issue is <br />no longer required to be in global book -entry form. The <br />Replacement Bonds, together with the Bond Registrar's Certificate <br />of Authentication, the form of Assignment and the registration <br />information thereon, shall be in substantially the following <br />form: <br />11676 <br />21 <br />
