3.3.8 New, additional Neighborhoods may be created or added to on Additional <br />Property or other property added to the Property pursuant to Section 2.2 or 2.3, as <br />applicable, or replatted from existing outlots. <br />3.3.9 In addition to the Master Developer's right to add to, subdivide or <br />combine Neighborhoods under Section 13, a Neighborhood Developer or Neighborhood <br />Association may petition the Master Board for an addition to, or combination or <br />subdivision of, a Neighborhood. The petition shall include specific details of the <br />proposed change, together with any other information required by the Master Board. <br />Unless otherwise agreed by the Master Board, the Person(s) making the petition shall be <br />responsible for the payment of all fees and costs in connection with the change. The <br />Master Governing Documents and the affected Neighborhood Governing Documents, <br />must be amended as necessary to reflect the change. The amendment must be approved <br />in writing by the (i) the Neighborhood Board of each affected Neighborhood, as <br />applicable; (ii) the Master Board; (iii) the Master Developer so long as it owns an unsold <br />Unit for sale or has the right to subject any Additional Property to this Master <br />Declaration; and (iv) the Neighborhood Developer of the affected Neighborhood so long <br />as it owns an unsold Unit for sale in the Neighborhood or has the right to add additional <br />real estate to the Neighborhood. <br />3.3.10 Except as expressly authorized by this Master Declaration, no <br />Neighborhood shall be terminated, no Neighborhood Governing Documents shall be <br />amended, and no Neighborhood Association shall be dissolved or subjected to <br />bankruptcy or insolvency proceedings, without the prior written approval of (i) the <br />Master Board; (ii) the Neighborhood Board of the affected Neighborhood, (iii) the Master <br />Developer so long as it owns an unsold Unit for sale or has the right to subject Additional <br />Property to this Master Declaration; and (iv) the Neighborhood Developer so long as it <br />owns an unsold Unit for sale in the Neighborhood or has the right to subject additional <br />property to the Neighborhood Declaration. <br />3.4 Membership. Membership in the Master Association is governed by the <br />following qualifications: <br />3.4.1 Each Neighborhood Association shall have one membership in the Master <br />Association, subject to the qualifications set forth in this Section 3.4. The membership <br />shall attach to a Neighborhood Association at the time the Neighborhood Declaration is <br />recorded. Except as expressly provided in this Master Declaration, a membership shall be <br />appurtenant to and shall not be separated from the Neighborhood Association to which it <br />is attached. <br />3.4.2 The interests, rights and obligations of a Neighborhood Association may <br />be assigned or transferred but only to a successor association or other Person which <br />assumes and/or performs the obligations of the Neighborhood Association pursuant to the <br />Master Governing Documents, the Neighborhood Governing Documents and MCIOA. <br />3.4.3 Each Member shall elect or appoint a Member Representative and <br />alternate Member Representative (individually and collectively referred to as a "Member <br />Representative") to cast the vote allocated to that Member, as provided in the Master <br />Bylaws. <br />9 <br />2190398.v1 <br />
