PURCHASE AGREEMENT AND BILL OF SALE <br />FOR <br />WETLAND BANK CREDITS <br />This Purchase Agreement and Bill of Sale is dated and effective 20 by and <br />between Mader Farm, LLC ("Seller") and <br />David Hempel - Westwood ("Buyer"). <br />A. Seller is the owner of the wetland banking credits described below (the "Credits") <br />located in the Minnehaha Creek Watershed District, Hennepin County, Bank Service Area 7. <br />B. The Credits are deposited in an account in the Minnesota Wetland Bank administered by the Minnesota <br />Board of Water and Soil Resources ("BWSR") under Minnesota Rules Sections 8420.0700 et seq. <br />C. Seller desires to sell the Credits to Buyer and Buyer desires to purchase the Credits from Seller. <br />NOW, THEREFORE, SELLER AND BUYER AGREE AS FOLLOWS: <br />1. Identification of Credits.
