Neighborhood, the recording of the Neighborhood Declaration, or the creation of the <br /> Neighborhood Association. <br /> 3.3.1 Each Neighborhood shall be created by, and the Units within the <br /> Neighborhood shall be subject to, a Neighborhood Declaration containing covenants, <br /> conditions, restrictions and easements consistent with the Master Governing Documents. <br /> 3.3.2 Each Neighborhood shall, subject to this Master Declaration and the <br /> Neighborhood Governing Documents, be governed by a Neighborhood Association in <br /> which the Owners of the Units in the Neighborhood shall be the members. Except to the <br /> extent delegated or reserved to, or performed by, the Master Association, the <br /> Neighborhood Association shall be responsible for administering the additional <br /> covenants applicable to the Neighborhood Property within its jurisdiction and for <br /> maintaining, in accordance with the Master Governing Documents and its Neighborhood <br /> Governing Documents, any Neighborhood Property which it owns or which its respective <br /> covenants designate as being for the common benefit of its members. <br /> 3.3.3 Each Neighborhood Association shall have a Neighborhood Board, which <br /> shall be elected by the members of the Neighborhood Association, subject to the rights <br /> afforded to a Neighborhood Developer to appoint the members of a Neighborhood Board <br /> under the applicable Neighborhood Governing Documents. The Neighborhood Board <br /> shall administer the affairs of the Neighborhood Association in accordance with and to <br /> the extent permitted by its Neighborhood Governing Documents and the Master <br /> Governing Documents. <br /> 3.3.4 The Master Association shall have the power to veto any action that a <br /> Neighborhood Association proposes to take if the Master Board reasonably determines <br /> the proposed action to be adverse to the interests of the Master Association or its <br /> Members and shall have the power to approve the manager of the Neighborhood <br /> Association. The Master Association also shall have the power to require specific action <br /> to be taken by any Neighborhood Association in connection with its obligations and <br /> responsibilities, such as specific maintenance, repairs or aesthetic changes, or that the <br /> Neighborhood Association's budget include certain items and expenditures. <br /> 3.3.5 Each Neighborhood Developer shall ensure that the Neighborhood <br /> Governing Documents authorize the Master Association to exercise the powers described <br /> in this Master Declaration and are otherwise consistent with the Master Governing <br /> Documents, and shall obtain the written approval of the Master Developer for such <br /> Neighborhood Governing Documents in accordance with this Section 3.3. <br /> 3.3.6 No Neighborhood shall be required to be subject to MCIOA if it would <br /> otherwise be exempt from MCIOA under Section 515B.1-102 thereof. <br /> 3.3.7 The Master Developer has the power to (i) redesignate Neighborhood <br /> boundaries; (ii) change the number of Units in a Neighborhood; or (iii) combine or <br /> subdivide two or more Neighborhoods, subject to the requirements of Section 13. <br /> 8 <br /> 219o398.v1 <br />
