relied; and each of the Parties executes this Agreement knowingly and voluntarily, without <br />coercion. <br />(b) The Parties acknowledge that the City shall not distribute or disburse any funds <br />from the Decommissioning Fund Escrow except as expressly permitted by the terms of this <br />Agreement. <br />(c) During the term of the Interim Use Permit the City shall at the Project Company's <br />request provide awith a statement of the Decommissioning Fund Escrow balance. <br />6. Miscellaneous Provisions. <br />(a) This Agreement shall be legally binding upon, and shall inure to the benefit of, the <br />Parties hereto and their respective representatives, agents, successors and assigns. <br />(b) This Agreement may not be modified or amended except by a writing signed by the <br />Parties hereto. <br />(c) This Agreement may be executed in two or more counterparts, or any number of <br />duplicate originals, each of which shall be deemed to be an original, but all of which together shall <br />constitute one and the same instrument. <br />(d) Signatures transmitted by facsimile shall be deemed to be originals for all uses and <br />purposes, except that such transmissions shall not be construed as relieving any or all of the Parties <br />from the obligation of executing and forwarding original signature pages to each of the other <br />parties. <br />(e) This Agreement shall be governed by, and interpreted in accordance with, the <br />substantive laws of the State of Minnesota, not including its laws of conflicts of laws. <br />(f) This Agreement shall be deemed to have been drafted by each of the Parties to this <br />Agreement and neither Party shall enjoy any presumed interpretation either in favor nor against its <br />interest based upon who prepared this Agreement. <br />[Remainder of Page Intentionally Left Blank] <br />[See Next Pages for Signatures] <br />0 <br />
