Building Inspection Agreement — City of Scandia and City of Hugo <br />Page 4 of 5 <br />liability for damages, the participating governmental units are considered <br />to be a single governmental unit, the total liability of which shall not <br />exceed the limits for a single governmental unit as provided in Minn. Stat. <br />§ 466.04, subd. 1. <br />(3) Each Party agrees to defend, hold harmless, and indemnify other Parties, <br />their officials, agents and employees, from any liability, Ioss or damages <br />any other Party may suffer or incur as a result of demands, claims, <br />judgments, or costs arising out of or caused by the indemnifying Parry's <br />negligence in the performance of its respective obligations under this <br />Agreement. This provision shall not be construed nor operate as a waiver <br />of any applicable limitation of liability, defenses, immunities, or <br />exceptions by statute or common law. <br />(4) Each Participating Party shall be responsible for injuries or death of its <br />own Employees to the extent required by law. Each Participating Party <br />will maintain workers' compensation insurance or self-insurance coverage, <br />covering its own Employees while they are providing assistance pursuant <br />to this Agreement. <br />Section 4.06. Severability,. The provisions of this Agreement are severable. If any <br />paragraph, section, subdivision, sentence, clause, or phrase of this Agreement is for any reason <br />held to be contrary to law, or contrary to any rule or regulation having the force and effect of <br />law, such decision shall not affect the remaining portions of this Agreement. <br />Section 4.07. Interpretation Accordine to Minnesota. Law. This Agreement shall be <br />interpreted and construed according to the laws of the State of Minnesota. <br />Section 4.08. Entire Agreement. This Agreement shall constitute the entire agreement <br />between the Parties and shall supersede all prior oral or written negotiations, and shall supersede <br />all prior written agreements for the subject matter of this Agreement. <br />Section 4.09. Headings. The headings to the various sections of this Agreement are <br />inserted only for convenience of reference and are not intended, nor shall they be construed, to <br />modify, define, limit, or expand the intent of the Parties as expressed in this Agreement. <br />Section 4.10. Further Actions. The Parties agree to execute such further documents <br />and take such further actions as may reasonably be required or expedient to carry out the <br />provisions and intentions of this Agreement, or any agreement or document relating hereto or <br />entered into in connection herewith. <br />Section 4.11. Parties in Interest. This Agreement shall be binding upon and inure <br />solely to the benefit of the Parties hereto and their permitted assigns, and nothing in this <br />4 <br />
