14 <br /> <br />33. Assignment. Neither party may assign its interest hereunder, provided, however, that the <br />Seller may assign its interests to its Economic Development Agency and Buyer may assign <br />its interest to an entity owned and controlled by Dennis Trooien, the principal owner of <br />DENNIS Properties, LLC provided that it first receives Seller’s written consent. Any <br />transfer or assignment in violation of this Agreement shall be null and void. <br /> <br />34. Entire Agreement. This Agreement constitutes the entire agreement by and between the <br />parties and incorporates all terms and conditions of the agreement between the parties as <br />they related to the Real Property.
