A. An easement to use the parking areas and drive aisles as currently <br />constructed on the Grantor Parcel as described in Exhibit C, attached hereto (“Parking <br />Lot”) for the parking of vehicles and passage of vehicles and pedestrians and <br />B. An easement over, upon and across the various drive aisles within <br />Grantor’s Parcel to provide passage by vehicles and pedestrians to the City Parcel from <br />the adjoining right of way. <br />2.Rights and Responsibilities. Use of the Grantor’s Parcel pursuant to this <br />Agreement is subject to the following rights, responsibilities, and limitations: <br />A. Grantor shall have the exclusive right to use Grantor’s Reserved Parking <br />Area and agrees to provide appropriate signage designating the parking spaces <br />accordingly. <br />B. No changes to the layout of the Parking Lot or drive aisle within the <br />Parking Lot shall be made by Grantor, unless the parties to this Agreement have amended <br />the Agreement to address the rights to use of the revised parking areas and drive aisles. <br />3.Construction and Maintenance. <br />A. Duty to Maintain. Grantor shall be responsible for maintaining, improving <br />and repairing the Parking Lot, to keep the Parking Lot in good repair. The foregoing <br />obligations to maintain, repair and when necessary, replace the improvements, shall <br />include without limitation; (i) keeping all portions of the Parking Lot in a clean and <br />sanitary condition; (ii) keeping all marking and directional signs in the Parking Lot, if <br />any, clear, distinct, and legible; and (iii) maintaining, patching, sealing, removing, and <br />replacing the surface areas in the Parking Lot as reasonably necessary. <br />Snow Removal- The City agrees to plow snow from the District driveway and parking <br />lots identified in the parking and access easement description. <br />B. No Barriers. No fence, division, rail, hedge, wall, planting, material, <br />structure, or other obstruction of any type may be erected, permitted, or maintained <br />within the Grantor Parcel, if doing so will interfere with the rights set forth in this <br />Agreement, including access and use of the Parking Lot and access to the City parcel. <br />The City shall have the right to remove any obstructions or structures not permitted by <br />this Agreement. <br />4.Indemnification. Each Party shall indemnify, defend, and hold the other <br />Party harmless from and against all claims, demands, actions, legal proceedings, causes <br />of action and liability, or any nature (including without limitation costs and reasonable <br />attorneys’ fees), arising out of or relating to personal injury or damage to property <br />occasioned by any action or omission of such party or the Party’s tenant, subtenants,
