TRAIL AND UTILITY EASEMENT <br />This Trail and Utility Easement (hereinafter “Easement”), is made this ____ day of <br />________________, 2022, by and between Independent School District No. 624, White <br />Bear Lake Area Schools (“Grantor”) and the City of Hugo, a municipal corporation under <br />the laws of Minnesota (“Grantee”). <br />WHEREAS, Grantor agrees to convey to Grantee an easement for trail and utility <br />purposes herein and Grantee agrees to accept said Easement according to the terms and <br />conditions contained herein; and <br />WHEREAS, Grantor is the fee owner of certain property in Washington County, <br />Minnesota, legally described on the attached Exhibit A (“Property”); and <br />WHEREAS, said Easement provided by the Grantor does not convey ownership of lands <br />within the easement area to the Grantee. <br />NOW THEREFORE, in consideration of mutual covenants herein, and other good and <br />valuable consideration, the sufficiency of which is hereby acknowledged, the parties <br />agree to as follows: <br />TERMS OF EASEMENTS <br />1.) Grant of Easements. Grantor grants and conveys to the Grantee the Trail and <br />Utility Easement legally described in Exhibit B and depicted on the Exhibit C. <br />2.) Scope of Easements. The perpetual non-exclusive Easement granted herein <br />includes the right of the Grantee, its contractor, agents, and employees to locate, <br />install, construct, reconstruct, operate, maintain, inspect, alter and repair within the <br />described easement area any of the following facilities and amenities: public <br />utilities, sidewalk or trail, trail signage and any other trail related structure. <br />3.) Trail Use and Purposes. This Easement is for public trail and utility purposes only. <br />Trails shall be open to the general public, and shall be used exclusively for <br />outdoor recreation and commuting including but not limited to walking, jogging, <br />skating, biking, and uses allowed under State and Federal law including, but not <br />limited to, other personal driven mobility devices (OPDMD’s) and electric <br />EXHIBIT E
