TRAIL AND UTILITY EASEMENT This Trail and Utility Easement (hereinafter “Easement”), is made this ____ day of ________________, 2022, by and between Independent School District No. 624, White Bear Lake Area Schools (“Grantor”) and the City of Hugo, a municipal corporation under the laws of Minnesota (“Grantee”). WHEREAS, Grantor agrees to convey to Grantee an easement for trail and utility purposes herein and Grantee agrees to accept said Easement according to the terms and conditions contained herein; and WHEREAS, Grantor is the fee owner of certain property in Washington County, Minnesota, legally described on the attached Exhibit A (“Property”); and WHEREAS, said Easement provided by the Grantor does not convey ownership of lands within the easement area to the Grantee. NOW THEREFORE, in consideration of mutual covenants herein, and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree to as follows: TERMS OF EASEMENTS 1.) Grant of Easements. Grantor grants and conveys to the Grantee the Trail and Utility Easement legally described in Exhibit B and depicted on the Exhibit C. 2.) Scope of Easements. The perpetual non-exclusive Easement granted herein includes the right of the Grantee, its contractor, agents, and employees to locate, install, construct, reconstruct, operate, maintain, inspect, alter and repair within the described easement area any of the following facilities and amenities: public utilities, sidewalk or trail, trail signage and any other trail related structure. 3.) Trail Use and Purposes. This Easement is for public trail and utility purposes only. Trails shall be open to the general public, and shall be used exclusively for outdoor recreation and commuting including but not limited to walking, jogging, skating, biking, and uses allowed under State and Federal law including, but not limited to, other personal driven mobility devices (OPDMD’s) and electric EXHIBIT E
