6 <br /> (c) Mortgagor will hold Mortgagee harmless from all costs and expenses <br />in connection with establishing the priority of this Mortgage and if the Mortgagee <br />becomes a party to any mechanic's lien suit or other proceeding relating to the <br />mortgaged premises or to this Mortgage, the Mortgagor will reimburse the <br />Mortgagee for the Mortgagee's reasonable attorneys' fees, costs and expenses in <br />connection with said suit or proceeding. <br /> <br /> (d) Mortgagor will not sell, lease, convey, mortgage, pledge, grant a <br />security interest in, or otherwise transfer or encumber all or any part of the <br />mortgaged premises or any interest therein without the prior written consent of the <br />Mortgagee. <br /> <br /> (e) Mortgagor will pay the principal and interest, when due, on prior <br />mortgages and other similar encumbrances. <br /> <br /> (f) Mortgagor will hold and apply tenants' security deposits, if any, as <br />required by Minnesota Statutes, Chapter 504B. <br /> <br /> (g) Mortgagor will keep and perform the covenants of lessor under any <br />leases covering the mortgaged premises and the covenants of a lessor and a <br />licensor pursuant to Minnesota Statutes, Chapter 504B. <br /> <br /> (h) Subject only to the Permitted Encumbrances, Mortgagor has good <br />title to all fixtures and equipment mortgaged hereby, and no other financing <br />statements or mortgage governing said goods is on file in any office and Mortgagor <br />has and will keep said goods adequately covered by extended coverage hazard <br />insurance, such insurance to name Mortgagee as loss payee under the standard <br />mortgage clause. <br /> <br /> (i) Mortgagor has made no assignment (except to Mortgagee) of any <br />leases or rentals from the mortgaged premises. <br /> <br /> (j) Mortgagor will promptly pay when due all charges for utilities or other <br />services to the mortgaged premises including, but not limited to, electricity, water, <br />gas, telephone, sanitary sewer and trash and garbage removal supplied and upon <br />request of Mortgagee provide evidence of such payment. <br /> <br /> (k) Upon Mortgagee's written request at any time after an Event of <br />Default (as hereinafter defined), Mortgagor shall deposit with Mortgagee on the <br />first day of each and every month hereafter, an amount equal to one-twelfth <br />(1/12th) of the annual taxes, assessments and insurance premiums (the <br />"Charges") due on or relating to the mortgaged premises as estimated by <br />Mortgagee. From time to time out of such deposits and to the extent such deposits <br />are sufficient Mortgagee will, upon presentation to Mortgagee by Mortgagor of bills <br />thereof, pay the Charges or will upon presentation of receipted bills therefor, <br />reimburse Mortgagor for such payments made by Mortgagor.
