Contract Number: BF-20583561 <br /> <br /> <br />against Contractor for Sales Taxes with respect to which Railway may be liable for <br />under this Agreement, Contractor shall promptly notify Railway of such claim and <br />provide Railway copies of all correspondence received from the taxing authority. <br />Railway shall have the right to contest, protest, or claim a refund, in Railway’s own <br />name, any Sales Taxes paid by Railway to Contractor or for which Railway might <br />otherwise be responsible for under this Agreement; provided, however, that if <br />Railway is not permitted by law to contest any such Sales Tax in its own name, <br />Contractor shall, if requested by Railway at Railway’s sole cost and expense, <br />contest in Contractor’s own name the validity, applicability or amount of such Sales <br />Tax and allow Railway to control and conduct such contest. <br /> <br />C. Railway retains the right to withhold from payments made under this Agreement <br />amounts required to be withheld under tax laws of any jurisdiction. If Contractor is <br />claiming a withholding exemption or a reduction in the withholding rate of any <br />jurisdiction on any payments under this Agreement, before any payments are <br />made (and in each succeeding period or year as required by law), Contractor <br />agrees to furnish to Railway a properly completed exemption form prescribed by <br />such jurisdiction. Contractor shall be responsible for any taxes, interest or penalties <br />assessed against Railway with respect to withholding taxes that Railway does not <br />withhold from payments to Contractor. <br /> <br />5) ENVIRONMENTAL <br /> <br />i) Contractor shall strictly comply with all Environmental Laws (as defined <br />below). Contractor shall not maintain a "treatment," "storage," "transfer" or <br />"disposal" facility, or "underground storage tank," as those terms are defined <br />by Environmental Laws, on the Railway Property or the right of way. <br />Contractor will not handle, transport, release or suffer the release of <br />Hazardous Materials (as defined below) on or about the Premises. Small <br />quantities of diesel fuel, engine oil, and hydraulic fluids used in the operation <br />of Contractor’s equipment shall not be deemed a violation of this Section 5. <br /> <br />ii) Contractor shall give Railroad immediate notice to Railroad’s Resource <br />Operations Center at (800) 832-5452 of any release of Hazardous Materials on, <br />from, or affecting the Premises. Contractor shall immediately respond to any <br />release on or from the Premises. Any violation of Environmental Laws or any <br />inspection or inquiry by governmental authorities charged with enforcing <br />Environmental Laws with respect to Contractor’s use of the Premises must be <br />immediately reported to Railroad at EnvironmentalLeases @bnsf.com. Contractor <br />also shall give Railroad prompt notice of all measures undertaken on behalf of
