Recipients agree not <br />to use or derive benefit from the Confidential Information in any manner whatsoever, in whole or in part, other than in <br />connection with the Transaction.  Moreover, Recipients agree to disclose Confidential Information only to those Representatives <br />who have a need to know the Confidential Information in order to assist in evaluating a possible Transaction, and who are <br />informed of the strictly confidential nature of the Confidential Information.  Recipients shall be responsible for any breach of this <br />Agreement by their Representatives. <br />1
