Planning Commissioner Bob Rosenquist submitted his request of resignation after serving nearly
22 years on the Hugo Panning Commission. Staff recommends Council approve the resignation
of Planning Commissioner Bob Rosenquist.
G.3 Approve Resignation of Planning Commissioner Chantell Knauss
Planning Commissioner Chantell Knauss has submitted her letter of resignation after serving on
the Hugo Planning Commission since January 12, 2012. Staff recommends Council approve the
resignation of Planning Commissioner Chantell Knauss.
GA Approve Advertisement for Vacancies on the Planning Commission
Staff recommends Council approve the advertisement for vacancies on the Planning
Commission.

Craig Moen has applied to be a Member of the Historical Commission. Staff recommends
Council approve the appointment of Craig Moen with a term to expire on December 31, 2018.
G.6 Approve Summary Ordinance for Pool Ordinance
At its June 5, 2017 meeting, Council approved an ordinance regulating swimming pools. Staff
recommends Council approve the summary ordinance for publication.
G.7 Approve Summary Ordinance for Parking Ordinance
At its June 5, 2017 meeting, Council approved an ordinance revising the parking ordinance in the
City Code. Staff recommends Council approve the summary ordinance for publication
G.8 Approve Resolution Approving First Amendment to 2015 Educational Facility
Revenue Bond
The City of Hugo is being asked to approve an amendment to the Financing Agreement related
to the conduit bonds that were issued in 2015 on behalf of the Minnesota Autism Center. The
amendment clarifies and sets the level of premium the Minnesota Autism Center shall pay to
Wells Fargo Bank in the event of early redemption of any or all of the bonds. Although the
amendment was agreed to between the two parties, any amendment to the Financing Agreement
must be approved by the City Council since the City of Hugo issued the bonds. Staff
recommends Council approve a resolution providing for the First Amendment to the Educational
Facility Revenue Bond (Minnesota Autism Center Project), Series 2015 and authorizing the
execution of documents related thereto.
G.9 Approve Resolution Calling for a Public Hearing on the Issuance of Revenue Bonds -
Minnesota Autism Center Proiect
At its June 5, 2017 meeting, the Council held a public hearing on this issue; however the hearing
is invalid because the City's legal newspaper failed to publish the required notice for the public
hearing. The City of Hugo is being asked to consider issuing Tax -Exempt Revenue Bonds, in an
amount of no more than $5.1 million, on behalf of the Autism Opportunities Foundation (the
"Borrower"), a Minnesota nonprofit corporation doing business as the Minnesota Autism Center.
The bond proceeds will be used to finance the acquisition, construction, and equipping of an
intensive therapy center for children and adults ages 10 to 21 diagnosed with autism spectrum
disorder ("ASD"). The project will be located at 2010 Silver Bell Road in Eagan, Minnesota.
The Borrower has agreed to pay the City of Hugo an issuer's administrative fee of 1/4 of 1% of
the principal amount of the bonds in consideration for the City of Hugo acting as issuer. A
public hearing on the proposal has been scheduled for July 5, 2017. Briggs and Morgan, the
City's bond counsel, has reviewed this request and finds it to be a proper use of the City's
bonding authority. Thus, the Finance Department recommends that the City Council approve a
Resolution Calling for a Public Hearing on the Issuance of Revenue Bonds and Authorizing the
Publication of a Notice of the Hearing.
G.10 Approve Promotions of Rick Gregoire, Tom Kaspszak, and Ron Gray to Engineer
Positions on the Hugo Fire Department
Fire Chief Kevin Colvard recommends Council approve the promotions of Rick Gregoire, Tom
Kaspszak, and Ron Gray to Engineer Positions on the Hugo Fire Department Effective June 1,
2017.
G.11 Approve Resolutions Approving Final Plat and Development Agreement for
Clearwater Cove 41' Addition
D.R. Horton is requesting approval of a final plat in order to plat 14 residential lots and 1 outlot
on the 10.39 acre parcel located south of Frenchman Road (CSAR 8) and east of Everton
Avenue North. The site is currently a vacant outlot. The City Council reviewed the PUD
General Plan and preliminary plat for Clearwater Cove at its August 3, 2015 meeting. The final
plat will plat the last 20 lots from the Clearwater Cove preliminary plat to complete the
development. Staff recommends approval of the resolution approving the Final Plat and
Development for Clearwater Cove 4th Addition.
G.12 Approve Resolution Approving Encroachment Agreement for 5370 157' Street
North
James and Amy Webb are requesting approval of an encroachment agreement to locate a deck
behind the home at 5370 157th Street North. The applicant is requesting to construct a 10 x 14
foot deck within the drainage and utility easement. At the time of construction, a sliding glass
door was installed with the idea that a deck could be constructed at this location. A drainage and
utility easement covers the majority of the rear yard and begins five (5) feet behind the home.
Staff recommends Council approve the encroachment agreement for 5370 157th Street North.
HI Public Hearing on the Drainage and Utility Easement Vacation for Outlot A,
Clearwater Cove 3rd Addition
D.R. Horton is requesting a vacation of the existing drainage and utility easement located over
Outlot A, Clearwater Cove 3rd Addition. Outlot A will be used for the development of
Clearwater Cove 3rd Addition. New drainage and utility easements will be placed on the lots at
the time the final plat is recorded. Staff is comfortable with the applicant's requests to vacate the
drainage and utility easements. Staff recommends that the City Council approve the notice to
vacate the drainage and utility easement located over Outlot A, Clearwater Cove 3rd Addition.
K.1 Yellow Ribbon Network Update
Council Members Chuck Haas and Phil Klein will report to Council any updates on the City of
Hugo's Yellow Ribbon Network activities.
L.1 Approve Rescheduling of the July 3, 2017 City Council Meeting to July 5, 2017 due to
the Independence Day Holiday
Due to the Independence Day Holiday, staff recommends Council reschedule the July 3, 2017
meeting to July 5, 2017 for the purpose of holding the Public Hearing on the Issuance of
Revenue Bonds - Minnesota Autism Center Project.
L.2 Approve the Closing of City Hall on July 3, 2017
The City's Personnel Policy allows employees to take off one day of their choice as a personal
holiday. Staff has agreed to request their personal day be taken on Monday, July 3, 2017, and to
close City Hall that day. Staff requests Council approve the closing of City Hall on July 3, 2017.

Introduction of New Hugo Deputy Greg Reiter
Washington County Deputy Greg Reiter has been assigned as the new Hugo Deputy to replace
Deputy Joe Zerwas, who is the new Hugo Investigator. Sergeant Joe Stoehr introduced Deputy
Greg Reiter to the Council stating that Greg has been with the department since 1997, and
worked under contract in Lake Elmo and also in investigations. In 2008, he received the MN
Sheriff's Association Deputy of the Year Award.
Greg stated he has been a Hugo resident for over a year and really likes the wide variety Hugo
has to offer. The Council welcomed him to Hugo.
Recognition of Byron Anderson for the Lifetime Achievement Award
City Administrator Bryan Bear introduced Hugo resident Byron Anderson, who recently
received the Lifetime Achievement Award from the Washington County Board of
Commissioners.
Bryon stated he has volunteered for 45 years with 4-H and seven years with the County Fair. His
children also volunteer. Over the years he has seen a lot of new things, including robotics.
Miron stated he has worked with Bryon on several projects and he talked about the other various
volunteer work Byron is involved in and the positive influence he has had on so many young
people. He appreciated the model Byron has set.
The Mayor thanked him for his volunteer work, and the Council presented him with a Certificate
of Appreciation for his commitment.

Approve Annual Performance Review for Utility Billing Clerk Jodie Guareschi
Since June 17, 2002, Jodie has worked as the City's Utility Billing Clerk in the Finance
Department. Jodie also works as a member of the Hugo Fire Department as a firefighter/EMS
responder. Adoption of the Consent Agenda approved the annual performance review for Utility
Billing Clerk Jodie Guareschi.
Approve Annual Performance Review for Public Works Worker Tom Smith
Tom Smith was hired by the City of Hugo on June 26, 2000. Tom has worked the past 17 years
on the Public Works Department team. Adoption of the Consent Agenda approved the annual
performance review for Public Works Worker Tom Smith.
Approve Board of Trustees Request for Increase in Lump -Sum Pension
The Board of Trustees for the Hugo Firefighter's Relief Association formally requested City
Council ratification of an increase of $200 per year of service in their lump -sum pension benefit.
The Finance Department has reviewed this request and found it to be financially feasible and
consistent with the Pension Fiscal Policy adopted in April, 2012. Adoption of the Consent
Agenda ratified the Board of Trustees request for a $200 increase in their lump -sum pension
benefit and corresponding change to their By -Laws.
Approve Resignation as Chief Engineer for Firefighter Roly Guareschi and Appointment
as Engineer
Firefighter Roly Guareschi has resigned as the Chief Engineer for the Hugo Fire Department.
Adoption of the Consent Agenda approved the resignation of Roly as the Chief Engineer and
appointed him as Engineer on the Fire Department.
Approve Appointment of Firefighter Doug Millard as the Chief Engineer on the Hugo Fire
Department
The resignation of Roly Guareschi as Chief Engineer on the Fire Department has left that
position vacant. Adoption of the Consent Agenda approved appointment of Firefighter Doug
Millard as the new Chief Engineer to fill the vacancy.

Approve Withdrawal of Community Development Assistant Rachel Leitz's Letter of
Resignation
At its May 15, 2017 meeting, Council approved the resignation of Community Development
Assistant Rachel Leitz, who had a job offer in Iowa. Rachel has since decided against accepting
the position and wished to remain employed with the City of Hugo. Adoption of the Consent
Agenda approved the withdrawal of Rachel Leitz's letter of resignation.
Approve Site Plan for Gopher State Ministorne
Minnesota Built Third Edition, Inc. is requesting approval of a site plan to construct seven (7)
buildings totaling 21,700 square feet for a ministorage facility to be known as Gopher State
Ministorage. The 3.27 acre lot is generally located north of 152nd Street and east of Forest
Boulevard within the Peloquin Industrial Park. At its May 25, 2017 meeting, the Planning
Commission considered the site plan request for Gopher State Ministorage. The Commission
recommended approval of the site plan application, subject to the conditions listed in the
resolution. Adoption of the Consent Agenda approved RESOLUTION 2017-15 APPROVING
A SITE PLAN FOR A MINISTORAGE FACILITY ON PROPERTY LOCATED NORTH OF
152ND STREET NORTH AND EAST OF TH 61, and RESOLUTION 2017-16 APPROVING
AN ENCROACHMENT FOR A MINISTORAGE FACILITY TO ALLOW CONSTRUCTION
OF SITE IMPROVEMENTS WITHIN A ROADWAY AND UTILITY EASEMENT ON THE
PROPERTY LOCATED NORTH OF 152ND STREET NORTH AND EAST OF TH 61.
Approve Ordinance Modifying Parking Ordinance
In reviewing the zoning code, staff had found the existing parking requirements to be quite
excessive based on the City's experience with the typical demand for parking associated with
various uses and also when compared with ordinances in other communities. In addition to the
review of the parking requirements for each use, the Ordinance Review Committee (ORC)
reviewed the entire ordinance and made recommendations on revisions. At its May 25, 2017
meeting, the Planning Commission held a public hearing and considered the parking ordinance
revisions. There was no one that spoke during the public hearing. Staff recommended approval
of the revisions to the parking ordinance. The Planning Commission generally liked the revisions
and made a recommendation to approve the revisions to the ordinances to the City Council.

CITY CODE, CHAPTER 14, ARTICLE I, IN GENERAL, SECTION 14-1 PARKING
RESTRICTIONS FOR SNOW REMOVAL AND FOR TRAILERS AND CHAPTER 78,

and ORDINANCE 2017-483 AMENDING CHAPTER 90, ARTICLE V, ENVIORNMENTAL

Approve Ordinance Regulating Swimming Pools
City staff had been receiving many inquiries regarding Hugo's swimming pool requirements.
The City does not have an official ordinance related to these requirements and had been
following building code requirements and setbacks related to accessory structures when

swimming pools were submitted for review. On February 9, 2017, the ORC agreed that staff
should begin drafting a swimming pool ordinance to address the number of variance requests the
City was receiving. On March 6, 2017, City Council approved staff to begin preparing a
swimming pool ordinance. At its May 25, 2017 meeting, the Planning Commission held a public
hearing to consider the swimming pool ordinance. The Planning Commission made a
recommendation to approve the ordinance to the City Council. Adoption of the Consent Agenda
approved ORDINANCE 2017-484 RELATED TO AND REGULATING SWIMMING
POOLS.
Approve Special Event Permit for Tough Mudder Event on July 14-16, 2017
Tough Mudder had submitted an application for a Special Event Permit to hold a three day event
at Wild Wings Game Farm on July 14-16, 2017. Tough Mudder is a for-profit company located
in Brooklyn, New York, that holds approximately 50 events throughout the United States,
Canada, United Kingdom, and Australia. On Saturday and Sunday, participants will run a 10-12
mile course with approximately 22 military style obstacles. On Friday, the Tough Mudder X
will be held, which will involve 200 elite athletes on a one -mile obstacle course. This event will
be filmed for national television. The Tough Mudder requires a Special Event Permit approved
by Council because there will be approximately 12,000 attendees over the weekend, impacts to
public streets, use of an amplified sound system, and alcohol will be served. This event was held
in 2016, and staff noted there were impacts to traffic. Tough Mudder has modified their parking
procedure, which staff feels will greatly reduce or eliminate traffic impacts. Staff has worked
with the applicant on details of the event and believes it to be well organized.
Elizabeth Quicksell, 6477 Egg Lake Road, thanked everyone on the Council for their service.
She said she does not get notified of the events and does not appreciate all the traffic they bring.
City Clerk Michele Lindau provided a brief description of the modified parking and traffic plan.
Quicksell said she didn't have problems with the stacking of cars, just the continuous traffic in
front of her home making it difficult to get on to the road.
The Council talked about the benefits of having these events in Hugo and the positive impacts
they have on businesses in Hugo. Haas asked that a phone number be provided to residents to
call if they needed to have assistance getting through traffic. Miron asked that a letter be sent to
all residents along the route notifying them of the event.
Haas made motion, Weidt seconded, to approve the Tough Mudder Special Event Permit adding
a condition to provide affected residents with a phone number to call if they need assistance in
getting in and out of their driveways and to provide notice to residents along the route.

Award of Bid for the Waters Edge Water Reuse Project
The Council had previously authorized the preparation of plans and specifications and the
advertisement for bids for the Waters Edge Water Reuse project. City Engineer Mark Erichson
explained that bids were received on Tuesday, May 30, 2017 and were opened and read aloud.

Two bids were received in the amounts of $347,900 and $532,400, with Peterson Companies
being the low bidder. The engineer's estimate was $402,800. The overall project cost was
$471,600. The City did receive grant funding of $230,000 leaving the City cost at $241,600 to
come from the stormwater fund.
Petryk made motion, Klein seconded, to award the bid to Peterson Companies in the amount of
$347,900.

Public Hearing on the Issuance of Therapy Facilities Revenue Bonds — Minnesota Autism
Center Proiect
At the May 1, 2017, City Council meeting, the Council adopted a resolution calling for a public
hearing on a proposal to Issue Therapy Facilities Revenue Bonds in an amount of no more than
$5.1 million, on behalf of the Autism Opportunities Foundation, a Minnesota nonprofit
corporation doing business as the Minnesota Autism Center (the "Borrower"). The bond
proceeds will be used to finance the acquisition, construction, and equipping of an intensive
therapy center for children and adults ages 10 to 21 diagnosed with autism spectrum disorder
("ASD"). The project will be located at 2010 Silver Bell Road in Eagan, Minnesota. The
Borrower has agreed to pay the City of Hugo an issuer's administrative fee of/4 of 1% of the
principal amount of the bonds. Briggs and Morgan, the City's bond counsel, has reviewed this
request and finds it to be a proper use of the City's bonding authority. The City is only serving
as the bond issuer and will have no obligations for repaying investors. Mary Ippel of Briggs and
Morgan and Denise Raunig, the CFO of the Minnesota Autism Center were in attendance to
answer questions concerning specifics of the project and financing thereof.
Weidt opened public hearing. There were no comments, and the Mayor closed the public
hearing.
Petryk made motion, Klein seconded, to approve RESOLUTION 2017-17 APPROVING
ISSUANCE AND SALE OF THERAPY FACILITIES REVENUE BONDS (Minnesota Autism
Center Project).

Approve Recommendation from Parks Commission Regarding Goodview Avenue Property
At the City Council meeting of September 19, 2016, the Parks Commission was directed to hold
a neighborhood meeting about the future of the City -owned property on Goodview Avenue.
Parks Planner Shayla Denaway explained that youth have built pedal bike jumps at the 2.34 acre
property and there have been complaints from the adjacent property owners about the youth
using the property. A neighborhood meeting was held at the Parks Commission meeting of
November 9, 2016. Several residents had attended and shared a range of views from having fond
memories of using the bike track to anger over the littering, bad behavior, and damage to the
property. The Parks Commission directed staff to remove brush on the property and to make

other improvements to improve visibility. They felt there was value in continuing to let the
public use the property, including the bike track. They discussed the potential uses of the
property when the planned trail is constructed on the west side of Goodview Avenue. At their
meeting of May 17, 2017, the Parks Commission recommended, in a unanimous vote, that the
property remain City -owned and available for public use. Future use could be a trailhead or rest
stop. They did not want the property to become privately owned.
The Council discussed the lack of parking and trail access to the property, though it was stated
there were not a lot of people that drove there, and the property was only used a few months
during the year. The Council concluded it was best to keep the property as is and keep it
maintained until there is a better use for it.
Klein made motion, Miron seconded, to approve the recommendation of the Parks Commission
regarding the Goodview Avenue property.

Beaver Ponds Sewer Rehabilitation Proiect
City Engineer Mark Erichson explained there was a significant issue with a short segment of
sanitary sewer in the Beaver Ponds Development. An 8" sanitary sewer that serves
approximately 150 homes within the development had backed up on two separate occasions
resulting in flooding and damage to the basements of four properties. Since the second backup,
Public Works had cleaned the main multiple times and is checking on flows daily. The sanitary
sewer segment in question was directionally drilled though the wetland in the late 1990's and
connects to the sewer within 130'h Street. This segment of sanitary sewer just south of 130I'
Street contains multiple sags in the sewer pipe, resulting in restricted flow as solids build and
block flow. Staff had treated this as an emergency repair and have televised the sewer line,
conducted soil borings, conducted a Gopher One call, and met with contractors regarding the
best means to correct the failing sanitary sewer. Erichson explained the repair was in a
challenging location as the sewer pipe is within a wetland and extends under a Koch pipeline.
Erichson explained the urgency of the project and ways to expedite it by declaring it an
emergency. He recommended Council authorize advertisement of bids that evening. The
estimated project cost was approximately $200,000 to be funded by the sewer fund. Staff would
work towards finalizing plans and work with Koch Pipeline.
Petryk made motion, Klein seconded, to approve advertisement for bids, consider it an
emergency repair, and if necessary, forgo the public bidding process to expedite the repair.

Yellow Ribbon Network Update
Council Members Chuck Haas and Phil Klein reported to the Council on the recent activities of
the City of Hugo's Yellow Ribbon Network. Haas shared photos of Excel Energy Employees
who sold 180 burgers at the last YRN Hamburger Night. There were also photos of a packing
event for 130 members of the KC10 Squadron and Army Rangers. He thanked the members of
the Washington County Sheriff's Office, who helped with the event, and all YRN volunteers and

sponsors. He reminded everyone of June 6th being the anniversary of the D -Day invasion of
Europe. BESA had an open house last Saturday where they charged for food and donated the
proceeds to the YRN. YRN volunteers will be working a shift in the kitchen at the coming
weekend's Good Neighbor Days event. On June 19, the YRN will be going to the Blattner
headquarters for the Seven Seals Award presentation. Hass displayed the new YRN shirts,
which were the idea of Scott Tachney from Wilson Tool. These shirts are being sold for $20.
June's Hamburger Night's sponsor will be Mark Schoppe.
Comprehensive Plan Workshop on Tuesday, June 13, 2017
City Administrator Bryan Bear reminded Council of the workshop scheduled for Tuesday, June
13, 2017, for discussion on the 2040 Comprehensive Plan update as it pertains to eastern Hugo.
The workshop will take place at 7:00 p.m. at the Rice Lake Centre, 6900 137th Street North.
Good Neighbor Days June 8-11 and Historical Commission Display on June 10 & 11, 2017
City Administrator Bryan Bear reminded Council the Hugo Lions Club will be holding their
annual Good Neighbor Days Festival on June 8-11, and to visit the Historical Commission's
display on June 10 and 11.

CITY OF HUGO
WASHINGTON COUNTY, MN
AN ORDINANCE RELATING TO AND REGULATING
SWIMMING POOLS
NOTICE: THIS PUBLISHED MATERIAL IS ONLY A SUMMARY OF AN ORDINANCE OF THE
CODE OF ORDINANCES FOR THE CITY OF HUGO. THE FULL TEXT OF THE ORDINANCE IS
AVAILABLE FOR PUBLIC INSPECTION AT THE HUGO CITY HALL DURING REGULAR
BUSINESS HOURS.
The City of Hugo City Council passed and adopted Ordinance 2017-484 on the 5t' day of June, 2017.
Ordinance 2016-484 regulates swimming pools in Hugo. The following sections have been added or
amended:
1. Chapter 90, Article I, Sec. 90-1. — Definitions
a. Amending the definitions to include the additions of the following:
i. Swimming Pool, In -Ground Swimming Pool, Above Ground Swimming Pool,
Small Above Ground Swimming Pool, and Large Above Ground Swimming Pool.
2. Chapter 90, Article VI — Requirements for Specific Uses and Performance Standards
a. Adding Section 90-279. - Swimming Pools, to include:
i. General standards for all swimming pools, including;
1. Building permit requirements for all in -ground swimming pools and above
ground swimming pools with a capacity over 5,000 gallons and/or wall
height over 42 inches.
2. Noise -making mechanical equipment screened from view and a minimum
of 30 ft. from nearby dwellings.
ii. In -Ground swimming pools, including:
1. Required submittal information for building permit applications.
2. Property line setbacks: 15 ft. rear yard setback, 10 ft. side yard setback, 6
ft. setback from principle structure or frost footing.
3. Well/Septic setbacks: 20 ft. from well. 10 ft. from septic. 20 ft. from soil
treatment area.
4. Requirement for a fence or wall with a self-closing and self -latching gate.
iii. Above Ground swimming pools, including:
1. Differentiation between "large" and "small" above ground pools.
2. Property line setbacks: 30 ft. rear yard setback, 10 ft. side yard setback, 6
ft. from any principle structure or frost footing.
3. Required submittal information for building permit applications.
4. Large above ground swimming pools require fence or wall with a self-
closing and self -latching gate.
5. Small above ground swimming pools not surrounded be a fence must have
a removable ladder that is removed when the pool is not in use.

TITLE:
An Ordinance amending Chapter 90, Article V, Environmental Protection, Section 90-181
Landscaping, and article vi, section 90-222 driveways and section 90-253 parking and loading
and to repeal section 90-271 LARGE RECREATIONAL EQUIPMENT PARKING AND
STORAGE
SUMMARY OF ORDINANCE:
Chapter 90, Article V, to amend Section 90-181 LANDSCAPING (n) (1): This section is
revised to outline regulations for parking lot perimeter landscape requirements.
Chapter 90, Article VI, to amend Section 90-222 DRIVEWAYS:
(d) Except in the Long Term Agricultural, Agricultural, Rural Residential, and Future Urban
Service zoning districts, all driveways in the city shall be paved with bituminous, concrete,
pavers, or other approved dustless and erosion -resistant material.
(e) Driveways shared by two or more separate parcels or lots of land may be permitted only by
conditional use permit. An access easement and maintenance agreement shall be recorded
against the properties that contain the shared driveway.
(1) Driveways must meet the minimum design requirements for the zoning district in which
they are located, as specified in this subsection.
Chapter 90, Article VI, to replace Section 90-275 PARKING AND LOADING:
(a) Unlawful unless conditions met. It is unlawful for any person to construct any building or
facility, or to use a property, unless such property shall have adequate parking, loading,
driveway, and access road facilities, as required in this section. It is unlawful for any person
to construct any parking area, loading area, driveway or access road, except in conformance
with this chapter.
(b) Purpose and Intent. The regulations of parking and loading in this section is to alleviate or
prevent congestion of the public right of way and to promote the safety and general welfare
of the of the public by establishing minimum requirements for parking and loading of motor
vehicles upon various parcels of land and for structures.
(c) General Standards. Adding language to describe the general standards for all parking and
loading areas in the City.

Revenue Bonds (Conduit Bonds) Issued in 2015

REQUEST FOR AMENDMENT TO FINANCING AGREEMENT
The City of Hugo is being asked to approve an amendment to the Financing Agreement related to the
2015 Educational Facilities Revenue Bonds that were issued in the amount of $8.8 million, on behalf
of the Autism Opportunities Foundation (the "Borrower"), a Minnesota nonprofit corporation doing
business as the Minnesota Autism Center. The bond proceeds were used to (i) refund the Borrower's
existing taxable debt related to the acquisition of land and the purchase of an existing structure in 2014
acquired for the purpose of establishing a private school to service students grades 4-12 diagnosed with
autism spectrum disorder ("ASD") and (ii) financed the acquisition, construction, and equipping of an
approximately 48,000 square foot two-story school building, that was joined with the existing facility.
The school serves primarily high school students with ASD and is located at 2020 Silver Bell Road in
Eagan, Minnesota.
AMENDMENT
The amendment clarifies and sets the level of premium the borrower (Minnesota Autism Center) shall
pay to the bond holder (Wells Fargo Bank) in the event of early redemption of any or all of the bonds
that were issued in 2015.
CITY OF HUGO APPROVAL
Although the amendment was agreed to between Wells Fargo Bank and the Minnesota Autism Center,
any amendment to the Financing Agreement must be approved by the City Council since the City of
Hugo issued the bonds.
RECOMMENDATION
Briggs and Morgan, the City's bond counsel, has reviewed this request and finds it to be a proper use
of the City's authority. Thus, the Finance Department recommends that the City Council approve the
request. Briggs and Morgan has drafted the attached RESOLUTION PROVIDING FOR THE
FIRST AMENDMENT TO EDUCATIONAL FACILITY REVENUE BOND (MINNESOTA
AUTISM CENTER PROJECT), SERIES 2015 AND AUTHORIZING THE EXECUTION OF

BE IT RESOLVED by the City Council of the City of Hugo, Minnesota (the "City"), as
follows:
SECTION 1 LEGAL AUTHORIZATION AND FINDINGS.
1.1 Findin�_,s. The City hereby finds, determines and declares as follows:
(1) The City, pursuant to Resolution 2015-55 adopted on November 2, 2015 (the "Bond
Resolution"), has previously issued its revenue bond in the aggregate principal amount not to
exceed $8,800,000 to provide funds that were loaned to Autism Opportunities Foundation d/b/a
Minnesota Autism Center, a Minnesota nonprofit corporation (the 'Borrower"), to finance (i) the
refunding of the Borrower's existing taxable debt related to the acquisition of land and the
purchase of an existing structure in 2014 acquired for the purpose of establishing a private school
to service students grades 4-12 diagnosed with autism spectrum disorder ("ASD"), consisting of
a one-story building of approximately 35,978 square feet with 14 classrooms, a playground area,

located at 3800 Tesseract Place in the City of Eagan, Minnesota ("Eagan") (the "Existing
Project"), and (ii) the acquisition, construction, and equipping of an approximately 48,332 square
foot two-story new school building, to be joined with the Existing Facility, which will serve
primarily high school students with ASD, and will include a reception area, approximately 14
classrooms, 11 therapy/breakout rooms, 5 office/conference rooms, a library, an arcade, a lunch
room, and a gymnasium, and will also include construction of a soccer field and a new parking
lot all to be located adjacent to the Existing Project in Eagan, all of which is at the southwest
corner of Silver Bell Road and Tesseract Place (the "Expansion Project" and, together with the
Existing Project, the "Project").
(2) The City issued the Educational Facility Revenue Bond, Series 2015 (Minnesota Autism
Center Project) dated November 1, 2015, (the 'Bond"), pursuant to Minnesota Statutes, Section
469.152 to 469.165, as amended (the "Act").
(3) Pursuant to a Financing Agreement (the "Financing Agreement") dated November 1,
2015 between the City, the Borrower, and Wells Fargo Bank, National Association (the
"Lender"), the Borrower agreed to repay the Bond in specified amounts and at specified times
sufficient to pay in full when due the principal of, premium, if any, and interest on the Bond. In
addition, the Financing Agreement contains provisions relating to the expenditure of proceeds of
the Bond, the maintenance and operation of the Project, indemnification, insurance, and other
agreements and covenants which are required or permitted by the Act and which the City, the
Borrower and Lender deem necessary or desirable for the financing of the Project.

(4) Pursuant to that certain Financing Agreement Assignment (the "Assignment") dated as of
November 1, 2015 by and between the City and the Lender, the City assigned all of its rights,
title, and interest in the Financing Agreement to the Lender (except for certain rights of
indemnification and to reimbursement for certain costs and expenses).
(5) The Lender and the Borrower have informed the City that they have agreed to certain
changes in the terms of the Financing Agreement.
(6) The form of First Amendment to Financing Agreement between the City, the Lender and
the Borrower and consented to by the Lender, proposed to be entered into in order to document
changes in the terms of the Financing Agreement has been submitted to the City Council and is
on file in the office of the City Administrator (the "Financing Agreement Amendment").
SECTION 2 AUTHORIZATION OF FINANCING AGREEMENT AMENDMENT.
2.1 Aj)roval and Execution of Financing Agreement Amendment.
(1) The Financing Agreement Amendment is made a part of this Resolution as though fully
set forth herein and is hereby approved in substantially the form presented to the City Council.
The Mayor and the Administrator are authorized and directed to execute, acknowledge, and
deliver the Financing Agreement Amendment on behalf of the City with such changes,
insertions, and omissions therein as bond counsel to the City may hereafter deem appropriate,
such execution to be conclusive evidence of approval of such documents in accordance with the
terms hereof.
(2) The Mayor and the Administrator are authorized and directed to execute and deliver all
other documents which may be required under the terms of the Financing Agreement
Amendment or by bond counsel, and to take such other action as may be required or deemed
appropriate for the performance of the duties imposed thereby to carry out the purposes thereof.
(3) The Mayor and Administrator and other officers of the City are authorized to furnish to
the Lender, the Borrower, and bond counsel certified copies of all proceedings and records of the
City relating to the Financing Agreement Amendment, and such other affidavits and certificates
as may be required to show the facts relating to the legality and marketability of the Bond as
such facts appear from the books and records in the officers' custody and control or as otherwise
known to them; and all such certified copies, certificates, and affidavits, including any heretofore
furnished, shall constitute representations of the City as to the truth of all statements contained
therein.
(4) In the event that for any reason the Mayor or the Administrator are unable to carry out the
execution of any of the documents or other acts provided herein, any other officer of the City or
member of its City Council as, in the opinion of the City's attorney, are authorized to act in that
capacity and undertake such execution or acts on behalf of the City, shall without further act or
authorization execute and deliver the Financing Agreement Amendment and do all things and
execute all instruments and documents required to be done or executed by such officers, with full
force and effect, which executions or acts shall be valid and binding on the City.

2.2 No Liability of Cite. Nothing in this resolution or in the documents prepared pursuant
hereto shall authorize the expenditure of any municipal funds on the Project other than the
revenues derived from the Project or otherwise granted to the City for this purpose. The Bond,
as amended, shall not constitute a charge, lien, or encumbrance, legal or equitable, upon any
property or funds of the City except the revenues and proceeds pledged to the payment thereof,
nor shall the City be subject to any liability thereon. The holders of the Bond shall never have
the right to compel any exercise of the taxing power of the City to pay the outstanding principal
on the Bond or the interest thereon, or to enforce payment thereof against any property of the
City. The Bond recites in substance that the Bond, including interest thereon, is payable solely
from the revenue and proceeds pledged to the payment thereof. The Bond shall not constitute a
debt of the City within the meaning of any constitutional or statutory limitation.
SECTION 3 BANK QUALIFIED.
3.1 Qualified Tax Exempt Obli ations. The Bond, as amended, is deemed a "qualified tax-

THIS FIRST AMENDMENT TO FINANCING AGREEMENT is dated June [_1, 2017
(this "Amendment"), between the CITY OF HUGO, MINNESOTA (the "Issuer"), a municipal
corporation under the Constitution and laws of the State of Minnesota, AUTISM
OPPORTUNITIES FOUNDATION D/B/A MINNESOTA AUTISM CENTER (the
'Borrower"), a Minnesota nonprofit corporation, and WELLS FARGO BANK, NATIONAL
ASSOCIATION (the "Lender").
WHEREAS, on November 1 ,2015, the Issuer issued a $8,800,000 Educational Facility
Revenue Bond (Minnesota Autism Center Project), Series 2015 pursuant to that certain
Financing Agreement dated as of November 1, 2015 by and between Issuer, Borrower, and
Lender (the "Financing Agreement"); and
WHEREAS, pursuant to that certain Financing Agreement Assignment (the
"Assignment") dated as of November 1, 2015 by and between the Issuer and the Lender, the
Issuer assigned all of its rights, title, and interest in the Financing Agreement to the Lender
(except for certain rights of indemnification and to reimbursement for certain costs and
expenses); and
WHEREAS, the Lender and the Borrower have informed the Issuer that they have agreed
to certain changes in the Financing Agreement; and
WHEREAS, pursuant to a resolution of the Issuer adopted on June 19, 2017 (the
"Resolution"), the Issuer has agreed to the requested changes to the terms of the Financing
Agreement; and
WHEREAS, the parties hereto wish to amend the Financing Agreement to reflect the
certain amendments as set forth herein.
NOW, THEREFORE, in consideration of $1.00 and other good and valuable
consideration and the premises contained herein, the parties hereto agree as follows:
1. Capitalized terms not otherwise defined herein shall have the meanings given
such terms in the Resolution or the Financing Agreement.
2. Section 2.10(a) of the Financing Agreement is hereby amended and restated in its
entirety as follows:
(a) Optional Redemption. Subject to any limitations set forth in a Continuing
Covenant Agreement, the Bonds are subject to redemption in Authorized Denominations
on any Interest Payment Date at the direction of the Borrower in accordance with Section
3.05, on behalf of the Issuer, in whole or in part, at a redemption price equal to the
principal amount of the Bonds to be redeemed plus accrued interest thereon to, but not
including, the redemption date, plus a premium expressed as a percentage of the amount
to be redeemed as follows:

3. Section 1.01 of Exhibit A to the Financing Agreement is hereby amended by
deleting and replacing the following definition:
"Fixed Rate" means a per annum rate of interest equal to 2.54% multiplied by the
Margin Rate Factor.
4. Section 1.01 of Exhibit A to the Financing Agreement is hereby amended by
adding the following defined terms in the order appropriate:
"Margin Rate Factor" means the greater of (a) 1.0, and (b) the product of (i) 1.0
minus the Maximum Federal Corporate Tax Rate multiplied by (ii) 1.53846. The
effective date or any change in the Margin Rate Factor shall be the effective date of the
decrease of increase (as applicable) in the Maximum Federal Corporate Tax Rate
resulting in such change.
"Maximum Federal Corporate Tax Rate" means the maximum rate of income
taxation imposed on corporations pursuant to Section 11(b) of the Code, as in effect from
time to time or, if as a result of a change in the Code the rate of income taxation imposed
on corporations generally shall not be applicable to the Purchaser, the maximum statutory
rate of federal income taxation which could apply to the Purchaser.
5. Except as herein amended or supplemented all other provisions of the Financing
Agreement shall remain in full force and effect.
6. In the event any provision of this Amendment shall be held invalid or
unenforceable by any court of competent jurisdiction, such holding shall not invalidate or render
unenforceable any other provision hereof.

7. This Amendment may be simultaneously executed in several counterparts, each of
which shall be an original and all of which shall constitute but one and the same instrument.
8. This Amendment shall be governed by and construed in accordance with the laws
of the State of Minnesota.

SECTION 1 LEGAL AUTHORIZATION AND FINDINGS.
1.1 Findin-, , s. The City hereby finds, determines and declares as follows:
(1) The City, pursuant to Resolution 2015-55 adopted on November 2, 2015 (the "Bond
Resolution"), has previously issued its revenue bond in the aggregate principal amount not to
exceed $8,800,000 to provide funds that were loaned to Autism Opportunities Foundation d/b/a
Minnesota Autism Center, a Minnesota nonprofit corporation (the "Borrower"), to finance (i) the
refunding of the Borrower's existing taxable debt related to the acquisition of land and the
purchase of an existing structure in 2014 acquired for the purpose of establishing a private school
to service students grades 4-12 diagnosed with autism spectrum disorder ("ASD"), consisting of
a one-story building of approximately 35,978 square feet with 14 classrooms, a playground area,
lunch room, small gym, arcade, library, and parking lot (the "Existing Facility") currently
located at 3800 Tesseract Place in the City of Eagan, Minnesota ("Eagan") (the "Existing
Project"), and (ii) the acquisition, construction, and equipping of an approximately 48,332 square
foot two-story new school building, to be joined with the Existing Facility, which will serve
primarily high school students with ASD, and will include a reception area, approximately 14
classrooms, 11 therapy/breakout rooms, 5 office/conference rooms, a library, an arcade, a lunch
room, and a gymnasium, and will also include construction of a soccer field and a new parking

will meet at the City Hall, 14669 Fitzgerald Avenue North, Hugo, Minnesota, on Wednesday,
July 5, 2017, at 5:00 P.M., to consider the proposal of Autism Opportunities Foundation, a
Minnesota nonprofit corporation having federal income tax-exempt 501(c)(3) status, d/b/a
Minnesota Autism Center (the 'Borrower"), that the City assist in financing a project hereinafter
described pursuant to Minnesota Statutes, Sections 469.152 to 469.165, as amended, by the
issuance of revenue bonds, in one or more series (the 'Bonds").
The "Project" consists of (i) financing the acquisition, construction, and equipping of an
intensive therapy center for children and adults ages 10 to 21 diagnosed with autism spectrum
disorder ("ASD"), consisting of a one-story building of approximately 19,378 square feet with
classrooms, a playground area, lunch room, gym, therapy room, art room, computer lab,
conference rooms, administrative space, and parking lot (the "Therapy Facility") to be located at
2100 Silver Bell Road in the City of Eagan, Minnesota (the "Therapy Project"), and
(ii) amending certain terms of the bonds that were issued by the City in 2015 (the "2015 Bonds")
which were used to finance the acquisition, construction, and equipping of an approximately
48,332 square foot two-story school building, which serves primarily high school students with
ASD, and includes a reception area, approximately 14 classrooms, 11 therapy/breakout rooms, 5
office/conference rooms, a library, an arcade, a lunch room, and a gymnasium, and also includes
a soccer field and a parking lot all located at the southwest corner of Silver Bell Road and
Tesseract Place in the City of Eagan (the "Existing Project" and, together with the Therapy
Project, the "Project"). The Project will be owned, operated, and managed by the Borrower.
The estimated maximum principal amount of the Bonds to be issued to finance the
Therapy Project is $5,100,000.
The Bonds, if and when issued, will not constitute a charge, lien or encumbrance upon
any property of the City or of the City of Eagan, and such obligations will not be a charge against
the general credit or taxing powers of the City or of the City of Eagan but will be payable from
sums to be paid by the Borrower pursuant to a revenue agreement.
A draft copy of the proposed application to the Commissioner of the Department of
Employment and Economic Development, State of Minnesota, for approval of the Project,
together with all attachments and exhibits thereto, is available for public inspection during
normal business hours, Monday through Friday, at the City Hall in the City.
At the time and place fixed for the Public Hearing, the City Council will give all persons
who appear at the hearing an opportunity to express their views with respect to the proposal.

1. PROPOSED MOTION:
Move to approve the resolution approving the Final Plat and Development Agreement for
Clearwater Cove 4th Addition. Approval of the Final Plat requires a 3/5 vote of the City Council.
2. DESCRIPTION OF REQUEST:
The applicant is requesting approval of a final plat in order to plat 14 residential lots and 1 outlot
on the 6.26 acre parcel located south of Frenchman Road (CSAH 8) and east of Everton Avenue
North. The site is currently a vacant outlot.
3. BACKGROUND:
The City Council reviewed will review the PUD General Plan and preliminary plat for
Clearwater Cove at its August 3, 2015 meeting. The final plat will plat the remaining 20 lots
from the Clearwater Cove preliminary plat to complete the development. There are no changes to
the lots from the preliminary plat. The lots meet the minimum lot standards and requirements
outlined in the regulations for the Clearwater Cove PUD.
The park dedication requirement will be met by cash in lieu of land in the amount of $48,000.

WHEREAS, D.R. Horton, Inc. — Minnesota, has requested approval of a final plat for the
property legally described as follows:
Outlot A, Clearwater Cove 3rd
WHEREAS, the Planning Commission has reviewed the preliminary plat and PUD at a duly
called public hearing and recommended approval of the preliminary plat and PUD; and
WHEREAS, the City Council approved the preliminary plat and PUD at its meeting on August
3, 2015.
NOW, THEREFORE, BE IT HEREBY RESOVLED BY THE CITY COUNCIL OF THE CITY
OF HUGO, MINNESOTA, that it should and hereby does approve the request by D.R. Horton,
Inc. — Minnesota, for a final plat, subject to the following conditions:
The final plat is approved to allow the creation of 20 single family lots, in accordance
with the plans and application received by the City on May 19, 2017, except as amended
by this resolution.
2. The development shall substantially comply with all plans and conditions of the PUD and
preliminary plat approval granted by the City on August 3, 2015.
Development standards shall comply with Resolution 2015-38 and 2015-39, as amended.
4. The developer shall comply with all conditions outlined in the City Engineer's memo
dated July 16, 2015, August 12, 2015, and June 15, 2017, and revisions required in
"redlined" comments from the City Engineer.
5. The developer shall design and install a stormwater re -use system for irrigation of the
individual lots.
6. The developer shall establish a property owners association for the development to
own/operate/maintain common elements, landscaping, and the water re -use system.
7. The 8 foot wide bituminous public trail connection from Victor Gardens as shown in the
plans shall be installed, prior to the release of the letter of credit for the development. The
trail shall end at the cul-de-sac connection on 142nd Circle North. An escrow shall be
established with the City to extend the trail to the south plat boundary at the time deemed
necessary by the City-

8. The landscaping planned for the plat shall be installed in one phase. The developer shall
take proper precautions to protect the trees as the homes are being built.
9. Each home shall include a minimum of 2 parking spaces within the driveway. The
driveway widths shall be a maximum of 24 feet at the right of way line.
10. Building Setback for this addition on the PUD are as follows:

11. Prior to commencement of any grading:
a) The developer shall obtain all necessary local, state, and federal permits.
b) The developer shall obtain all necessary stormwater management and wetland
conservation act (WCA) permits from the City
12. Prior to recording the final plat:
a) The grading the drainage and utility easements on Lots 5 and 6, Block 2, and Lot 7,
Block 3, shall be revised per the City Engineers memo and "red -lined" comments
dated June 15, 2017.
b) The stormwater re -use system design shall be reviewed and approved by staff. The
stormwater re -use operation and maintenance agreement shall be approved by the
City.
c) The developer shall submit a street lighting plan for this phase. The plan shall be
reviewed and approved by the City
d) The developer shall provide copies of the property owners association
documents/covenants for City review. A copy of the document shall be filed for
recording with the final plat.
e) The developer shall enter into a development agreement, shall agree to complete all
improvements, and pay all fees as required by the agreement.
13. Prior to the issuance of building permits:
a) The developer shall file the final plat, development agreement, and associated
documents with Washington County. Proof of recording shall be provided to the City.

b) The developer shall submit three full sets of approved final plans to the City.
c) Prior to the issuance of a building permit for Lot 6, Block 2, and Lot 7, Block 3, the

We have reviewed the Final Plat submittal and drainage analysis for the above -referenced project. In
particular, we have reviewed the following plans related to this particular request:
• Final Plat, Grading, Streets, Drainage and Utilities prepared by Westwood Professional
Services, dated April 6, 2017.
Based on the review of the application materials, we offer the following comments related to this
application:
Grading Plan
1. Label elevations for identified high points
2. Shift the storm sewer running through Lots 5 & 6 in Block 2 further to the west and creating one
larger rear drainage and utility easement. Minimum storm sewer depth can be 2.5 feet in depth to
accommodate this.
3. Shift the 917.8 EOF on the west side of Oneka Parkway at —STA 12+20 to the southwest so it
stays within the easement.
4. Provide Pond Information (HWL, EOF, etc.) for the pond behind Block 3 west of Oneka
Parkway.
5. Lot 6 Block 2 and Lot 7 Block 3 should be evaluated further and additional information provided
to staff on how proposed lot grading and driveway placement fits with the proposed conditions
within this development as well as future conditions when the roadway is extended in the future
(with only future work in the right-of-way and platted easements). Future roadway extensions
may require the alteration of the grading within these two lots.
Utilillv Plans
1.) Update the hydrant and MH -(24) locations and elevations as well as the street and barricade
limits such that they are in agreement with the final grading shown on the south end of Oneka
Parkway at the southern limit of the development.
2.) Show in the profile of Sheet 3, removing the existing 4' section of PVC from EX.MH-21 and
connecting directly to the structure.
3.) Raise the sanitary sewer service inverts @10' outside the right-of-way such that it is at least 2%
for Lot 2 Block 1; Lots 4, 5, 6 Block 2; Lots 4, 5, 6, 7 Block 3.

north/northeast to the center of the westbound driving lane.

DEVELOPMENT AGREEMENT

THIS AGREEMENT, made and entered into this day of , 2017 by -and
between the CITY OF HUGO, a Minnesota municipality organized under the laws of the State of
Minnesota (hereinafter referred to as "City"); and D.R. Horton, Inc. — Minnesota (hereinafter
referred to as "Developer").

WHEREAS, the City Council of the City has, by Resolution Number 2015-39 on
August 3, 2015, approved the preliminary plat for a major subdivision as proposed by the
Developer to be known as "Clearwater Cove" ; and,
WHEREAS, the City Council of the City has, by Resolution Number 2015-38 on
August 3, 2015, approved the PUD general plan for a major subdivision as proposed by the
Developer to be known as "Clearwater Cove" ; and,
WHEREAS, the City Council of the City has, by Resolution Number 2017- on
June 19, 2017, approved the final plat for a major subdivision as proposed by the Developer to be
known as "Clearwater Cove 0 Addition" (hereinafter referred to as the "Plat"); and,
WHEREAS, the Plat proposed a development of an approximately 10 acre parcel of
land into 14 residential lots; and,
WHEREAS, it is the policy of the City to enter into development contracts as
contemplated in Minnesota Statutes §462.358, Subd. 2(a); and,
WHEREAS, the parties hereto desire to set forth their respective rights and
obligations of the parties to this Agreement.
NOW, THEREFORE, in consideration of the premises and of the mutual promises
and conditions contained herein, it is agreed by the parties hereto as follows:
A. GENERAL ENGINEERING CONDITIONS;
1. Escrow for Cite Costs and Fees. Developer shall, contemporaneously with
the execution of this Agreement, deposit with the City an escrow as outlined in Exhibit C to cover
the cost of legal fees, engineering and construction observation fees, administrative expenses, and
other costs related to this Plat.
All fees and costs incurred by the City in connection with the Plat shall be
charged against said escrow account which shall remain in effect until the expiration of the
warranty period for the Plat, as defined in paragraph 7, in all events said fees and costs shall be the
responsibility of the Developer and shall be paid on demand. Any funds remaining in the escrow
account after the completion of the warranty period shall be refunded to the Developer. In the event
that the escrow account herein is depleted, Developer agrees to post additional funds to replenish
the account and to cover projected City costs. Specifically, Developer agrees that the escrow
account shall maintain a balance of no less than $5,000.00. Developer shall be entitled, upon
request, to an itemized statement of all costs and fees charged against this escrow account.

2. Development Plans. In accordance with the policies and ordinances of the
City, and subject to all City resolutions and approvals in connection herewith, the Developer shall
construct the proposed improvements (hereinafter referred to as the "Improvements"). All
Improvements shall be constructed and installed pursuant to the terms and conditions herein set
forth in accordance with the plans approved and listed on Exhibit A, subject to all City resolutions
and approvals listed in Exhibit B, subject to final approval by the City, and in accordance with City
standards and requirements including those listed herein. In addition, all public street, utility, and
storm drainage improvements shall comply with the City's adopted specification book and the
reasonable direction of City staff.
3. Authorization to Proceed with Construction. Developer agrees not to
commence any grading, utility or street work within the Plat until the following are completed:
1) Construction plans are approved by the City and distributed.
2) Pre -construction conference is held.
3) Notice to Proceed is issued.
4. Construction Observation. The City, for its benefit, will provide staff of
its choosing to provide construction observation for the Improvements outlined in this Agreement.
All costs associated with construction observation and inspection will be the responsibility of the
Developer. The Developer shall allow City staff and City consultants access to the Plat to allow for
this work to occur.
5. Miscellaneous Requirements.
a) Properh Corners: All property corners as identified on the Plat
must be monumented with iron surveyor's pipes by the Developer prior to final project acceptance,
as defined in paragraph 7 of this Agreement.
b) Drainwge_Easements: Drainage easements shall be dedicated on
the Plat so as to cover any wetlands and stormwater ponding areas located below the 100 -year high
water levels.
c) Soils Testing: Soils inspection and compaction testing by a
registered professional engineer shall be accomplished on all lots where filling is required, in
accordance with the approved Grading, Drainage, and Erosion Control Plan. A minimum of one
(1) compaction test for all developed lots shall be obtained for every two (2) foot increment of fill
that is placed. A summary of all inspections and compaction tests for all developed lots shall be
provided to the City upon completion of the grading and shall be provided for a respective lot prior
to the issuance of a building permit for such lot.
d) Private Utilities: All private utilities that are installed, including
electricity, telephone, natural gas and cable television, shall be installed underground.
e) Mailboxes: Developer shall coordinate mailbox locations with the

United States Postal Service.
0 Street Lights: Street lights shall be installed within the Plat
according to the Street Lighting Plan, which will first be approved by the City Engineer. Developer
shall also submit its Street Lighting Plan to the applicable power company for its review, comment
and approval. The installation of the street lights shall be coordinated with the applicable power
company so that the street light system is installed, constructed and operated in such a manner as
will harmoniously exist with other street lights within the area.
g) Working Hours: Construction activity, including equipment
startup and fueling, can only occur between the hours of 7:00 a.m. and 7:00 p.m. Monday through
Friday; 5:00 a.m. and 5:00 p.m. on Saturdays; at no time on Sundays or holidays.
h) Street Sweeping: Developer shall sweep and/or otherwise clean all
streets, as needed, within and adjacent to the Development property as a result of construction
activities associated with the Plat until final acceptance of the Improvements. If the streets are not
maintained in a manner acceptable to the City, after reasonable notice to the Developer the City will
arrange for the street sweeping at Developer's cost.
i) Placement of Bituminous Wear Course: The bituminous wear
course can be placed on all streets once all of the following have occurred:
1. A Certificate of Occupancy has been issued for at least 75%
of the lots or a cash escrow in the amount of $10,000 has
been deposit with the City which will be held until 75% of
the lots have received Certificates of Occupancy. At the
City's discretion, the wear course may be placed prior to
having 75% occupancy. If applicable, the warranty period
shall be extended an additional one (1) year for a total of two
(2) years from final acceptance. In no case shall the wear
course be placed with less than 50% occupancy.
2. The base course on all streets has been in place for at least
one full freeze -thaw cycle.
3. City staff or its assignees have visually inspected all
roadways and curb within the Development, and any repairs
necessary as a result of said inspection are complete and
written approval issued.
6. Proiect Completion: The Improvements listed herein on Exhibit A, including
street, sanitary sewer, storm sewer, and municipal water, shall be completed subject to the approval
of the City in accordance with the approved plans. All Improvements shall be substantially
completed to the reasonable satisfaction and approval of the City within twelve (12) months of the
execution of this Agreement. Substantial completion shall consist of all work with the exception of
placement of the bituminous wear course and completion of the final punchlist. The Developer

shall be excused from the strict completion date set forth herein if written notice is received from
the Developer of the existence of causes over which the Developer has no control which will delay
the completion of the work and approved in writing by the City. In that event, the City may extend
the date or dates herein specified.
7. Project Acceptance: Final project acceptance will be considered by the City
Council once the following have been completed:
(a) All Improvements are installed according to the approved plans.
(b) All punchlist items are completed.
(c) All Record Drawing information has been provided to the City to its
satisfaction.
(d) Escrow account for City costs and fees is current in accordance with the
provisions of this Agreement.
(e) The City receives confirmation via lien waivers that contractors or other
parties have been paid for the work completed.
(f j The City receives a written request from the Developer to accept the
Improvements.
8. Record Drawing Requirements andEngineer'sCertification. Following
completion of all development activities and prior to the release of security and acceptance of
Improvements, the Developer and/or their assignee shall provide to the City "as -built" plans for the
Improvements listed on Exhibit A. This information shall be provided to the City in the following
formats:
(a) 1 -set mylar drawings (22" x 34") for all improvements.
(b) 1 -set paper drawings (22" x 34") for all improvements.
(c) Individual Adobe.pdf (or approved equivalent) for all plan sheets and the
Final Plat.
(d) Cad file for entire project
All Record Drawings shall include the followim information:
(a) All Bench marks shown on plans (bench marks shall be top nut of hydrants).
(b) Swing ties to all gate valves shown on plans (ties should be to manholes,
catch basins, hydrants or other permanent objects.
(c) Swing ties to curb stops shown on plans (ties should be to manholes, catch
basins, hydrants, property corners or other permanent objects).
(d) Top of casting and invert elevation for all structures.
(e) All pipe sizes, material type, pipe classification, grades and lengths
(f) All horizontal and vertical curve data in the appropriate location on the
plans.

(g) Televised report of the sanitary sewer with videotape.
(h) Swing ties to any manhole or catch basin outside the roadway area.
(i) A text file including the x, y and z coordinates (based on Washington County's
coordinate system) for the following:
1. All curb stops
2. All hydrants
3. All gate valves
4. All manholes
(j) Show all sewer and water stubs locations and elevations
(k) Street names shall be clearly labeled on all sheets
(1) Show utility and or sidewalk/trail easements and widths where applicable
(m) Remove all clutter from sheets (example: survey /topo coordinates, revision
clouds, ghosted existing wetlands, removals)
9. Construction_Warrantr and FInancin of IM)rovements. The Developer agrees
to construct the Improvements described herein at its own expense and in accordance with City
specifications. The Developer shall engage at its own expense a registered, professional civil
engineer to prepare plans and specifications for the Improvements and shall submit the same to the
City for review and approval. The Developer represents and warrants that all of the Improvements
made as a part of this development shall be guaranteed to be properly functioning as designed for a
period of not less than one (1) year following acceptance of the entire project by the City. In the
case of any material or labor that is supplied and that is reasonably rejected by the City as defective
or unsuitable, then the rejected materials shall be removed and replaced with approved material,
and the rejected labor shall be done anew to the reasonable satisfaction and approval of the City at
the sole cost and expense of the Developer. In any event, none of the warranty periods expressed
herein shall begin to run until all of the Improvements within the Plat have been approved and
accepted by the City.
The Developer's engineer shall certify that grading within the Plat was completed in
accordance with the approved Grading, Drainage and Erosion Control Plan before the City issues
any building permits. The Developer shall remain ultimately responsible for accurate grading of all
lots and shall correct any deficiencies in grading that may be discovered until the certificate of
occupancy is issued or the developer is released from its obligation under this Agreement as
outlined in paragraph 7 above.
10. &M. The Developer shall prepare a plan for all regulatory, directional and street
name signs to be within the Plat. The plan shall be reviewed and approved by the City's public
works department. Upon plan approval, the City's public works department shall install all public
signage within the Plat. The installation of all private signage shall be the responsibility of the
Developer. All costs related to the installation of public signage shall be the responsibility of the
Developer and will be deducted from the Developer's escrow account. The Developer shall post
funds as outlined in Exhibit C prior to the City's public works department beginning the

installation.
11. Draina;,e Easements.
a) Work within Easements: No improvements, landscaping, or grading,
other than Improvements shown on the approved plans, shall be permitted in dedicated drainage
easements without the prior written permission of the City and any regulatory agency having
jurisdiction.
b) Maintenance Responsibilities: The Developer and its successors in
interest, including all individual homeowners, shall be responsible for routine maintenance of all
storm water management ponds, wetlands, and drainage areas within easements dedicated to the
City on their property. Routine maintenance shall include litter removal, mowing and maintenance
of the property adjacent to pond or wetland areas. In the case of drainage swales, routine
maintenance includes the removal of obstructions from the swale as necessary to maintain proper
drainage in addition to the aforementioned items. The City shall be responsible for non -routine
maintenance of storm water ponds within the easements, including pond dredging, maintenance of
the storm water inlet(s) and outlet(s) pipes, and erosion control at outlet and inlet locations. Such
maintenance shall be completed as deemed necessary by the City.
12. Wetland Si2naLe: Permanent signage shall be placed along wetland edges as
outlined in the City's General Specification and Standard Details Manual or approved equal by the
City.
13. Lowest Floor Elevations. All minimum floor elevations shall comply with Section
90-171 of the Hugo Zoning Ordinance, the City's Comprehensive Stormwater Management Plan,
or the approved Grading, Drainage, and Erosion Control Plan, whichever is more restrictive.
Except as may be specifically allowed under Exhibit A, no building shall be constructed on any of
the lots herein unless the lowest floor elevation is at least three (3) Meet above the 100 -year flood
elevation or four (4) feet above the high groundwater elevation, whichever is greater, for the subject
property. Additionally, the lowest floor elevation shall be specifically referenced and designated,
for each lot, on a certificate of survey, which survey shall be provided to the City before any
building permits are issued for any lots within the Plat.
14. LandscaGin. All disturbed areas within the Plat shall be landscaped in accordance
with the approved landscape plans, the City ordinances, and the City's General Specification and
Standard Details Manual. All landscaping shall be complete, established and growing within sixty
(60) days of issuance of a Certificate of Occupancy, except that, if the certificate of occupancy is
issued between the dates of October 1 and May 1, then the landscaping required herein shall be
complete, established and growing no later than July 1. All front yards, side yards and back yards
shall be fully sodded. All landscaped areas shall be tilled or otherwise worked mechanically in
order to loosen compacted soils and shall contain at least four (4) inches of black dirt containing no

more than 35% sand. Unless specific arrangements are made and agreed to by the City, all
landscaping installed within the Plat shall be maintained by the Developer and its successors.
All areas, other than proposed street areas, disturbed by grading activities on the site shall be
seeded. Seeding shall be immediate upon completion of grading activities or as directed by the City
Engineer. Seeding shall be completed as follows:
a) All areas shall be restored with a minimum of four (4) inches of adequate
topsoil prior to seeding.
b) Upland areas shall be seeded in accordance with the grading, drainage, and
landscape plans listed in Exhibit A. The rate of application shall be one hundred (100) pounds per
acre. Areas seeded shall be mulched with Type 1 mulch at a rate of two (2) tons per acre. All
mulch shall be disk anchored.
c) Wetlands, wetland replacement areas and storm water ponding areas shall be
seeded with MN/DOT Seed Mixture 25B, or as required by the permitting regulatory agency. The
minimum rate of application shall be thirty (30) pounds per acre, or as recommended by the
supplier.
d) All seeded areas shall be maintained for the term of this Agreement. Upland
areas shall be mowed as necessary or as directed by the City Engineer.
e) All disturbed areas within the development shall be maintained to limit
vegetation growth to less than ten (10) inches except designated natural areas or designated open
spaces as shown on the approved plans.
15. Safe Rooms. The Developer shall require all builders to offer a safe room as an
option to any and all potential homebuyers. All safe rooms offered and built within the City
must meet or exceed FEMA requirements and standards.
B. ESCROWS, CHARGES AND UTILITY OVERSIZING:
Developer shall pay the escrows, fees and charges listed on Exhibit C.
C. SPECIAL PLANNING REQUIREMENTS:
The Plat shall be built and maintained in accordance with the planning requirements
listed on Exhibit A hereto, and any miscellaneous requirements listed on Exhibit B hereto.
D. ADMINISTRATIVE REQUIREMENTS:
1. Miscellaneous Provisions. Developer specifically understands that this Plat
approval is given subject to the following requirements:

a) Expiration. The final plat documents for the Plat, which is the first
phase of the Clearwater Cove preliminary plat, have been submitted to the City Council within one
hundred twenty (120) days of preliminary plat approval. The final plat must be recorded with the
Washington County Recorder (and the mylar "hardshells" must be fully executed) within sixty (60)
days of the City Council motion giving final plat approval, unless such deadline is extended by the
City Council in its sole discretion, or else said approval shall be null and void. All fees relating to
this subdivision shall be paid by the Developer, including the cost of recording documents with
Washington County.
b) Recording. The developer shall record this Agreement with
Washington County simultaneous with the recording of the Plat, and shall forward confirmation of
recording of the Plat and this Agreement to the City prior to the issuance of building permits. All
applicable conditions of Plat approval must be met before any deeds are stamped for recording and
prior to the recording of the Plat at the Washington County Recorder's Office. Plat approval shall
be contingent upon compliance with the approved plans for the Improvements and upon
compliance with this Agreement.
C) Model Homes. In the event that site grading is approved by the City
prior to Plat approval and/or execution of this Agreement, posting of security and filing of the Plat,
the Developer shall be entitled to one (1) building permit per housing unit type on lots that abut
existing streets or roadways, subject to final approval by the City. No model homes may be
constructed or utilized until at least one (1) lift of bituminous has been installed from said model
home lot providing access to a public street or roadway outside of the Plat. No certificate of
occupancy shall be issued for any model or other home until all necessary public improvements and
utilities have been installed and the utilities have been successfully tested. Prior to this, and at the
time that a model home passes final inspection, a model home may only be used by Developer's
staff or realtors for purposes of showing the models to potential buyers. No model home may be
used until landscaping conforming to City ordinance and paragraph 14 of this Agreement has been
installed except that, if the certificate of occupancy is issued between the dates of October 1 and
May 1, then the landscaping required herein shall be complete, established and growing no later
than July 1.
d) Sales Trailers. The developer may be entitled to a maximum of one
(1) temporary sales office (sales trailer) for this and all subsequent phases of the development for a
period of time not to exceed nine (9) months. Upon receipt of an acceptable site plan, a sales trailer
may be approved by the City Community Development Director prior to the first model home being
available for showing. The trailer is subject to the issuance of a building permit, shall meet all
applicable building codes, shall be fully skirted, shall be suitably landscaped, shall contain
sufficient parking for the size of the office, and shall have safe and suitable access to a paved,
public roadway. The trailer shall be removed, and the site shall be restored within seven (7) days
following the date that a model home passes final inspection.

e) Deviations. No material deviations from the approved Plat shall be
allowed unless approved in writing by the City. Approval herein is also given subject to full
compliance with the conditions of approval and findings adopted by the City Council in connection
with the approval of the development.
f) Certificates of SurveN-. A certificate of survey shall be provided to
the City Building Inspector for each lot at the time a building permit is requested for the lot.
Attached to the certificate of survey shall be an erosion control plan for the lot showing location and
type of all erosion control measures to be used on the lot, and spot elevations, tree preservation plan
shall be submitted for each home site.
g) Outhouses. The Developer shall provide on-site a sufficient number
of portable outhouses to be available for the persons who will be working on-site until
Improvements are accepted according to the plans in Exhibit A.
h) Property Owners Association. When required as a condition of
approval outlined in Exhibit B, the Developer agrees to form a property owners association,
membership in which shall be mandatory for all of the lots within this development. The property
owners association shall be responsible for maintenance and repair of all common elements as
listed in the property owners association documents within this development and the same shall be
maintained in good condition in accordance with all City ordinances and reasonable directions of
the City. Developer agrees to provide a copy of the property owners association documents to the
City prior to the recording of the final plat. In the event of failure or refusal of any property owners
association to so maintain or repair the common elements then the City may, with seven days
written notice and without regard to the requirements or formalities of Minn. Stat. §429 perform the
work and assess each of the lots within the plat for the cost of the work.
i) Intentionally deleted
j) The property owners association documents shall advise owners of
all lots of the requirements of this Agreement as follows: THE LAND WITHIN THIS PLAT,
INCLUDING THE LAND CONVEYED HEREIN, IS BOUND BY RESTRICTIONS IN A
DEVELOPMENT AGREEMENT. SAID DEVELOPMENT AGREEMENT IS ON FILE
AT THE OFFICE OF THE WASHINGTON COUNTY RECORDER.
k) Developer acknowledges that a separate development agreement will
be entered into at the time of final plat approval of subsequent phases in the development. That
Development Agreement will address, among other things, necessary improvements to be made,
financial guarantees to be provided, and the amount of the development fees to be paid by the
Developer.
1) Developer shall remove all tree waste, junk, miscellaneous debris,

junk vehicles, and any other personal property from the Plat which does not comply with the City
Zoning Ordinance until final acceptance of the Improvements.
E. DAMAGES AND DEFAULT:
1. Developer agrees to pay liquidated damages to the City if any lot has a real
estate closing occur before all public improvements within the Plat are certified as being
substantially completed by the City. Specifically, Developer agrees to immediately pay to the City
liquidated damages in the amount of Ten Thousand Dollars ($10,000.00) for each lot closing which
occurs in violation of this paragraph. The City shall be authorized to retain an appropriate
percentage of the financial guarantee referred to in paragraph 4 as security for payment of any
liquidated damages owed to the City. Model Homes are exempt from this section.
2. Developer agrees to pay liquidated damages to the City, in the amount of
Five Thousand Dollars ($5,000.00), if the Developer encroaches upon any City road right-of-way or
utility easement not permitted on the plans without first obtaining a written permit from the City
expressly authorizing said encroachment. The City shall be authorized to retain an appropriate
percentage of the financial guarantee referred to in paragraph 4 as security for payment of any
liquidated damages owed to the City.
3. Events of Default.
a) Events of Default Defined. The following shall be "Events of
Default" under this Agreement and the term "Event of Default" shall mean, whenever it is used in
this Agreement, any one or more of the following events:
1. Subject to unavoidable delays, failure by Developer to commence
and complete construction of the Improvements pursuant to the
terms, conditions and limitations of this Agreement.
2. Failure by Developer to substantially observe or perform any
material covenant, condition, obligation or agreement on their part to
be observed or performed under this Agreement.
b) Remedies on Default. Whenever any Event of Default occurs, the
City, subject to any rights of third parties agreed to by the City pursuant to this Agreement, or
otherwise by written, executed instrument of the City, may take any one or more of the following:

1. The City may suspend its performance under the Agreement until it
receives assurances from Developer, deemed adequate by the City,
that Developer will cure their default and continue their
performance under the Agreement. Suspension of performance

includes the right of the City to withhold permits including, but not
limited to, building permits.
2. The City may initiate such action, including legal or administrative
action, as is necessary for the City to secure performance of any
provision of this Agreement or recover any amounts due under this
Agreement from Developer, or immediately draw on the financial
Letter of Credit, as set forth in this Agreement.
4. Enforcement by Cita, Damages. The Developer acknowledges the right of
the City to enforce the terms of this Agreement against the Developer, by action for specific
performance or damages, or both, or by any other legally authorized means. The Developer also
acknowledges that its failure to perform any or all of their obligations under this Agreement may
result in substantial damages to the City; that in the event of default by the Developer, the City may
commence legal action to recover all damages, losses and expenses sustained by the City; and that
such expenses may include, but are not limited to, the reasonable fees of legal counsel employed
with respect to the enforcement of this Agreement.
F. THIS AGREEMENT:
1. Release of Agreement. This Agreement shall run with the land and may be
recorded against the title to the property. After the Developer has completed the work required of it
under this Agreement, at the Developer's request the City will execute and deliver to the Developer
a release.
2. Warrant} of Title. Developer warrants and represents to the City that it is
the fee owner of the land described herein, except for a portion of the property, and that it has
authority to execute this Agreement, with consent from the other fee owner, and agree to the
conditions hereof and to subject the land hereto. Developer also represents and warrants that the
use for which this development is sought will not violate any restrictive covenants applying to the
property.
3. Binding Effect. This Agreement shall be deemed to be a restrictive
covenant and the terms and conditions hereof shall run with the land described herein and be
binding on and inure to the benefit of the heirs, representatives and assigns of the parties hereto, and
shall be binding upon all future owners of all or any part of the subdivision, and shall be deemed
covenants running with the land. Reference herein to the Developers, if there be more than one,
shall mean each and all of them.
This Agreement shall be placed of record so as to give notice hereof to
subsequent purchasers. The cost of said recording shall be borne by the Owner and charged against
the escrow account.

4. Restrictions on Transfer/Indemnification. Developer agrees to defend
and hold the City, and its officials, employees and agents, harmless against any and all claims,
demands, lawsuits, judgments, damages, penalties, costs and expenses, including reasonable
attorney's fees, arising out of actions or omissions by Developer, their employees and agents, in
connection with the Project. No transfer or assignment shall be made without City approval and
any assignment or transfer without such approval shall be void.
5. Incorporation bN Reference. All general and special conditions, plans,
special provisions, proposals, specifications and contracts for the Plat and for any Improvements
furnished and let pursuant to this Agreement shall be and hereby are made a part of this Agreement
by reference as if fully set out herein in full.
6. Developer will comply with and promptly perform all of its obligations
under this Agreement.
7. Evidence of Title. Developer shall furnish the City with evidence of fee
ownership of the property being platted by way of an attorneys title opinion or title insurance
commitment dated not earlier than thirty (30) days prior to the execution of the Plat.

APPROVAL CONDITIONS
1. The final plat is approved to allow the creation of 20 single family lots, in accordance
with the plans and application received by the City on May 19, 2017, except as amended
by this resolution.
2. The development shall substantially comply with all plans and conditions of the PUD and
preliminary plat approval granted by the City on August 3, 2015.
3. Development standards shall comply with Resolution 2015-38 and 2015-39, as amended.
4. The developer shall comply with all conditions outlined in the City Engineer's memo
dated July 16, 2015, August 12, 2015, and June 15, 2017, and revisions required in
"redlined" comments from the City Engineer.
5. The developer shall design and install a stormwater re -use system for irrigation of the
individual lots.
6. The developer shall establish a property owners association for the development to
own/operate/maintain common elements, landscaping, and the water re -use system.
7. The 8 foot wide bituminous public trail connection from Victor Gardens as shown in the
plans shall be installed, prior to the release of the letter of credit for the development. The
trail shall end at the cul-de-sac connection on 142nd Circle North. An escrow shall be
established with the City to extend the trail to the south plat boundary at the time deemed
necessary by the City.
8. The landscaping planned for the plat shall be installed in one phase. The developer shall
take proper precautions to protect the trees as the homes are being built.
9. Each home shall include a minimum of 2 parking spaces within the driveway. The
driveway widths shall be a maximum of 24 feet at the right of way line.

13. Prior to the issuance of building permits:
a) The developer shall file the final plat, development agreement, and associated
documents with Washington County. Proof of recording shall be provided to the City.
b) The developer shall submit three full sets of approved final plans to the City.
c) Prior to the issuance of a building permit for Lot 6, Block 2, and Lot 7, Block 3, the
City Engineer shall review and approve the grading for the lots.

ESCROWS, FEES AND CHARGES
a) Escrow for City Costs and Fees. Developer shall deposit sufficient
escrow with the City as outlined in Section A. 1. The required beginning balance in the account is
calculated at . This sum is calculated to be four percent (4%) of the estimate of
the required improvements to be installed to serve the development, plus $5,000 which is the
minimum balance required in the account.
b) Cash Escrow or Letter of Credit. Developer shall provide a financial
guarantee to the City, in the form of a cash escrow or letter of credit, in the amount equal to one
hundred twenty-five percent (125%) of the estimated amount of the required improvements to be
installed to serve the development. This amount has been calculated by the City's Engineer to be

1. PROPOSED MOTION:
Receive approval of an encroachment agreement for James and Amy Webb for a deck located at
5370 157th Street North for signature by Mayor and City Clerk.
2. OVERVIEW:
The applicant is requesting to construct a 10 x 14 foot deck to be located behind the home. At
the time of construction, a sliding glass door was installed with the idea that a deck could be
constructed at this location. A drainage and utility easement covers the majority of the rear yard
and begins five (5) feet behind the home. The deck would be located within the easement and
would extend approximately five (5) feet into the easement. Staff finds the deck would have no
negative impact on utilities or drainage in the area.
3. STAFF RECOMMENDATION:
Staff recommends that the City Council approve an encroachment agreement for James and Amy
Webb for signature by the Mayor.

ENCROACHMENT AGREEMENT
THIS AGREEMENT is made this day of , 2017, by and between
the CITY OF HUGO, a Minnesota municipality (hereinafter "City") and James Webb and Amy
Webb, husband and wife (hereinafter "Owners"), and their successors in title.
WHEREAS, the City has an easement for drainage and utility purposes (the "Easement")
along the northwesterly portion of Owners' property, which property is legally described as Lot
3, Block 4, Creekview Preserve, Washington County, Minnesota; and,
WHEREAS, Owners are desirous of constructing a deck partially within the easement
area; and,
WHEREAS, the City will permit the placement of a deck in the area described herein
subject to the terms and conditions hereof.
NOW, THEREFORE, in consideration of the premises and for good and valuable
consideration, the receipt of which is acknowledged, the City will permit the encroachment on its
easement as set forth herein and subject to the conditions set forth below:
1. Owners and their successors in title may install and maintain a deck within the
Easement, and the deck shall not be installed or maintained more than five (5) feet into the
easement. The deck will be constructed in accordance with city approved plans.
2. No plantings, trees, permanent improvements or structures other than the deck
may be maintained or placed in the easement area.
3. Owners shall maintain the deck in good repair and shall not permit it to be
expanded, lengthened or to impair the City's easement or its rights thereunder in any respect.

4. The encroachment granted to Owners herein is subject to the existing easement
rights of the City as granted in various easements.
5. The City will notify Owners if it requires removal or relocation of the deck or any
part of it. Thereafter, Owners shall remove the deck according to the direction of the City and if
Owners fail to do so, the City may enter upon the land and remove as much of the deck as
required and cast it upon the adjoining lands. In such an event, the City shall not be liable to
Owners for any costs, loss or damage whatsoever, and may assess the property for all of its costs
incurred in removing the deck, and Owners waive all formalities, requirements and defenses
arising from or relating to Minnesota Statutes Section 429 relating to or arising from the work
done by the City.
6. To the fullest extent permitted by law, Owners agree to release, defend, protect,
indemnify, save and hold harmless the City, its agents, directors, employees, shareholders and
contractors against any and all claims, costs and liabilities, including the costs of defense for
damages, injury or death arising from or in any way connected to the installation, maintenance,
repair, removal and/or presence of the deck, regardless of whether such harm is to Owners, the
City, the employees or officers, guests or invitees of either or any other person or entity, except
Owners shall not be liable under this paragraph for loss or damage to the extent resulting from
the negligence of the indemnified parties.
7. The permission granted herein is limited exclusively to the proposed deck within
the specified portion of the easement area of the City's Easement. Owners shall not alter the
grade or permit such alteration anywhere upon the land upon which the City has reserved its
easement rights without proper express written consent of the City.

8. Owners shall, at all times, use their best efforts to conduct all of their activities on
said Easement in such a manner as to not interfere with or impede the operation of the City's
Easement and related activities in any manner whatsoever, and shall follow the direction of the
City.
9. This Agreement shall run with the land and inure to the benefit and be binding
upon the parties hereto, their heirs, successors and assigns.
10. Owner shall be responsible for the costs of recording this Agreement with the
Washington County Recorder.
