F.1 Update on COVID-19 City Response City Administrator Bryan Bear will provide an update on the City’s response to the COVID-19 pandemic G.1 Approve Claims Roster Staff recommends Council approve the Claims Roster as presented. G.2 Approve Annual Performance Review for Finance Director Ron Otkin Ron Otkin was hired as the City’s Finance Director on April 3, 1989. For the past 32 years, Ron has conducted duties related to the City’s Finance Department which includes the annual preparation of the City’s budget as well as financing of public improvement projects and preparation of the annual comprehensive financial report. City Administrator Bryan Bear recommends Council approve the annual performance review for Finance Director Ron Otkin. G.3 Approve Fulltime Permanent Status for Building Official Joel Hoistad Joel Hoistad was hired as the City’s new Building Official beginning on September 14, 2020. Joel has successfully completed his six-month probation period. Community Development Director Rachel Juba recommends Council approve Building Official Joel Hoistad as a fulltime permanent employee. G.4 Approve Authorization to Advertise for Bids for the Salt Storage Building at the New Public Works Facility Oertel Architects will soon have the final design and bidding documents prepared for the salt and materials storage buildings to be located at the new Public Works facility. A bid opening date of April 22nd is expected. Staff recommends Council authorize the advertisement of bids for the construction of the salt and materials storage building located at the new Public Works facility. G.5 Approve Request for Waiver of IUP Renewal Fee from Ann Rooney at 13755 Elmcrest Avenue North Ann Rooney, owner of Bluebird Screen Print LLC at 13755 Elmcrest Avenue North, has requested a fee waiver for the Interim Use Permit application fee. As a local business, Bluebird Screen Print, LLC, has been adversely affected by the COVID-19 pandemic and was unable to generate the revenue that it typically sees throughout the year. In an effort to provide relief to local businesses, the City Council has previously approved $171,635.33 in grants through the CARES Business Grant program. The Council has also waived liquor license fees for restaurants in 2021. The IUP fee is $250. Staff recommends Council approve the fee waiver for Ann Rooney at 13755 Elmcrest Avenue North. G.6 Approve Donation to the Hugo Fire Department from the Hugo American Legion The Hugo American Legion would like to donate $2,000 to the Hugo Fire Department for training and equipment. Donations to the Fire Department must be approved by Council. Staff recommends Council approved the donation of $2,000 to the Hugo Fire Department from the Hugo American Legion. G.7 Approve Renewal of 2 a.m. License for the Blue Heron Grill Since May 2010, the Blue Heron Grill has held a license that permits the establishment to stay open until 2 a.m. This license is renewed annually with approval by the City Council. The year, the State is waiving their permit fee due to COVID. Staff recommends Council approve the renewal of the 2 a.m. license for the Blue Heron Grill. H.1 Public Hearing on Vacation of Drainage and Utility Easement – Oneka Place The applicant, CPDC – Pratt-Oakwood, LLP, is requesting a vacation of the existing drainage and utility easement located over Outlot A, Oneka Place 4th Addition. The outlots will be final platted for the development of Oneka Place 5th Addition, which is the last phase of the development. New drainage and utility easement will be placed on the lots at the time the final plat is recorded. Staff recommends that the City Council approve the notice to vacate the drainage and utility easement located over Outlot A, Oneka Place 4th Addition. H.2 Public Hearing on Vacation of Drainage and Utility Easement – Adelaide Landing The applicant, Excelsior Group, is requesting a vacation of the existing drainage and utility easement located over Outlot F, Adelaide Landing and Outlot C, Adelaide Landing 5th Addition. The outlots will be used for the development of Adelaide Landing 6th Addition and other future phases. New drainage and utility easement will be placed on the lots at the time the final plat is recorded. Staff recommends that the City Council approve the notice to vacate the drainage and utility easement located over Outlot F, Adelaide Landing and Outlot C, Adelaide Landing 5th Addition. I.1 Approve Final Plat and Development Agreement for Oneka Place 5th Addition CPDC – Pratt-Oakwood, LLP is requesting approval of a final plat and development agreement to plat 14 residential lots from the Oneka Place preliminary plat, which includes a total of 177 residential lots. This final plat is to be known as Oneka Place 5th Addition and is generally located north of Ethan Trail North and west of Oneka Parkway. Staff recommends approval of the resolution approving the Final Plat and Development Agreement for Oneka Place 5th Addition. I.2 Approve Final Plat and Development Agreement for Adelaide Landing 6th Addition The Excelsior Group is requesting approval of a final plat and development agreement to plat 46 lots and one outlot on a parcel located east of Highway 61 and north of 130th Street North. Adelaide Landing 6th Addition will plat the remaining 46 lots and one outlot from the Adelaide Landing preliminary plat. Roll call vote – all ayes. Motion carried. Minutes HUGO CITY COUNCIL MEETING HUGO CITY HALL/REMOTE MEETING MONDAY, MARCH 1, 2021 – 7 P.M. Hugo City Council Meeting Minutes for March 1, 2021 Page 2 of 11 Update on COVID-19 City Response City Administrator Bryan Bear gave a brief update on the City’s response to the COVID-19 pandemic saying the State of Emergency declared by Governor Waltz in March, 2020, was still in place and recently modified by executive order 2021-1 that mainly pertained to venues. City Hall had remained open during the whole pandemic, and the goal to provide continuous services had mainly been met with some modifications. Vaccines were being distributed in Washington County with help from the MN Department of Health. Vaccines were generally not available to City staff but were available to the firefighters. Council meetings continued to take place remotely pursuant to MN State Statue. Technical upgrades were in place, and hybrid meetings could now occur with hybrid meeting protocols in place. Bear asked the Council their thoughts about returning to in-person meetings. Weidt stated he would be comfortable with holding in-person meetings starting in April, 2021, dependent on what happens during the next 30 days. Miron and Klein agreed that would be a good target. Parks Commission Annual Report Parks Planner Shayla Denaway presented to Council the 2020 Parks Commission Annual Report. She talked about the expansion of trails in Adelaide Landing and Oneka Place, and the feasibility study that was done for a trail along Goodview Avenue saying there had been no decision to move ahead with construction due to high costs. Denaway stated recreation looked very different during 2020 with COVID-19, though the City never closed any of the parks. The only program held in person was the sledding party in 2020. The City had partnered with the YMCA for Play Days during the summer. At the beginning of 2020, the Commission considered concepts for the City owned properties along Sunset Lake and decided to postpone improvements until there was more neighborhood support for a project. Winter trail and sidewalk snowplowing routes maintained by the City were reviewed, and the map was updated. Park benches were installed and other minor park updates done using SHIP funding. The Commission had discussions during 2020 on construction of Lions Park and plans for Irish Avenue Park and Clearwater Creek Preserve. The Commission approved the Local Boy Scouts to put in a memorial for Andrew Olson who passed away suddenly in early 2020. Denaway talked about the three residential developments reviewed by the Commission during 2020, and she shared images of the newly constructed Arcand Park. Approve Performance Review for Senior Engineering Technician Liz Finnegan Liz Finnegan was hired in March, 2019, as the new Senior Engineering Technician after the retirement of Steve Duff in January, 2018. Adoption of the Consent Agenda approved the performance review for Senior Engineering Technician Liz Finnegan. Approve Property Line Adjustment for Marvin and Judith LaValle and Hugo Investments. LLC (Larry Barnabo) for Properties Located at the Northwest and Southwest Corners of Frenchman Road (CSAH 8) and Forest Boulevard (TH 61) Marvin and Judith LaValle and Hugo Investments, LLC (Larry Barnabo) had requested approval of a property line adjustment for the properties located at the northwest and southwest corners of Frenchman Road (CSAH 8) and Forest Boulevard (TH 61). The applicant proposed to adjust the common property line between the properties and combine them into two parcels. The adjustment would result in Parcel A totaling 4.97 acres and Parcel B totaling 16.09 acres. Staff found that both properties were in compliance with all applicable regulations in the City Code and would continue to comply after the property line adjustment. Adoption of the Consent Agenda approved RESOLUTION 2021-8 APPROVING A PROPERTY LINE ADJUSTMENT FOR MARVIN AND JUDITH LAVALLE AND HUGO INVESTMENTS. Hugo City Council Meeting Minutes for March 1, 2021 Page 4 of 11 Approve Promotion of David Jensen to Deputy Chief on the Hugo Fire Department Interviews were held on February 4, 2021, for a new Hugo Fire Department Deputy Chief. The position became vacant when former Deputy Chief Jim Compton, Jr. was promoted to the Fire Chief position. Adoption of the Consent Agenda approved the promotion of David Jensen to Deputy Chief on the Hugo Fire Department effective March 1, 2021. Approve Resolutions Approving the Preliminary Plat, Planned Unit Development, and Comprehensive Plan Amendment for the Meadows at Hugo Development Golden Valley Land Company had applied for a preliminary plat, planned unit development, and comprehensive plan amendment for a residential development to be known as “The Meadows at Hugo.” The proposed site was 32.93 acres and located north of 159th Street North and west of Highway 61. The preliminary plat proposed a total of 87 single family lots and six outlots. The Hugo Planning Commission held a public hearing at their February 11, 2021, meeting and recommend that the City Council approve the preliminary plat, planned unit development, and comprehensive plan amendment applications for the residential development to be known as the Meadows at Hugo. Adoption of the Consent Agenda approved RESOLUTION 2021-9 APPROVING PRELIMINARY PLAT FOR GOLDEN VALLEY LAND COMPANY FOR “THE MEADOWS AT HUGO” ON PROPERTY LOCATED NORTH OF 159TH STREET NORTH AND WEST OF HIGHWAY 61, and RESOLUTION 2021- 10 APPROVING PUD GENERAL PLAN FOR GOLDEN VALLEY LAND COMPANY FOR “THE MEADOWS AT HUGO” ON PROPERTY LOCATED NORTH OF 159TH STREET NORTH AND WEST OF HIGHWAY 61, and RESOLUTION 2021-11APPROVING A COMPRHENSIVE PLAN AMENDMENT CHANGING MAP 11-4, 2040 SANITARY SEWER SYSTEM MAP. Approve Donation to the Hugo Fire Department from the Hugo American Legion The Hugo American Legion wanted to donate $2,100 to the Hugo Fire Department for training and equipment. Donations to the Fire Department needed to be approved by Council. Adoption of the Consent Agenda approved the donation of $2,100 to the Hugo Fire Department from the Hugo American Legion. Approve Authorization to Advertise for Dust Control Staff had requested authorization from the City Council to advertise for bids for the City's 2021 gravel road dust control project. The City of Hugo applies dust control to approximately 28 miles of gravel roads located within its municipal boundaries. Following City Council approval, staff would advertise and solicit bids through the City newspaper and hold a bid opening in early April. This would be followed by the Council considering bids in April. The dust control/stabilization would be applied in two separate applications, once in mid -May and again in early to mid -August. Adoption of the Consent Agenda approved advertisement for bids for the City's 2021 gravel road dust control project. Hugo City Council Meeting Minutes for March 1, 2021 Page 5 of 11 Approve Hiring of Chuck Preisler as Temporary Building Inspector Staff had been meeting with former Building Official Chuck Preisler on the possibility of working part-time on an as needed basis in the Building Department to assist with plan review and inspection duties. Adoption of the Consent Agenda approved the hiring of Chuck Preisler as a part-time building inspector, on an as needed basis as determined by the Building Official, at a pay rate of $50.00 per hour plus mileage. Approve Pay Request No. 5 from Ebert Construction for Public Works Facility Ebert Construction had submitted Pay Voucher No. 5 for work done on the new Public Works facility. Staff had reviewed the pay voucher and founds it acceptable for work certified through February 2021. Adoption of the Consent Agenda approved Pay Voucher No. 5 to Ebert Construction in the amount of $15,198.90. Approve Ordinance Amending Fine for Parking Violation In November of 1990, Council established a $25 fine for those who violated the City’s parking regulations. This fee had remained in place since then. In an effort to create a stronger disincentive for overnight parking that impedes snow plowing, staff requested approval to increase this fine to $50. Adoption of the Consent Agenda approved ORDINANCE 2021-504 AMENDING HUGO CITY CODE, CHAPTER 90, ARTICLE VI, SECTION 90-253 PARKING AND LOADING. Public Hearing on Ordering Improvements and Authorization to Prepare Plans and Specifications for the 2021 Downtown Improvement Project A public hearing was scheduled for this evening on an improvement project for streets in the downtown area. Staff had held a neighborhood meeting on February 24, 2021, to share the results of the feasibility study with property owners adjacent to the project in advance of this public hearing. City Engineer Mark Erichson shared information on construction projects taking place in the area that were tied to the road project. He reviewed what the City considers when developing the Capital Improvement Project and how this project was guided by the Comprehensive Plan. He provided details on improvements being considered for 147th Street from just west of TH 61 to Finale Avenue, 147th Street from Finale Avenue to Oneka Parkway (new construction), Flay Avenue north of 147th Street to its existing termination point, Upper 146th Street from Finale Avenue to Fitzgerald Avenue, 146th Street from Finale Avenue to Fitzgerald Avenue, Finley Avenue from Upper 146th Street to 145th Street, Fitzgerald Avenue from 147th Street to 146th Street, and Oneka Parkway at 147th Street (intersection and turn lanes). The improvements included constructing a new section of 147th Street, reconstructing the existing roadways, adding concrete curb and gutter, drainage/storm sewer improvements, minor subgrade corrections, bituminous paving, and a trail addition along 147th Street. The total project costs for this downtown improvement project was estimated to be $3,656,800 including $264,840 in assessments, and Erichson provided information on the City’s Assessment Policy. Weidt opened the public hearing. Hugo City Council Meeting Minutes for March 1, 2021 Page 6 of 11 Jeff Marier, 14092 Flay Avenue, said he was concerned about the size of the walking path planned for the north side of 147th Street stating it was not intended to be a greenway that goes right through the yards. He pointed out there was a wide trail on the south side of City Hall. Ron Gerdesmeier, 5558 147th Street, talked about how there was access to the park off the county trail along the south side of City Hall and questioned why they would put a blacktop eight to ten-foot wide trail through their front yard. He said a concrete sidewalk would be four to five feet, and the price for construction would be similar, and concrete was easier to maintain and more solid. He recalled a neighborhood meetings where there was talk about splitting the width of the trail with the homes on the south side of 147th Street. He also had questions on utility lines and worried about hooking things up to their older homes and the vibration of equipment. He questioned who would cover the lines if they were damaged or cracked. Bob Shields, 14770 Flay Avenue, stated an eight-foot trail would be 25-30 feet from their homes. He said he agreed there was a drastic need for the street improvement but an eight-foot foot trail was a bit of an overkill. He said he thought a sidewalk with curb and gutter would be a big improvement. Erichson talked about how the east/west trail provided connectivity to Oneka Parkway and how pedestrians utilize the easiest path. He stated people would continue to access the park along 147th Street, and the trail would provide that movement in a safe manner. He said a minimum sidewalk was five feet in width, and it wouldn’t connect well to an eight-foot trail and provide continuity for multi-use. He talked about utility hookup concerns saying it would be the responsibility of the City throughout construction to ensure sewer and water services continued to operate. If there were damages, it would be the reasonability of the contractor. Inspections would be done before and after construction. Gerdesmeier talked about losing 40-foot pine trees. There were no other comments, and Weidt closed the public hearing. Klein made motion, Miron seconded, to approve RESOLUTION 2021-12 ORDERING THE PROJECT AND AUTHORIZING THE PREPARATION OF PLANS AND SPECIFICATIONS FOR THE 2021 DOWNTOWN IMPROVEMENT PROJECT. Roll call vote – all ayes. Motion carried. Approve ROW Acquisition Agreements City Engineer Mark Erichson explained the need for additional right-of-away along 147th Street and Fitzgerald. He explained the need for permanent easements along parts of it and temporary easements along others to allow the project to be constructed and blend into yards. Easements had been staked. Staff had met with property owners regarding the project, provided them with renderings of the proposed improvements, and discussed potential concerns. He talked about the properties that had been appraised and stated staff was looking for approval to present appraisals to the property owners. Appraisals took into consideration values, and staff would continue to meet with property owners. Hugo City Council Meeting Minutes for March 1, 2021 Page 7 of 11 Denaway talked about the long term plan for the trail saying the trail on 147th Street had been shown in the 2040 and 2030 Trails Plan. She talked about the controlled intersection at TH61 and 147th Street and how that led people to use that trail. On the west side of Oneka Parkway, the trail was expected to connect with future roadways. It was likely to be a major connection to the park. Weidt asked her thoughts about having a trial on the south side and north side of City Hall. Denaway explained pedestrians coming from the east side would use the controlled intersection, Pedestrians coming from the south on the trail would take the easiest path on the south side instead of going all the way to the intersection. Weidt asked her to talk about an eight-foot trail versus a 5-foot sidewalk. Denaway responded that bicyclists and roller bladers were not likely to take a sidewalk. Additionally, the trail would offer more room for traffic to move in either direction and eliminate passing on the streets. Mark showed the roadway design and what a five-foot boulevard with an eight foot trail would look like, and explained they were looking to acquire 15.75 feet along the properties. Miron talked about the loss of trees and vegetation as result of construction and asked if appraisals included the value of those loses. Erichson replied that it did include valuation for those components. Bob Shields, 14770 Flay Avenue, talked about how the roadway and trail system would be right on top of them. He questioned why a five-foot sidewalk was safe elsewhere but not there. He asked that this input not fall on deaf ears. Weidt asked Shields if he understood why an eight-foot trail made sense with the volume of traffic. Shields stated he understood but could not envision a situation in a two block area that would cause a bottleneck. He said three feet would make a world of difference to them (the property owners). Ron Gerdesmeier, 5558 147th Street, asked if a headcount was ever done on people coming from the north side because more seem to be coming from the south side. Gerdesmeier suggested improving the trail on the south side to make it more attractive and highlight the downtown to the new park. Weidt replied that the thought was that people will be doing both. Petryk asked about minimum green areas, and Erichson replied that it was proposed to be a five- foot green area between the road and trail. Erichson talked about discussions he had with the Public Works Department about maintenance saying any less than that was hard to maintain and a clear zone was required. Petryk talked about Europa Trail in her neighborhood and the bituminous bike trail in front of those homes with roughly a four foot green space that gets within 35-40 feet of people’s living space and closer than that to the garages. She said it does not devalue the homes, and it keeps children and bicyclists safe and off the road. Weidt acknowledged there could be compromises about the green spaces and understood the Hugo City Council Meeting Minutes for March 1, 2021 Page 8 of 11 residents’ concerns. He stated it was his hope they could come to an agreement with the property owners during discussions on the right-of-way. Approve Local Road Improvement Program Grant Application City Engineer Mark Erichson explained that the Local Roads Improvement Program (LRIP) was established by the Minnesota Legislature in 2002. The legislature recently provided $75,000,000 for LRIP for county, state aid cities, non-state aid cities, and townships. He stated staff believed the reconstruction and extension of 147th Street to Oneka Parkway was a good candidate for one of the eligible categories related to Routes of Regional Significance. Funds could be used for constructing or reconstructing city streets, county highways, or town roads with statewide or regional significance. He proposed the City submit an application seeking the maximum request value of $1,250,000. Staff had requested and received a letter of support from Washington County for the 147th Street project. The grant application was due on March 3, 2021, with the announcement on the award of funds occurring in May, 2021. Award of the 2021 Downtown Improvement Project contract could not occur until after the selection process had occurred. Motion carried. Update on February 23, 2021, Lions Park Workshop The Council held a workshop on February 23, 2021, to discuss the proposed design of the new pavilion at Lions Park. City Administrator Bryan Bear provided an update following the workshop and showed a slightly modified version. He explained modifications were made to the roof design to have a lower slope on the north side of the building and a flat roof on the south. There was also a change in the color of the brick from red to a gray tone. He explained the City was moving forward with the architect crew and design team unless otherwise directed by Council. Bear showed a version of what the playground and landscape structures next to the pavilion could look like stating revisions were still being made. Comments by Residents Regarding Skate Park at Lions Park Residents requested a discussion be added to the agenda to talk about the skate park that was proposed as part of the Lions Park improvements. Weidt invited residents to speak. Steve Bernier, 5583 147th Street North, said he was under the impression the skate park was going to Hugo City Council Meeting Minutes for March 1, 2021 Page 9 of 11 be located in front of City Hall and asked why it was moved. Bear explained that the whole plan design was a process that evolved and was modified. Bear said this was the plan as it stood today. Bernier questioned why the courts and skate park couldn’t be switched. Weidt asked why he (Bernier) would want to change it. Bernier replied that lots of teenagers come from outside of the City, and the music and skate board noise is a lot to listen to every night. Bob Shields, 14770 Flay Avenue, asked why not put the skate park on the west side near the cemetery. He said it generates lot of noise, and he wanted to see it moved to another place. He liked the park but asked the Council to take into account the citizens too. Ron Gerdesmeier, 5558 147th Street, said there will be a lot of noise and said he knew of issues with the existing one. He said there was a minimum number of kids from this area that use the skate park because it is an older area, and there may be a better park to put it in. Weidt replied that the skate park was one of the most popular features in the park, and the City was looking at ways to deaden the sound on the ramp pieces. He stated that there can be discussions on ways to make it better. Mary Gerdesmeier, 5558 147th Street, wanted to clarify that discussions were still open about relocating the skate park. Weidt replied that it would be discussed as they finalized the design. Miron asked about the committees and if their work was ongoing. Bear stated the design committees had finished their work, and Council had authorized construction plans for the park. He said if Council wanted staff to look at something different, it would be helpful to know. Weidt asked if the Council was interested in moving the skate park saying there would likely be a cost associated with that. Petryk had questions about park hours and policy. Parks Planner Shayla Denaway responded that parks were open until 11 p.m., but it was posted at the skate park that the skate equipment area was closed at sunset. Petryk asked about securing the area after that time. Denaway responded that it would not be fenced, so it would not be able to be secured at night. Ron Gerdesmeier said the kids will use it as they like, and there was no way to close it down to anyone; they just want it moved. He also talked about how he like the playground equipment and would like to see it increased. Bob Shields said by locating the skate park further west, it would be easier to see if you were looking at it from the City Hall building and a lot quieter for the citizens. Weidt stated he was not hearing a lot of support from Council for redesign of the park, and there were way to work on noise issues. The skate park had been in the park for a number of years, and he had not heard of any complaints from residents near the current location. He estimated the current location was 130 feet away from the homes and the new location would be about 150 feet from the closest house on the corner. He talked about how it could be made friendlier with police activity and by controlling the noise. He said a big part of reason it there and not on the other side was because Hugo City Council Meeting Minutes for March 1, 2021 Page 10 of 11 there may come a time when the courts are lit and causing light pollution. He said that was the thought process. There were no other comments. Approve 121st Street Development Sketch Plan Community Development Rachel Juba reviewed the sketch plan for a residential development on property located north of 121st Street and west of Falcon Avenue. Drengson May Enterprises, LLC, was seeking informal comments on plans to subdivide three parcels of land to create ten parcels that were one or more acres in size. The three properties totaled approximately 15 acres and were zoned Large Lot Single Family Residential. Seven lots would be located on a cul-de- sac road and three other lots would be to the west of those, separated from the development by the Metropolitan Council Sewer Interceptor and a wetland. The applicant intended to comply with all regulations in that zoning district except for Lots 8 and 9 where they would be asking for a variance in the minimum lot width from 150 feet to approximately 30 feet due to the constraints of the sewer interceptor and wetlands. Two lots would get access from Everton Avenue and one from 121st Street. The seven lots would be accessed by a cul-de-sac road off 121st Street. The development on the site would require municipal utilities, and Juba explained that utilities would need to be extended across several properties that are not part of this development. The applicant had been meeting with those property owners and there was some interest in connecting to municipal sewer with possible assessments. Juba stated staff’s recommendation was to improve 121st Street as a rural section roadway from Everton Avenue to Falcon Avenue with utilities and hold a neighborhood meeting to discuss these improvements. Stormwater management would be evaluated to help solve some of the drainage issues in the area. The area was served by other neighborhood parks so a park dedication fee could be accepted instead of parkland. Juba stated the sketch plan had been reviewed by the Planning Commission, and they felt the variances were reasonable and a neighborhood meeting should be held with the property owners on connections to the sewer. The applicants Laura and Jarrod Drengson thanked the Council for their consideration on the project. Laura stated they were working with the neighbor to lessen the variance for Lot 8. Petryk stated she was aware of the stormwater management problems and the difficulty of development there. She said she was very pleased with the design and lot sizes. Applicant Dan May said it was a very unique project and was appreciative of staff’s work. They (May and Drengsons) hoped to be living on two of those lots, so they wanted to make sure it was a nice project. Miron appreciated their visiting with the neighbors and felt the recommendation of staff for an informal meeting was a good one, and he looked forward to it. Weidt stated the key to the project was working with the neighbors, and without their support, it could be difficult. He encouraged them to continue. Hugo City Council Meeting Minutes for March 1, 2021 Page 11 of 11 Update on the Yellow Ribbon Network Council Member Chuck Haas reported to Council on the Yellow Ribbon Network activities held recently. The YRN received a letter from the Adjutant General thanking the YRN for their support. He had photos of soldiers who received coffee in their care packages and soldiers during remote burger night in Guantanamo Bay. He also showed a photo of a soldier’s family whose wife lost her battle with cancer on January 30. The YRN had been supporting them and started a Secret Easter Bunny program, and the Family Readiness Group had set up a GoFundMe page. The YRN received requests to assist a soldier in paying bills, purchase a microwave for a family, and connected a family to a local car dealer for a needed mini-van. They YRN help a family who needed a new furnace, and they recently had held a deployment luncheon. May Township Board of Supervisors Chair Bill Voedisch Haas added this to the agenda to recognize May Township Board of Supervisors Chair Bill Voedisch on his retirement from the Board after 24 years. Haas commented the City of Hugo has worked cooperatively with them over the years on border road, school district and watershed district matters. Approval of the Final Plat and Development Agreement requires a 3/5 vote of the City Council. 2.DESCRIPTION OF REQUEST: The applicant is requesting approval of a final plat and development agreement to plat 14 residential lot from the Oneka Place preliminary plat. This will develop 4.5 acres in property legally described as Outlot A, Oneka Place 4th Addition.The sites are currently vacant. 3.BACKGROUND: The City Council approved the preliminary plat and PUD for Oneka Place at its May 21, 2018 meeting which included 177 residential lots. This final plat will plat 14 residential lots from the Oneka Place preliminary plat. The lots meet the minimum lot standards and requirements for the Oneka Place PUD. The developer shall comply with all conditions outlined in the City Engineer’s memo dated _______________, and revisions required in “red-lined” comments from the City Engineer. 5. The developer shall design and install a storm water re-use system for the irrigation of the lots. 6. The landscaping planned for the plat shall be installed in one phase. The developer shall take proper precautions to protect the trees as the homes are being built. 7. Staff will continue to work with the developer on the street lighting plan. In particular, we have reviewed the following plans related to this request: • Oneka Place 5th Addition Construction Plans dated 12/29/20 by Westwood Professional Services • Storm sewer design dated 12/29/20 by Westwood Professional Services • Grading Plan revised 12/29/20 by Westwood Professional Services • Final Plat by Westwood Professional Services Based on the review of the final plat documents, we offer the following comments related to this application: Final Plat 1. Drainage and Utility Easements are shown appropriately. Grading, Street, and Utility Plans 2. Staff has worked through a number of comments with Westwood Professional Services on street and utility construction plans and has a few remaining redline comments. We do not expect that any remaining plan changes will have an impact on the final plat. We will issue the construction plan approvals once the remaining comments have been resolved. 3. Water and sanitary sewer service will be extended from previous phases of this development. 4. The site grading for the current addition was completed in 2019 with the remainder of the Oneka Place development. Minor grading modifications may be required based on adjustments made as part of the 5th Addition. Stormwater Management 5. The applicant has submitted their Storm Water Management Plan for the site, meeting the appropriate storage, rate control, treatment, and volume reduction. The applicant is utilizing water reuse as a means to irrigate the development and meet a portion of the stormwater management requirements. It is anticipated 4-5 million gallons of groundwater will be Ms. Rachel Juba March 9, 2021 Page 2 conserved annually throughout the entire Oneka Place Development by use of stormwater reuse. The trunk water fee has been reduced by 35% due to the use of water reuse which is consistent with the initial phase of this development. 6. The stormwater reuse system will be located with lot-line drainage and utility easements, road right of way, and outlots. The system will be owned and operated by the Homeowners Association, and the City will have access to the system as needed for monitoring and operation. The applicant is meeting approximately 50% of the volume reduction requirement by utilizing water reuse. The remaining volume control requirement is met through the dead pool storage provided in the NURP ponds. 7. A water balance analysis has been submitted as part of the stormwater submittal identifying adequate water supply with the stormwater basins to sustain water reuse. 8. A detailed groundwater analysis has been submitted to identify the elevation of groundwater. The findings have been used to identify minimum floor elevations that provide required separation from groundwater. 9. Minor comments on the storm sewer layout and design have been provided to the applicant and will need to be addressed. Development Agreement 10. There are a number of development fees outlined within the City’s Fee Schedule that will become due as part of the final plat. The Development Fees are included within Exhibit C of the Development Agreement. 11. A credit to the trunk area charge based on the anticipated reduction in water demand by using stormwater reuse has been included as part of the Development Agreement. WITNESS: 2 WHEREAS, the City Council of the City has, by Resolution Number 2018-14 on May 21, 2018, approved the preliminary plat for a major subdivision as proposed by the Developer to be known as "Oneka Place" ; and, WHEREAS, the City Council of the City has, by Resolution Number 2018-15 on May 21, 2018, approved the PUD general plan for a major subdivision as proposed by the Developer to be known as "Oneka Place" ; and, WHEREAS, the City Council of the City has, by Resolution Number _______ on March 15, 2021, approved the final plat for a major subdivision as proposed by the Developer to be known as "Oneka Place 5th Addition" (hereinafter referred to as the "Plat"); and, WHEREAS, the Plat proposed a development of an approximately 4.5 acre parcel of land into 14 residential lots; and, WHEREAS, it is the policy of the City to enter into development contracts as contemplated in Minnesota Statutes §462.358, Subd. 2(a); and, WHEREAS, this development agreement applies to all of the residential lots within the Oneka Place 5th Addition plat, as legally described in Exhibit G. WHEREAS, the parties hereto desire to set forth their respective rights and obligations of the parties to this Agreement. NOW, THEREFORE, in consideration of the premises and of the mutual promises and conditions contained herein, it is agreed by the parties hereto as follows: A. GENERAL ENGINEERING CONDITIONS; 1. Escrow for City Costs and Fees. Developer shall, contemporaneously with the execution of this Agreement, deposit with the City an escrow as outlined in Exhibit C to cover the cost of legal fees, engineering and construction observation fees, administrative expenses, and other costs related to this Plat. All fees and costs incurred by the City in connection with the Plat shall be charged against said escrow account which shall remain in effect until the expiration of the warranty period for the Plat, as defined in paragraph 7, in all events said fees and costs shall be the responsibility of the Developer and shall be paid on demand. Any funds remaining in the escrow account after the completion of the warranty period shall be refunded to the Developer. In the event that the escrow account herein is depleted, Developer agrees to post additional funds to replenish the account and to cover projected City costs. Specifically, Developer agrees that the escrow account shall maintain a balance of no less than $5,000.00. Developer shall be entitled, upon request, to an itemized statement of all costs and fees charged against this escrow account. 3 2. Development Plans. In accordance with the policies and ordinances of the City, and subject to all City resolutions and approvals in connection herewith, the Developer shall construct the proposed improvements (hereinafter referred to as the "Improvements"). All Improvements shall be constructed and installed pursuant to the terms and conditions herein set forth in accordance with the plans approved and listed on Exhibit A, subject to all City resolutions and approvals listed in Exhibit B, subject to final approval by the City, and in accordance with City standards and requirements including those listed herein. In addition, all public street, utility, and storm drainage improvements shall comply with the City’s adopted specification book and the reasonable direction of City staff. 3. Authorization to Proceed with Construction. Developer agrees not to commence any grading, utility or street work within the Plat until the following are completed: 1) Construction plans are approved by the City and distributed. 2) Pre-construction conference is held. 3) Notice to Proceed is issued. 4. Construction Observation. The City, for its benefit, will provide staff of its choosing to provide construction observation for the Improvements outlined in this Agreement. All costs associated with construction observation and inspection will be the responsibility of the Developer. The Developer shall allow City staff and City consultants access to the property to allow for this work to occur. 5. Miscellaneous Requirements. a) Property Corners: All property corners as identified on the Plat must be monumented with iron surveyor's pipes by the Developer prior to final project acceptance, as defined in paragraph 7 of this Agreement. b) Drainage Easements: Drainage easements shall be dedicated on the Plat so as to cover any wetlands and stormwater ponding areas located below the 100-year high water levels. c) Soils Testing: Soils inspection and compaction testing by a registered professional engineer shall be accomplished on all lots where filling is required, in accordance with the approved Grading, Drainage, and Erosion Control Plan. A minimum of one (1) compaction test for all developed lots shall be obtained for every two (2) foot increment of fill that is placed. A summary of all inspections and compaction tests for all developed lots shall be provided to the City upon completion of the grading and shall be provided for a respective lot prior to the issuance of a building permit for such lot. 4 d) Private Utilities: All private utilities that are installed, including electricity, telephone, natural gas and cable television, shall be installed underground. e) Mailboxes: Developer shall coordinate mailbox locations with the United States Postal Service. f) Street Lights: Street lights shall be installed within the Plat according to the Street Lighting Plan, which will first be approved by the City Engineer. Developer shall also submit its Street Lighting Plan to the applicable power company for its review, comment and approval. The installation of the street lights shall be coordinated with the applicable power company so that the street light system is installed, constructed and operated in such a manner as will harmoniously exist with other street lights within the area. g) Working Hours: Construction activity, including equipment startup and fueling, can only occur between the hours of 7:00 a.m. and 7:00 p.m. Monday through Friday; 8:00 a.m. and 5:00 p.m. on Saturdays; at no time on Sundays or holidays. h) Street Sweeping: Developer shall sweep and/or otherwise clean all streets, as needed, within and adjacent to the Development property as a result of construction activities associated with the Plat until final acceptance of the Improvements. If the streets are not maintained in a manner acceptable to the City, after reasonable notice to the Developer the City will arrange for the street sweeping at Developer’s cost. i) Placement of Bituminous Wear Course: The bituminous wear course can be placed on all streets once all of the following have occurred: 1. A Certificate of Occupancy has been issued for at least 75% of the lots or a cash escrow in the amount of $10,000 has been deposit with the City which will be held until 75% of the lots have received Certificates of Occupancy. At the City’s discretion, the wear course may be placed prior to having 75% occupancy. If applicable, the warranty period shall be extended an additional one (1) year for a total of two (2) years from final acceptance. In no case shall the wear course be placed with less than 50% occupancy. 2. The base course on all streets has been in place for at least one full freeze-thaw cycle. 3. City staff or its assignees have visually inspected all roadways and curb within the Development, and any repairs necessary as a result of said inspection are complete and written approval issued. 5 6. Project Completion: The Improvements listed herein on Exhibit A, including street, sanitary sewer, storm sewer, and municipal water, shall be completed subject to the approval of the City in accordance with the approved plans. All Improvements shall be substantially completed to the reasonable satisfaction and approval of the City within twelve (12) months of the execution of this Agreement. Substantial completion shall consist of all work with the exception of placement of the bituminous wear course and completion of the final punchlist. The Developer shall be excused from the strict completion date set forth herein if written notice is received from the Developer of the existence of causes over which the Developer has no control which will delay the completion of the work and approved in writing by the City. In that event, the City may extend the date or dates herein specified. 7. Project Acceptance: Final project acceptance will be considered by the City Council once the following have been completed: (a) All Improvements are installed according to the approved plans. (b) All punchlist items are completed. (c) All Record Drawing information has been provided to the City to its satisfaction. (d) Escrow account for City costs and fees is current in accordance with the provisions of this Agreement. (e) The City receives confirmation via lien waivers that contractors or other parties have been paid for the work completed. (f) The City receives a written request from the Developer to accept the Improvements. 8. Record Drawing Requirements and Engineer’s Certification. Following completion of all development activities and prior to the release of security and acceptance of Improvements, the Developer and/or their assignee shall provide to the City "as-built" plans for the Improvements listed on Exhibit A. This information shall be provided to the City in the following formats: (a) 1-set mylar drawings (22” x 34”) for all Improvements. (b) 1-set paper drawings (22” x 34”) for all Improvements. (c) Individual Adobe.pdf (or approved equivalent) for all plan sheets and the final plat. All Record Drawings shall include the following information: (a) All bench marks shown on plans (bench marks shall be top nut of hydrants). (b) Swing ties to all gate valves shown on plans (ties should be to manholes, catch basins, hydrants or other permanent objects. (c) Swing ties to curb stops shown on plans (ties should be to manholes, catch basins, hydrants, property corners or other permanent objects). (d) Top of casting and invert elevation for all structures. (e) All pipe sizes, material type, pipe classification, grades and lengths 6 (f) All horizontal and vertical curve data in the appropriate location on the plans. (g) Televised report of the sanitary sewer with videotape. (h) Swing ties to any manhole or catch basin outside the roadway area. (i) A text file including the x, y and z coordinates (based on Washington County’s coordinate system) for the following: 1. All curb stops 2. All hydrants 3. All gate valves 4. All manholes located outside of the roadway 9. Construction Warranty and Financing of Improvements. The Developer agrees to construct the Improvements described herein at its own expense and in accordance with City specifications. The Developer shall engage at its own expense a registered, professional civil engineer to prepare plans and specifications for the Improvements and shall submit the same to the City for review and approval. The Developer represents and warrants that all of the Improvements made as a part of this development shall be guaranteed to be properly functioning as designed for a period of not less than one (1) year following acceptance of the entire project by the City. In the case of any material or labor that is supplied and that is reasonably rejected by the City as defective or unsuitable, then the rejected materials shall be removed and replaced with approved material, and the rejected labor shall be done anew to the reasonable satisfaction and approval of the City at the sole cost and expense of the Developer. In any event, none of the warranty periods expressed herein shall begin to run until all of the Improvements within the Plat have been approved and accepted by the City. The Developer’s engineer shall certify that grading within the Plat was completed in accordance with the approved Grading, Drainage and Erosion Control Plan before the City issues any building permits. The Developer shall remain ultimately responsible for accurate grading of all lots and shall correct any deficiencies in grading that may be discovered until the certificate of occupancy is issued or the developer is released from its obligation under this Agreement as outlined in paragraph 7 above. 10. Signs. The Developer shall prepare a plan for all regulatory, directional and street name signs to be within the Plat. The plan shall be reviewed and approved by the City’s public works department. Upon plan approval, the City’s public works department shall install all public signage within the Plat. The installation of all private signage shall be the responsibility of the Developer. All costs related to the installation of public signage shall be the responsibility of the Developer and will be deducted from the Developer’s escrow account. The Developer shall post funds as outlined in Exhibit C prior to the City’s public works department beginning the installation. 11. Drainage Easements. a) Work within Easements: No improvements, landscaping, or grading, 7 other than Improvements shown on the approved plans, shall be permitted in dedicated drainage easements without the prior written permission of the City and any regulatory agency having jurisdiction. b) Maintenance Responsibilities: The Developer and its successors in interest, including all individual homeowners, shall be responsible for routine maintenance of all storm water management ponds, wetlands, and drainage areas within easements dedicated to the City on their property. Routine maintenance shall include litter removal, mowing and maintenance of the property adjacent to pond or wetland areas. In the case of drainage swales, routine maintenance includes the removal of obstructions from the swale as necessary to maintain proper drainage in addition to the aforementioned items. The City shall be responsible for non-routine maintenance of storm water ponds within the easements, including pond dredging, maintenance of the storm water inlet(s) and outlet(s) pipes, and erosion control at outlet and inlet locations. Such maintenance shall be completed as deemed necessary by the City. 12. Wetland Signage: Permanent signage shall be placed along wetland edges as outlined in the City’s General Specification and Standard Details Manual or approved equal by the City. 13. Lowest Floor Elevations. All minimum floor elevations shall comply with Section 90-171 of the Hugo Zoning Ordinance, the City’s Comprehensive Stormwater Management Plan, or the approved Grading, Drainage, and Erosion Control Plan, whichever is more restrictive. Except as may be specifically allowed under Exhibit A, no building shall be constructed on any of the lots herein unless the lowest floor elevation is at least three (3) feet above the 100-year flood elevation or four (4) feet above the high groundwater elevation, whichever is greater, for the subject property. Additionally, the lowest floor elevation shall be specifically referenced and designated, for each lot, on a certificate of survey, which survey shall be provided to the City before any building permits are issued for any lots within the Plat. 14. Landscaping. All disturbed areas within the Plat shall be landscaped in accordance with the approved landscape plans, the City ordinances, and the City’s General Specification and Standard Details Manual. All landscaping shall be complete, established and growing within sixty (60) days of issuance of a Certificate of Occupancy, except that, if the certificate of occupancy is issued between the dates of October 1 and May 1, then the landscaping required herein shall be complete, established and growing no later than July 1. All front yards, side yards and back yards shall be fully sodded. All landscaped areas shall be tilled or otherwise worked mechanically in order to loosen compacted soils and shall contain at least four (4) inches of black dirt containing no more than 35% sand. Unless specific arrangements are made and agreed to by the City, all landscaping installed within the Plat shall be maintained by the Developer and its successors. All areas, other than proposed street areas, disturbed by grading activities on the site shall be seeded. Seeding shall be immediate upon completion of grading activities or as directed by the City Engineer. Seeding shall be completed as follows: 8 a) All areas shall be restored with a minimum of four (4) inches of adequate topsoil prior to seeding. b) Upland areas shall be seeded in accordance with the grading, drainage, and landscape plans listed in Exhibit A. The rate of application shall be one hundred (100) pounds per acre. Areas seeded shall be mulched with Type 1 mulch at a rate of two (2) tons per acre. All mulch shall be disk anchored. c) Wetlands, wetland replacement areas and storm water ponding areas shall be seeded per the Final Landscape Plan dated June 6, 2018, and revised July 27, 2018. The minimum rate of application shall be thirty (30) pounds per acre, or as recommended by the supplier. d) All seeded areas shall be maintained for the term of this Agreement. Upland areas shall be mowed as necessary or as directed by the City Engineer. e) All disturbed areas within the development shall be maintained to limit vegetation growth to less than ten (10) inches except designated natural areas or designated open spaces as shown on the approved plans. 15. Safe Rooms. The Developer shall require all builders to offer a safe room as an option to any and all potential homebuyers. All safe rooms offered and built within the City must meet or exceed FEMA requirements and standards. B. ESCROWS, CHARGES AND UTILITY OVERSIZING: Developer shall pay the escrows, fees and charges listed on Exhibit C. C. SPECIAL PLANNING REQUIREMENTS: The Plat shall be built and maintained in accordance with the planning requirements listed on Exhibit A hereto, and any miscellaneous requirements listed on Exhibit B hereto. D. ADMINISTRATIVE REQUIREMENTS: 1. Miscellaneous Provisions. Developer specifically understands that this Plat approval is given subject to the following requirements: a) Expiration. The final plat documents for the Plat, which is the first phase of the Oneka Place preliminary plat, have been submitted to the City Council within one hundred twenty (120) days of preliminary plat approval. The final plat must be recorded with the Washington County Recorder (and the mylar "hardshells" must be fully executed) within sixty (60) days of the City Council motion giving final plat approval, unless such deadline is extended by the City Council in its sole discretion, or else said approval shall be null and void. All fees relating to this subdivision shall be paid by the Developer, including the cost of recording documents with Washington County. 9 b) Recording. The developer shall record this Agreement with Washington County simultaneous with the recording of the Plat, and shall forward confirmation of recording of the Plat and this Agreement to the City prior to the issuance of building permits. All applicable conditions of Plat approval must be met before any deeds are stamped for recording and prior to the recording of the Plat at the Washington County Recorder's Office. Plat approval shall be contingent upon compliance with the approved plans for the Improvements and upon compliance with this Agreement. c) Model Homes. In the event that site grading is approved by the City prior to Plat approval and/or execution of this Agreement, posting of security and filing of the Plat, the Developer shall be entitled to one (1) building permit per housing unit type on lots that abut existing streets or roadways, subject to final approval by the City. No model homes may be constructed or utilized until at least one (1) lift of bituminous has been installed from said model home lot providing access to a public street or roadway outside of the Plat. No certificate of occupancy shall be issued for any model or other home until all necessary public improvements and utilities have been installed and the utilities have been successfully tested. Prior to this, and at the time that a model home passes final inspection, a model home may only be used by Developer’s staff or realtors for purposes of showing the models to potential buyers. No model home may be used until landscaping conforming to City ordinance and paragraph 14 of this Agreement has been installed except that, if the certificate of occupancy is issued between the dates of October 1 and May 1, then the landscaping required herein shall be complete, established and growing no later than July 1. d) Sales Trailers. The developer may be entitled to a maximum of one (1) temporary sales office (sales trailer) for this and all subsequent phases of the development for a period of time not to exceed nine (9) months. Upon receipt of an acceptable site plan, a sales trailer may be approved by the City Community Development Director prior to the first model home being available for showing. The trailer is subject to the issuance of a building permit, shall meet all applicable building codes, shall be fully skirted, shall be suitably landscaped, shall contain sufficient parking for the size of the office, and shall have safe and suitable access to a paved, public roadway. The trailer shall be removed, and the site shall be restored within seven (7) days following the date that a model home passes final inspection. e) Deviations. No material deviations from the approved Plat shall be allowed unless approved in writing by the City. Approval herein is also given subject to full compliance with the conditions of approval and findings adopted by the City Council in connection with the approval of the development. f) Certificates of Survey. A certificate of survey shall be provided to the City Building Inspector for each lot at the time a building permit is requested for the lot. Attached to the certificate of survey shall be an erosion control plan for the lot showing location and type of all erosion control measures to be used on the lot, and spot elevations, tree preservation plan shall be submitted for each home site. 10 g) Outhouses. The Developer shall provide on-site a sufficient number of portable outhouses to be available for the persons who will be working on-site until Improvements are accepted according to the plans in Exhibit A. h) Property Owners Association. When required as a condition of approval outlined in Exhibit B, the Developer agrees to form a property owners association, membership in which shall be mandatory for all of the lots within this development. The property owners association shall be responsible for maintenance and repair of all common elements as listed in the property owners association documents within this development and the same shall be maintained in good condition in accordance with all City ordinances and reasonable directions of the City. Developer agrees to provide a copy of the property owners association documents to the City prior to the recording of the final plat. In the event of failure or refusal of any property owners association to so maintain or repair the common elements then the City may, with seven days written notice and without regard to the requirements or formalities of Minn. Stat. §429 perform the work and assess each of the lots within the plat for the cost of the work. i) Intentionally deleted j) The property owners association documents shall advise owners of all lots of the requirements of this Agreement as follows: THE LAND WITHIN THIS PLAT, INCLUDING THE LAND CONVEYED HEREIN, IS BOUND BY RESTRICTIONS IN A DEVELOPMENT AGREEMENT. SAID DEVELOPMENT AGREEMENT IS ON FILE AT THE OFFICE OF THE WASHINGTON COUNTY RECORDER. k) Developer acknowledges that a separate development agreement will be entered into at the time of final plat approval of subsequent phases in the development. That Development Agreement will address, among other things, necessary improvements to be made, financial guarantees to be provided, and the amount of the development fees to be paid by the Developer. l) Developer shall remove all tree waste, junk, miscellaneous debris, junk vehicles, and any other personal property from the Plat which does not comply with the City Zoning Ordinance until final acceptance of the Improvements. E. DAMAGES AND DEFAULT: 1. Developer agrees to pay liquidated damages to the City if any lot has a real estate closing occur before all public improvements within the Plat are certified as being substantially completed by the City. Specifically, Developer agrees to immediately pay to the City liquidated damages in the amount of Ten Thousand Dollars ($10,000.00) for each lot closing which occurs in violation of this paragraph. The City shall be authorized to retain an appropriate percentage of the financial guarantee referred to in paragraph 4 as security for payment of any liquidated damages owed to the City. Model Homes are exempt from this section. 11 2. Developer agrees to pay liquidated damages to the City, in the amount of Five Thousand Dollars ($5,000.00), if the Developer encroaches upon any City road right-of-way or utility easement not permitted on the plans without first obtaining a written permit from the City expressly authorizing said encroachment. The City shall be authorized to retain an appropriate percentage of the financial guarantee referred to in paragraph 4 as security for payment of any liquidated damages owed to the City. 3. Events of Default. a) Events of Default Defined. The following shall be "Events of Default" under this Agreement and the term "Event of Default" shall mean, whenever it is used in this Agreement, any one or more of the following events: 1. Subject to unavoidable delays, failure by Developer to commence and complete construction of the Improvements pursuant to the terms, conditions and limitations of this Agreement. 2. Failure by Developer to substantially observe or perform any material covenant, condition, obligation or agreement on their part to be observed or performed under this Agreement. b) Remedies on Default. Whenever any Event of Default occurs, the City, subject to any rights of third parties agreed to by the City pursuant to this Agreement, or otherwise by written, executed instrument of the City, may take any one or more of the following: 1. The City may suspend its performance under the Agreement until it receives assurances from Developer, deemed adequate by the City, that Developer will cure their default and continue their performance under the Agreement. Suspension of performance includes the right of the City to withhold permits including, but not limited to, building permits. 2. The City may initiate such action, including legal or administrative action, as is necessary for the City to secure performance of any provision of this Agreement or recover any amounts due under this Agreement from Developer, or immediately draw on the financial Letter of Credit, as set forth in this Agreement. 4. Enforcement by City; Damages. The Developer acknowledges the right of the City to enforce the terms of this Agreement against the Developer, by action for specific performance or damages, or both, or by any other legally authorized means. The Developer also acknowledges that its failure to perform any or all of their obligations under this Agreement may result in substantial damages to the City; that in the event of default by the Developer, the City may commence legal action to recover all damages, losses and expenses sustained by the City; and that 12 such expenses may include, but are not limited to, the reasonable fees of legal counsel employed with respect to the enforcement of this Agreement. F. THIS AGREEMENT: 1. Release of Agreement. This Agreement shall run with the land and may be recorded against the title to the property. After the Developer has completed the work required of it under this Agreement, at the Developer’s request the City will execute and deliver to the Developer a release. 2. Warranty of Title. Developer warrants and represents to the City that it is the fee owner of the land described herein and that it has authority to execute this Agreement, with consent from the other fee owner, and agree to the conditions hereof and to subject the land hereto. Developer also represents and warrants that the use for which this development is sought will not violate any restrictive covenants applying to the property. 3. Binding Effect. This Agreement shall be deemed to be a restrictive covenant and the terms and conditions hereof shall run with the land described herein and be binding on and inure to the benefit of the heirs, representatives and assigns of the parties hereto, and shall be binding upon all future owners of all or any part of the subdivision, and shall be deemed covenants running with the land. Reference herein to the Developers, if there be more than one, shall mean each and all of them. This Agreement shall be placed of record so as to give notice hereof to subsequent purchasers. The cost of said recording shall be borne by the Owner and charged against the escrow account. 4. Restrictions on Transfer/Indemnification. Developer agrees to defend and hold the City, and its officials, employees and agents, harmless against any and all claims, demands, lawsuits, judgments, damages, penalties, costs and expenses, including reasonable attorney's fees, arising out of actions or omissions by Developer, their employees and agents, in connection with the Project. No transfer or assignment shall be made without City approval and any assignment or transfer without such approval shall be void. 5. Incorporation by Reference. All general and special conditions, plans, special provisions, proposals, specifications and contracts for the Plat and for any Improvements furnished and let pursuant to this Agreement shall be and hereby are made a part of this Agreement by reference as if fully set out herein in full. 6. Developer will comply with and promptly perform all of its obligations under this Agreement. 13 7. Evidence of Title. Developer shall furnish the City with evidence of fee ownership of the property being platted by way of an attorneys title opinion or title insurance commitment dated not earlier than thirty (30) days prior to the execution of the Plat. If a sales trailer is located in the property, a site plan and building elevations shall be submitted for City review and approval. 19 EXHIBIT C ESCROWS, FEES AND CHARGES a) Escrow for City Costs and Fees. Developer shall deposit sufficient escrow with the City as outlined in Section A. 1. The required beginning balance in the account is calculated at $18,600.00 This sum is calculated to be four percent (4%) of the estimate of the required Improvements to be installed to serve the development, plus $5,000 which is the minimum balance required in the account. b) Cash Escrow or Letter of Credit. Developer shall provide a financial guarantee to the City, in the form of a cash escrow or letter of credit, in the amount equal to one hundred twenty-five percent (125%) of the estimated amount of the required Improvements. This amount has been calculated by the City Engineer to be $424,988. This amount may be reduced upon request of the Developer and approved by the City. At no point shall the Letter of Credit be reduced below ten percent (10%) of the original amount. The City shall have the right to retain the financial guarantee until the Improvements have been completed to the satisfaction of the City and the warranty period has expired. c) Storm Water Trunk Fee. The Developer shall pay the City a Storm Water Trunk Fee in the amount of $13,752.00. This sum is calculated to be $0.07 per square foot for the 196,456 square feet of net developable area within the Plat. This fee shall be paid before the Plat is signed by the City. d) Storm Water Ponding Fee. The storm water ponding requirement has been met by the Developer through the incorporation of on-site ponding. No storm water ponding fee will be applied. e) Snow Plowing. Developer agrees to pay a one-time lump sum cash escrow to the City to cover the cost of snow plowing the roads within the plat, during the first snow season, before the roads are formally accepted by the City of $.50 per lineal foot. The Developer shall post a one-time lump sum cash escrow with the City in the amount of $1,800.00 to cover the cost of the first maintenance of the streets in the Plat. PROPOSED MOTION: Move to approve the resolution approving the Final Plat for Adelaide Landing 6th Addition. Approval of the Final Plat requires a 3/5 vote of the City Council. 2. DESCRIPTION OF REQUEST: The applicant is requesting approval of a final plat in order to plat 46 lots and 1 outlot on a parcel located east of Highway 61 and north of 130th Street, which will complete the development. The sites are currently vacant. 3. BACKGROUND: The City Council reviewed the preliminary plat and PUD for Adelaide Landing at its May 1, 2017 meeting. This final plat request will plat the remaining 46 lots and 1 outlot from the Adelaide Landing preliminary plat. This is the final phase of the development. The lots meet the minimum lot standards and requirements outlined in the regulations for the Adelaide Landing PUD. The park dedication requirement will be met by fee for a total of $51,888 ($1,128 per unit). The park dedication fee is reduced to accommodate for a portion of the land that was dedicated for the public park in the development. 4. RECOMMENDATION: Staff recommends approval the resolution approving the Final Plat and Development Agreement for Adelaide Landing 6th Addition. Development standards shall comply with Resolution 2017-10, 2017-11, 2019-21, and 2020-3, as amended. 4. The developer shall comply with all conditions outlined in the City Engineer’s memo dated March 11, 2021, and revisions required in “redlined” comments from the City Engineer. 5. Outlot use and ownership: a) Outlot A is proposed for stormwater management, wetland, and a portion is a ditch. The outlot will be deeded to the City with the recording of the final plat. 6. The developer shall design and install a stormwater re-use system for irrigation of the individual lots. Resolution 2020-__ Adelaide Landing 6th Addition Final Plat and Development Agreement 7. The developer shall establish a property owners association for the development to own/operate/maintain common elements, landscaping, and the water re-use system. All landscaping within the right-of-way in the street islands is to be installed by the developer and maintained by the property owners association. The property owners association documents shall be reviewed and approved by staff prior to recording the plat. 8. The landscaping planned for the plat shall be installed in one phase. The developer shall take proper precautions to protect the trees as the homes are being built. 9. Each home shall include a minimum of 2 parking spaces within the driveway. The driveway widths shall be a maximum of 24 feet at the right of way line. 10. Staff will continue to work with the applicant on the street lighting plan. Exact locations of the street lights shall be reviewed and approved by staff prior to installation. 11. The developer shall obtain all necessary local, state, and federal permits. 12. Prior to recording the final plat: a) The developer must obtain all necessary stormwater management and wetland conservation act (WCA) permits from the City and other agencies. b) The developer shall pay $51,888 ($1,128 per unit) in full to satisfy the required cash in lieu of parkland dedication requirement. c) The developer shall pay the sewer and water trunk fees for each lot at final plat. The City’s SAC and WAC fees will be paid at the time building permits issued. d) The developer shall enter into a development agreement, shall agree to complete all improvements, and pay all fees as required by the agreement. e) The street names shall be included on all sheets of the final plat. f) The grading plan shall be revised to include grading that is shown along the eastern portion of the plat. Additional information is required for that are in regards to ensuring that no additional drainage goes onto neighboring property. The grading plan shall be reviewed and approved by the City Engineer. 13. Prior to the issuance of building permits: g) The applicant shall file the final plat, development agreement and associated documents with Washington County. Proof of recording shall be provided to the City. h) The applicant shall submit three full sets of approved final plans to the City. Grading in the southeastern portion of the site was not previously approved. The development team was required to provide additional survey and confirmation that there will not be any drainage concerns caused by proposed grading. WITNESS: Adelaide Landing 6th Addition 2 WHEREAS, the City Council of the City has, by Resolution Number 2017-11 on May 1, 2017, approved the preliminary plat for a major subdivision as proposed by the Developer to be known as "Adelaide Landing" ; and, WHEREAS, the City Council of the City has, by Resolution Number 2017-10 on May 1, 2017, approved the PUD general plan for a major subdivision as proposed by the Developer to be known as " Adelaide Landing " ; and, WHEREAS, the City Council of the City has, by Resolution Number 2019-21 on Mary 6, 2019, approved a PUD amendment for the major subdivision; and WHEREAS, the City Council of the City has, by Resolution Number 2021-___ on March 15, 2021, approved the final plat for a major subdivision as proposed by the Developer to be known as " Adelaide Landing 5th Addition " (hereinafter referred to as the "Plat"); and, WHEREAS, the Plat proposed a development of an approximately 22.6 acre parcel of land into 46 residential lots and1 outlot; and, WHEREAS, it is the policy of the City to enter into development contracts as contemplated in Minnesota Statutes §462.358, Subd. 2(a); and, WHEREAS, the parties hereto desire to set forth their respective rights and obligations of the parties to this Agreement. NOW, THEREFORE, in consideration of the premises and of the mutual promises and conditions contained herein, it is agreed by the parties hereto as follows: A. GENERAL ENGINEERING CONDITIONS; 1. Escrow for City Costs and Fees. Developer shall, contemporaneously with the execution of this Agreement, deposit with the City an escrow as outlined in Exhibit C to cover the cost of legal fees, engineering and construction observation fees, administrative expenses, and other costs related to this Plat. All fees and costs incurred by the City in connection with the Plat shall be charged against said escrow account which shall remain in effect until the expiration of the warranty period for the Plat, as defined in paragraph 7, in all events said fees and costs shall be the responsibility of the Developer and shall be paid on demand. Any funds remaining in the escrow account after the completion of the warranty period shall be refunded to the Developer. In the event that the escrow account herein is depleted, Developer agrees to post additional funds to replenish Adelaide Landing 6th Addition 3 the account and to cover projected City costs. Specifically, Developer agrees that the escrow account shall maintain a balance of no less than $5,000.00. Developer shall be entitled, upon request, to an itemized statement of all costs and fees charged against this escrow account. 2. Development Plans. In accordance with the policies and ordinances of the City, and subject to all City resolutions and approvals in connection herewith, the Developer shall construct the proposed improvements (hereinafter referred to as the "Improvements"). All Improvements shall be constructed and installed pursuant to the terms and conditions herein set forth in accordance with the plans approved and listed on Exhibit A, subject to all City resolutions and approvals listed in Exhibit B, subject to final approval by the City, and in accordance with City standards and requirements including those listed herein. In addition, all public street, utility, and storm drainage improvements shall comply with the City’s adopted specification book and the reasonable direction of City staff. 3. Authorization to Proceed with Construction. Developer agrees not to commence any grading, utility or street work within the Plat until the following are completed: 1) Construction plans are approved by the City and distributed. 2) Pre-construction conference is held. 3) Notice to Proceed is issued. 4. Construction Observation. The City, for its benefit, will provide staff of its choosing to provide construction observation for the Improvements outlined in this Agreement. All costs associated with construction observation and inspection will be the responsibility of the Developer. The Developer shall allow City staff and City consultants access to the Plat to allow for this work to occur. 5. Miscellaneous Requirements. a) Property Corners: All property corners as identified on the Plat must be monumented with iron surveyor's pipes by the Developer prior to final project acceptance, as defined in paragraph 7 of this Agreement. b) Drainage Easements: Drainage easements shall be dedicated on the Plat so as to cover any wetlands and stormwater ponding areas located below the 100-year high water levels. c) Soils Testing: Soils inspection and compaction testing by a registered professional engineer shall be accomplished on all lots where filling is required, in accordance with the approved Grading, Drainage, and Erosion Control Plan. A minimum of one (1) compaction test for all developed lots shall be obtained for every two (2) foot increment of fill that is placed. A summary of all inspections and compaction tests for all developed lots shall be provided to the City upon completion of the grading and shall be provided for a respective lot prior Adelaide Landing 6th Addition 4 to the issuance of a building permit for such lot. d) Private Utilities: All private utilities that are installed, including electricity, telephone, natural gas and cable television, shall be installed underground. e) Mailboxes: Developer shall coordinate mailbox locations with the United States Postal Service. f) Street Lights: Street lights shall be installed within the Plat according to the Street Lighting Plan, which will first be approved by the City Engineer. Developer shall also submit its Street Lighting Plan to the applicable power company for its review, comment and approval. The installation of the street lights shall be coordinated with the applicable power company so that the street light system is installed, constructed and operated in such a manner as will harmoniously exist with other street lights within the area. g) Working Hours: Construction activity, including equipment startup and fueling, can only occur between the hours of 7:00 a.m. and 7:00 p.m. Monday through Friday; 8:00 a.m. and 5:00 p.m. on Saturdays; at no time on Sundays or holidays. h) Street Sweeping: Developer shall sweep and/or otherwise clean all streets, as needed, within and adjacent to the -Plat as a result of construction activities associated with the Plat until final acceptance of the Improvements. If the streets are not maintained in a manner acceptable to the City, after reasonable notice to the Developer the City will arrange for the street sweeping at Developer’s cost. i) Placement of Bituminous Wear Course: The bituminous wear course can be placed on all streets once all of the following have occurred: 1. A Certificate of Occupancy has been issued for at least 75% of the lots or a cash escrow in the amount of $10,000 has been deposit with the City which will be held until 75% of the lots have received Certificates of Occupancy. At the City’s discretion, the wear course may be placed prior to having 75% occupancy. If applicable, the warranty period shall be extended an additional one (1) year for a total of two (2) years from final acceptance. In no case shall the wear course be placed with less than 50% occupancy. 2. The base course on all streets has been in place for at least one full freeze-thaw cycle. 3. City staff or its assignees have visually inspected all roadways and curb within the Plat, and any repairs necessary as a result of said inspection are complete and written approval issued. Project Completion: The Improvements listed herein on Exhibit A, including street, sanitary sewer, storm sewer, and municipal water, shall be completed subject to the approval of the City in accordance with the approved plans. All Improvements shall be substantially completed to the reasonable satisfaction and approval of the City within twelve (12) months of the execution of this Agreement. Substantial completion shall consist of all work with the exception of placement of the bituminous wear course and completion of the final punchlist. The Developer shall be excused from the strict completion date set forth herein if written notice is received from the Developer of the existence of causes over which the Developer has no control which will delay the completion of the work and approved in writing by the City. In that event, the City may extend the date or dates herein specified. 7. Project Acceptance: Final project acceptance will be considered by the City Council once the following have been completed: (a) All Improvements are installed according to the approved plans. (b) All punchlist items are completed. (c) All Record Drawing information has been provided to the City to its satisfaction. (d) Escrow account for City costs and fees is current in accordance with the provisions of this Agreement. (e) The City receives confirmation via lien waivers that contractors or other parties have been paid for the work completed. (f) The City receives a written request from the Developer to accept the Improvements. 8. Record Drawing Requirements and Engineer’s Certification. Following completion of all development activities and prior to the release of security and acceptance of Improvements, the Developer and/or their assignee shall provide to the City "as-built" plans for the Improvements listed on Exhibit A. This information shall be provided to the City in the following formats: (a) 1-set mylar drawings (22” x 34”) for all Improvements. (b) 1-set paper drawings (22” x 34”) for all Improvements. (c) Individual Adobe.pdf (or approved equivalent) for all plan sheets and the final plat. All Record Drawings shall include the following information: (a) All bench marks shown on plans (bench marks shall be top nut of hydrants). (b) Swing ties to all gate valves shown on plans (ties should be to manholes, catch basins, hydrants or other permanent objects. (c) Swing ties to curb stops shown on plans (ties should be to manholes, catch Adelaide Landing 6th Addition 6 basins, hydrants, property corners or other permanent objects). (d) Top of casting and invert elevation for all structures. (e) All pipe sizes, material type, pipe classification, grades and lengths (f) All horizontal and vertical curve data in the appropriate location on the plans. (g) Televised report of the sanitary sewer with videotape. (h) Swing ties to any manhole or catch basin outside the roadway area. (i) A text file including the x, y and z coordinates (based on Washington County’s coordinate system) for the following: 1. All curb stops 2. All hydrants 3. All gate valves 4. All manholes located outside of the roadway 9. Construction Warranty and Financing of Improvements. The Developer agrees to construct the Improvements described herein at its own expense and in accordance with City specifications. The Developer shall engage at its own expense a registered, professional civil engineer to prepare plans and specifications for the Improvements and shall submit the same to the City for review and approval. The Developer represents and warrants that all of the Improvements made as a part of this development shall be guaranteed to be properly functioning as designed for a period of not less than one (1) year following acceptance of the entire project by the City. In the case of any material or labor that is supplied and that is reasonably rejected by the City as defective or unsuitable, then the rejected materials shall be removed and replaced with approved material, and the rejected labor shall be done anew to the reasonable satisfaction and approval of the City at the sole cost and expense of the Developer. In any event, none of the warranty periods expressed herein shall begin to run until all of the Improvements within the Plat have been approved and accepted by the City. The Developer’s engineer shall certify that grading within the Plat was completed in accordance with the approved Grading, Drainage and Erosion Control Plan before the City issues any building permits. The Developer shall remain ultimately responsible for accurate grading of all lots and shall correct any deficiencies in grading that may be discovered until the certificate of occupancy is issued for the applicable lot or the Developer is released from its obligation under this Agreement as outlined in paragraph 7 above. 10. Signs. The Developer shall prepare a plan for all regulatory, directional and street name signs to be within the Plat. The plan shall be reviewed and approved by the City’s public works department. Upon plan approval, the City’s public works department shall install all public signage within the Plat. The installation of all private signage shall be the responsibility of the Developer. All costs related to the installation of public signage shall be the responsibility of the Developer and will be deducted from the Developer’s escrow account. The Developer shall post Adelaide Landing 6th Addition 7 funds as outlined in Exhibit C prior to the City’s public works department beginning the installation. 11. Drainage Easements. a) Work within Easements: No improvements, landscaping, or grading, other than Improvements shown on the approved plans, shall be permitted in dedicated drainage easements without the prior written permission of the City and any regulatory agency having jurisdiction. b) Maintenance Responsibilities: The Developer and its successors in interest, including all individual homeowners, shall be responsible for routine maintenance of all storm water management ponds, wetlands, and drainage areas within easements dedicated to the City on their property. Routine maintenance shall include litter removal, mowing and maintenance of the property adjacent to pond or wetland areas. In the case of drainage swales, routine maintenance includes the removal of obstructions from the swale as necessary to maintain proper drainage in addition to the aforementioned items. The City shall be responsible for non-routine maintenance of storm water ponds within the easements, including pond dredging, maintenance of the storm water inlet(s) and outlet(s) pipes, and erosion control at outlet and inlet locations. Such maintenance shall be completed as deemed necessary by the City. 12. Wetland Signage: Permanent signage shall be placed along wetland edges as outlined in the City’s General Specification and Standard Details Manual or approved equal by the City. 13. Lowest Floor Elevations. All minimum floor elevations shall comply with Section 90-171 of the Hugo Zoning Ordinance, the City’s Comprehensive Stormwater Management Plan, or the approved Grading, Drainage, and Erosion Control Plan, whichever is more restrictive. Except as may be specifically allowed under Exhibit A, no building shall be constructed on any of the lots herein unless the lowest floor elevation is at least three (3) feet above the 100-year flood elevation or four (4) feet above the high groundwater elevation, whichever is greater, for the subject property. Additionally, the lowest floor elevation shall be specifically referenced and designated, for each lot, on a certificate of survey, which survey shall be provided to the City before any building permits are issued for any lots within the Plat. 14. Landscaping. All disturbed areas within the Plat shall be landscaped in accordance with the approved landscape plans, the City ordinances, and the City’s General Specification and Standard Details Manual. All landscaping shall be complete, established and growing within sixty (60) days of issuance of a Certificate of Occupancy, except that, if the certificate of occupancy is Adelaide Landing 6th Addition 8 issued between the dates of October 1 and May 1, then the landscaping required herein shall be complete, established and growing no later than July 1. All front yards, side yards and back yards shall be fully sodded. All landscaped areas shall be tilled or otherwise worked mechanically in order to loosen compacted soils and shall contain at least four (4) inches of black dirt containing no more than 35% sand. Unless specific arrangements are made and agreed to by the City, all landscaping installed within the Plat shall be maintained by the Developer and its successors, including all individual homeowners or the homeowners association which is required to be formed by the Developer pursuant to the agreement. All areas, other than proposed street areas, disturbed by grading activities on the site shall be seeded. Seeding shall be immediate upon completion of grading activities or as directed by the City Engineer. Seeding shall be completed as follows: a) All areas shall be restored with a minimum of four (4) inches of adequate topsoil prior to seeding. b) Upland areas shall be seeded in accordance with the grading, drainage, and landscape plans listed in Exhibit A. The rate of application shall be one hundred (100) pounds per acre. Areas seeded shall be mulched with Type 1 mulch at a rate of two (2) tons per acre. All mulch shall be disk anchored. c) Wetlands, wetland replacement areas and storm water ponding areas shall be seeded with MN/DOT Seed Mixture 25B, or as required by the permitting regulatory agency. The minimum rate of application shall be thirty (30) pounds per acre, or as recommended by the supplier. d) All seeded areas shall be maintained for the term of this Agreement. Upland areas shall be mowed as necessary or as directed by the City Engineer. e) All disturbed areas within the development shall be maintained to limit vegetation growth to less than ten (10) inches except designated natural areas or designated open spaces as shown on the approved plans. 15. Safe Rooms. The Developer shall require all builders to offer a safe room as an option to any and all potential homebuyers. All safe rooms offered and built within the City must meet or exceed FEMA requirements and standards. B. ESCROWS, CHARGES AND UTILITY OVERSIZING: Developer shall pay the escrows, fees and charges listed on Exhibit C. C. SPECIAL PLANNING REQUIREMENTS: The Plat shall be built and maintained in accordance with the planning requirements Adelaide Landing 6th Addition 9 listed on Exhibit A hereto, and any miscellaneous requirements listed on Exhibit B hereto. D. ADMINISTRATIVE REQUIREMENTS: 1. Miscellaneous Provisions. Developer specifically understands that this Plat approval is given subject to the following requirements: a) Expiration. The final plat documents for the Plat, which is the first phase of the Adelaide Landing preliminary plat, have been submitted to the City Council within one hundred twenty (120) days of preliminary plat approval. The final plat must be recorded with the Washington County Recorder (and the mylar "hardshells" must be fully executed) within sixty (60) days of the City Council motion giving final plat approval, unless such deadline is extended by the City Council in its sole discretion, or else said approval shall be null and void. All fees relating to this subdivision shall be paid by the Developer, including the cost of recording documents with Washington County. b) Recording. The Developer shall record this Agreement with Washington County simultaneous with the recording of the Plat, and shall forward confirmation of recording of the Plat and this Agreement to the City prior to the issuance of building permits. All applicable conditions of Plat approval must be met before any deeds are stamped for recording and prior to the recording of the Plat at the Washington County Recorder's Office. Plat approval shall be contingent upon compliance with the approved plans for the Improvements and upon compliance with this Agreement. c) Model Homes. In the event that site grading is approved by the City prior to Plat approval and/or execution of this Agreement, posting of security and filing of the Plat, the Developer shall be entitled to one (1) building permit per housing unit type on lots that abut existing streets or roadways, subject to final approval by the City. No model homes may be constructed or utilized until at least one (1) lift of bituminous has been installed from said model home lot providing access to a public street or roadway outside of the Plat. No certificate of occupancy shall be issued for any model or other home until all necessary public improvements and utilities have been installed and the utilities have been successfully tested. Prior to this, and at the time that a model home passes final inspection, a model home may only be used by Developer’s, authorized builders, staff or realtors for purposes of showing the models to potential buyers. No model home may be used until landscaping conforming to City ordinance and paragraph 14 of this Agreement has been installed except that, if the certificate of occupancy is issued between the dates of October 1 and May 1, then the landscaping required herein shall be complete, established and growing no later than July 1. d) Sales Trailers. The Developer may be entitled to a maximum of one (1) temporary sales office (sales trailer) for this and all subsequent phases of the development for a period of time not to exceed nine (9) months. Upon receipt of an acceptable site plan, a sales Adelaide Landing 6th Addition 10 trailer may be approved by the City Community Development Director prior to the first model home being available for showing. The trailer is subject to the issuance of a building permit, shall meet all applicable building codes, shall be fully skirted, shall be suitably landscaped, shall contain sufficient parking for the size of the office, and shall have safe and suitable access to a paved, public roadway. The trailer shall be removed, and the site shall be restored within seven (7) days following the date that a model home passes final inspection. e) Deviations. No material deviations from the approved Plat shall be allowed unless approved in writing by the City. Approval herein is also given subject to full compliance with the conditions of approval and findings adopted by the City Council in connection with the approval of the development. f) Certificates of Survey. A certificate of survey shall be provided to the City Building Inspector for each lot at the time a building permit is requested for the lot. Attached to the certificate of survey shall be an erosion control plan for the lot showing location and type of all erosion control measures to be used on the lot, and spot elevations, tree preservation plan shall be submitted for each home site. g) Outhouses. The Developer shall provide on-site a sufficient number of portable outhouses to be available for the persons who will be working on-site until Improvements are accepted according to the plans in Exhibit A. h) Property Owners Association. When required as a condition of approval outlined in Exhibit B, the Developer agrees to form a property owners association, membership in which shall be mandatory for all of the lots within this development. The property owners association shall be responsible for maintenance and repair of all common elements as listed in the property owners association documents within this development and the same shall be maintained in good condition in accordance with all City ordinances and reasonable directions of the City. Developer agrees to provide a copy of the property owners association documents to the City prior to the recording of the final plat. In the event of failure or refusal of any property owners association to so maintain or repair the common elements then the City may, with seven days written notice and without regard to the requirements or formalities of Minn. Stat. §429 perform the work and assess each of the lots within the plat for the cost of the work. i) Intentionally deleted j) The property owners association documents shall advise owners of all lots of the requirements of this Agreement as follows: THE LAND WITHIN THIS PLAT, INCLUDING THE LAND CONVEYED HEREIN, IS BOUND BY RESTRICTIONS IN A DEVELOPMENT AGREEMENT. SAID DEVELOPMENT AGREEMENT IS ON FILE AT THE OFFICE OF THE WASHINGTON COUNTY RECORDER. Adelaide Landing 6th Addition 11 k) Developer acknowledges that a separate development agreement will be entered into at the time of final plat approval of subsequent phases in the development. That development agreement will address, among other things, necessary improvements to be made, financial guarantees to be provided, and the amount of the development fees to be paid by the Developer. l) Developer shall remove all tree waste, junk, miscellaneous debris, junk vehicles, and any other personal property from the Plat which does not comply with the City Zoning Ordinance until final acceptance of the Improvements. E. DAMAGES AND DEFAULT: 1. Developer agrees to pay liquidated damages to the City if any lot has a real estate closing occur before all public improvements within the Plat are certified as being substantially completed by the City. Specifically, Developer agrees to immediately pay to the City liquidated damages in the amount of Ten Thousand Dollars ($10,000.00) for each lot closing which occurs in violation of this paragraph. The City shall be authorized to retain an appropriate percentage of the financial guarantee referred to in paragraph 4 as security for payment of any liquidated damages owed to the City. Model Homes are exempt from this section. 2. Developer agrees to pay liquidated damages to the City, in the amount of Five Thousand Dollars ($5,000.00), if the Developer encroaches upon any City road right-of-way or utility easement not permitted on the plans without first obtaining a written permit from the City expressly authorizing said encroachment. The City shall be authorized to retain an appropriate percentage of the financial guarantee referred to in paragraph 4 as security for payment of any liquidated damages owed to the City. 3. Events of Default. a) Events of Default Defined. The following shall be "Events of Default" under this Agreement and the term "Event of Default" shall mean, whenever it is used in this Agreement, any one or more of the following events: 1. Subject to unavoidable delays, failure by Developer to commence and complete construction of the Improvements pursuant to the terms, conditions and limitations of this Agreement. 2. Failure by Developer to substantially observe or perform any material covenant, condition, obligation or agreement on their part to be observed or performed under this Agreement. Adelaide Landing 6th Addition 12 b) Remedies on Default. Whenever any Event of Default occurs, the City, subject to any rights of third parties agreed to by the City pursuant to this Agreement, or otherwise by written, executed instrument of the City, may take any one or more of the following: 1. The City may suspend its performance under the Agreement until it receives assurances from Developer, deemed adequate by the City, that Developer will cure their default and continue their performance under the Agreement. Suspension of performance includes the right of the City to withhold permits including, but not limited to, building permits. 2. The City may initiate such action, including legal or administrative action, as is necessary for the City to secure performance of any provision of this Agreement or recover any amounts due under this Agreement from Developer, or immediately draw on the financial Letter of Credit, as set forth in this Agreement. 4. Enforcement by City; Damages. The Developer acknowledges the right of the City to enforce the terms of this Agreement against the Developer, by action for specific performance or damages, or both, or by any other legally authorized means. The Developer also acknowledges that its failure to perform any or all of their obligations under this Agreement may result in substantial damages to the City; that in the event of default by the Developer, the City may commence legal action to recover all damages, losses and expenses sustained by the City; and that such expenses may include, but are not limited to, the reasonable fees of legal counsel employed with respect to the enforcement of this Agreement. F. THIS AGREEMENT: 1. Release of Agreement. This Agreement shall run with the land and may be recorded against the title to the property. After the Developer has completed the work required of it under this Agreement, at the Developer’s request the City will execute and deliver to the Developer a release. 2. Warranty of Title. Developer warrants and represents to the City that it is the fee owner of the land described herein, except for a portion of the property, and that it has authority to execute this Agreement, with consent from the other fee owner, and agree to the conditions hereof and to subject the land hereto. Developer also represents and warrants that the use for which this development is sought will not violate any restrictive covenants applying to the property. Adelaide Landing 6th Addition 13 3. Binding Effect. This Agreement shall be deemed to be a restrictive covenant and the terms and conditions hereof shall run with the land described herein and be binding on and inure to the benefit of the heirs, representatives and assigns of the parties hereto, and shall be binding upon all future owners of all or any part of the subdivision, and shall be deemed covenants running with the land. Reference herein to the Developers, if there be more than one, shall mean each and all of them. This Agreement shall be placed of record so as to give notice hereof to subsequent purchasers. The cost of said recording shall be borne by the Owner and charged against the escrow account. 4. Restrictions on Transfer/Indemnification. Developer agrees to defend and hold the City, and its officials, employees and agents, harmless against any and all claims, demands, lawsuits, judgments, damages, penalties, costs and expenses, including reasonable attorney's fees, arising out of actions or omissions by Developer, their employees and agents, in connection with the Project. No transfer or assignment of this Agreement shall be made without City approval and any assignment or transfer without such approval shall be void. 5. Incorporation by Reference. All general and special conditions, plans, special provisions, proposals, specifications and contracts for the Plat and for any Improvements furnished and let pursuant to this Agreement shall be and hereby are made a part of this Agreement by reference as if fully set out herein in full. 6. Developer will comply with and promptly perform all of its obligations under this Agreement. 7. Evidence of Title. Developer shall furnish the City with evidence of fee ownership of the property being platted by way of an attorneys title opinion or title insurance commitment dated not earlier than thirty (30) days prior to the execution of the Plat. The development shall substantially comply with all plans and conditions of the PUD and preliminary plat approval granted by the City on May 1, 2017 and PUD Amendment on May 6, 2019 and January 6, 2020. 3. Development standards shall comply with Resolution 2017-10, 2017-11, 2019-21, and 2020-3, as amended. 4. The developer shall comply with all conditions outlined in the City Engineer’s memo dated March 11, 2021, and revisions required in “redlined” comments from the City Engineer. 5. Outlot use and ownership: a) Outlot A is proposed for stormwater management, wetland, and a portion is a ditch. The outlot will be deeded to the City with the recording of the final plat. 6. Prior to recording the final plat: a) The developer must obtain all necessary stormwater management and wetland conservation act (WCA) permits from the City and other agencies. b) The developer shall pay $51,888 ($1,128 per unit) in full to satisfy the required cash in lieu of parkland dedication requirement. c) The developer shall pay the sewer and water trunk fees for each lot at final plat. Prior to the issuance of Certificate of Occupancy: j) The trails shown on the plans shall be installed. Adelaide Landing 6th Addition 21 EXHIBIT C ESCROWS, FEES AND CHARGES a) Escrow for City Costs and Fees. The Developer shall deposit sufficient escrow with the City as outlined in Section A. 1. The required beginning balance in the account is calculated at $64,336.00. This sum is calculated to be four percent (4%) of the estimate of the required Improvements to be installed to serve the development, plus $5,000 which is the minimum balance required in the account. b) Cash Escrow or Letter of Credit. The Developer shall provide a financial guarantee to the City, in the form of a cash escrow or letter of credit, in the amount equal to one hundred twenty-five percent (125%) of the estimated amount of the required Improvements. This amount has been calculated by the City Engineer to be $1,854,423. This amount may be reduced upon request of the Developer and approved by the City. At no point shall the Letter of Credit be reduced below ten percent (10%) of the original amount. The City shall have the right to retain the financial guarantee until the Improvements have been completed to the satisfaction of the City and the warranty period has expired. c) Storm Water Trunk Fee. The Developer shall pay the City a Storm Water Trunk Fee in the amount of $52,386.00. This sum is calculated to be $0.07 per square foot for the 748,361 square feet of net developable area within the Plat, with credit provided for the stormwater reuse/irrigation system based on the anticipated reduction in water demand. The reduction is calculated at 5%. This fee shall be paid before the Plat is signed by the City. d) Storm Water Ponding Fee. The storm water ponding requirement has been met by the Developer through the incorporation of on-site ponding. No storm water ponding fee will be applied. e) Snow Plowing. The Developer agrees to pay a one-time lump sum cash escrow to the City to cover the cost of snow plowing the roads within the plat, during the first snow season, before the roads are formally accepted by the City of $.50 per lineal foot. The Developer shall post a cash escrow with the City in the amount of $1,287.50 ($0.50 x 2,575 = $1,287.50). f) Pavement Maintenance Fee. The Developer shall post a one-time lump sum cash escrow with the City in the amount of $10,300 to cover the cost of the first pavement maintenance method of the streets in the Plat. This sum is calculated to be $4.00 per foot for the 2,575 feet of streets within the Plat. Adelaide Landing 6th Addition 22 g) Park Dedication. The Developer agrees to pay a park dedication fee of $1,128 per lot for residential development payable before the final plat is signed by the City. Said fee shall be due for each of the 46 lots within the Plat (i.e. total due $51,888). h) Cul-de-sac Escrow. N/A i) Escrow for Street Signage. Developer shall deposit $4,000.00 into an escrow account with the City. This amount represents an estimated cost of $500/sign for 8 signs to be installed within the development. j) WCA Escrow. N/A k) Sanitary Sewer Trunk Fee. The developer shall pay the City a sanitary sewer trunk fee in the amount of $75,072.00. This sum is calculated to be $1,632.00 per lot for the 46 residential lots within this phase. l) Water Trunk Fee. The Developer shall pay the City water trunk fee in the amount of $54,096.00. This sum is calculated to be $1,960 per lot, with credit provided for the stormwater reuse/irrigation system based on the anticipated reduction in water demand. The reduction is calculated at 40%, resulting in a trunk water fee amount of $1,176 per lot.
