3. APPROVAL OF MINUTES
Staff recommends approval of the minutes from the October 8, 2013, and the November
12, 2013, EDA meetings as presented.
4. DISCUSSION ON MARKETING RFO PROPOSALS
At its meeting in October, the EDA tabled the discussion on the proposals of the
marketing RFQ. There were two proposals at the time that stood out to the EDA. Staff
has included the two proposals for the EDA to review and discuss. Staff recommends the
EDA discuss each proposal and provide staff with direction on how to move forward.
5. UPDATE ON WASHINGTON COUNTY ECONOMIC DEVELOPMENT
STRATEGIC PLAN
Staff will update the EDA on the Washington County economic development strategic
plan.
6. UPDATE ON DOWNTOWN REDEVELOPMENT
Staff will update the EDA on downtown redevelopment.
7.2014 GOAL SETTING
Each year, the City Commissions and City Council adopt goals. The adopted goals are
very important to the staff as they help us prioritize our work over the year. This year, the
staff would like to change the framework of the goal setting discussions to ensure that we
are meeting the expectations of the Commissions. Please take some time to think about
the questions in advance, and plan to participate in the goal setting sessions, as the
outcome of these sessions will guide your Commission and the work of the City staff
over the next year.
MINUTES FOR THE EDA MEETING OF OCTOBER 8.2013
Weidt called the meeting to order at 5:15 pm.

APPROVAL OF MINUTES FOR THE EDA MEETING OF SEPTEMBER 10,
2013
Klein made motion, Denaway seconded, to approve minutes for the EDA meeting of
September 10, 2013.
All ayes. Motion carried.
UPDATE ON MARKETING RFO
Rachel requested that Bryan provide the EDA with an update on his talks with the
Lakeshore Players Theatre. Their interest in the land was important information for the
EDA to consider as they moved forward with the potential selection of a marketing firm.
Bryan informed the EDA that the City of Hugo was one of the locations being considered
by the Lakeshore Players Theatre. The new theatre would have an approximate seating
capacity of 286, and cost the Lakeshore Players about 4.5 million dollars to construct.
Bryan stated he would inform the EDA when he received an update.
Staff informed the EDA that they had received four applications from the marketing
RFQ. The applicants were: Coldwell Banker, Bill Lentsch, Wakota Commercial
Advisors/High Pointe Realty, and Northco Real Estate Services. Coldwell Banker and
Bill Lentsch failed to provide much of the requested material located in the RFQ.
Wakota Commerical Advisors/High Point Realty and Northco Real Estate Services
provided much more complete applications. Wakota stated that they would require a 7%
commission upon the sale of the land, or an 8.5% commission if the sale was a co -
brokered transaction. Wakota stated they would complete a web based marketing
campaign in addition to cold calling potential buyers, and providing signage on the
property. Wakota demonstrated their experience with restaurants and commercial
properties through a listing of successfully completed projects. Northco Real Estate
Services stated they required a $0.50/square foot commission upon the sale of the land.
Northco stated they would complete a web based marketing plan in addition to
completing cold calls, creation and distribution of marketing brochures, as well as
providing signage on the property. Northco demonstrated their experience with
commercial and restaurant properties with a list of successful clients served.
The EDA determined that it was in the best interest of the City to postpone entering into
an agreement with a marketing firm, until the City determines whether or not projects
already being worked on by City staff are viable. EDA requested staff thank each of the
applicants for their submissions and notify them of the EDA decision to postpone a
decision.
UPDATE ON WASHINGTON COUNTY ECONOMIC DEVELOPMENT
WORKGROUP
Rachel informed the EDA that David Unmacht of Springsted Inc. would be present at the
November 12th EDA meeting to present the process being taken by the workgroup.
Bryan stated that David would be looking for input from the EDA about the process and
requested they each take some time to prepare themselves.
UPDATE ON DOWNTOWN DEVELOPMENT
Bryan informed the EDA that Bill Lentsch is preparing to subunit an application with the
City for a 100 unit senior housing project. The project is to be located west of Lions
Park, and potentially accompanied by market rate apartments. The senior housing will be
managed by Keystone Senior, LLC. Keystone Senior would be new to the State of
Minnesota, as currently it only has facilities in Iowa, Massachusetts, Ohio, and Colorado.
Denaway commented that it was important that the senior housing project and the market
rate apartments were located on two separate parcels to ensure future finance flexibility.
Arcand inquired if any movement was taking place with downtown property owned by
Pete Sampair. Bryan informed the EDA that while there is an interested developer, no
movement had taken place because an additional private land transaction needed to take
place to allow for an extension of Finale Avenue. Both parties would benefit from this
extension.
EDA DISCUSSION
Arcand requested an update on NRI.
Bryan informed the EDA that steady progress was being made on the site. Once the site
is clear the property owner will be mox ing the location of the vehicle scale, removing the
northern driveway access, re -grading the site, paving areas, and installing new
landscaping.

JOINT CITY COUNCIL AND EDA MEETING
TUESDAY, NOVEMBER 12, 2013

Mayor Weidt called the meeting to order at 5:00 p.m.
COUNCIL PRESENT: Mayor Weidt, Council Members Bronk, Haas, Klein, Petryk
CITY STAFF PRESENT: City Administrator Bryan Bear, Planner Rachel Juba, Community
Development Intern Eric Maass
EDA.Present: Arcand, Denaway, Gallivan, Klein, Puleo, Weidt
Washington County Commissioner Fran Miron gave an introduction regarding the potential for
Economic Development within Washington County. He then turned the meeting over to David
Unmacht of Springsted Incorporated who provided an outline of the process currently being
taken by Springstead regarding data collection/analysis and community input as they pertain to
the current study being conducted.
Council Member Petryk described the importance that is placed on transit and infrastructure in
regards to current and future economic development, and the ways Hugo is currently lacking in
those regards potentially hindering economic development in the city. This notion was agreed
upon by EDA member Puleo who stated that an interchange at 35E. and County Road 4 could
prove critical for economic development along that corridor.
Bill Barrett, a local business owner, stated that additional city or county incentives could aid in
business retention and growth, further spurring economic development. Council Member Klein
stated that to further help local business owners there needed to be added competition between
urban services, specifically high speed internet availability.
Council Member Petryk discussed the potential for a small business bureau which would aid
small businesses in locating property for sale, connecting businesses to potential employees, or
possibly providing placement aid for technical training internships. These notions were echoed
by Council Member Haas and Council Member Klein stating the potential creation of a small
business incubator and extension of the accomplishments already created by local chambers of
commerce.
EDA Member Denaway described the importance of integrating the potential for increased
economic development into the ranking and scheduling of transit projects. Denaway also
described how important it was that the county continues to be flexible with traditional TIF rules
to aid in economic development. Bryan Bear agreed with that notion, adding that it was also
important that TIF and tax abatement are allowed to be used at the same time.
Mayor Weidt suggested that the County execute marketing initiatives to promote the spur of
economic development in Hugo. Council Member Arcand agreed with the notion that marketing
needed to be completed to aid in painting a more proper picture of what the City of Hugo is
today and all it has to offer to potential businesses. Council Member Bronk agreed and stated
this was vital to attract and retain young professional in the City of Hugo.
EDA Member Puleo stated that some development has been slowed or gone .completely stagnant
as a result of the cost of infrastructure. He was interested to learn if the County would have any
way of aiding in this initial cost. Washington County representative. Jane Harper described the
availability of assistance through federal block grants. Washington County Commissioner Fran
Miron described a potential program which would entail a low interest loan fiend which could be
used to fund such infrastructure projects.
City Administrator Bryan Bear described the current Metropolitan Council initial population
growth forecasts and how Washington County could be involved through their legislative
agenda. He echoed the importance of accessible and quality infrastructure as a primary driver of
future economic development within the City of Hugo. He also suggested that Washington
County conduct a corridor study along County Road 4 to assess the size of the currently required
right-of-way. He stated that a corridor study was completed along Highway 61, with the end
result being a 50' reduction in the required right -of way, further aiding economic development in
that transit corridor. He commented that current federal community development block grants
were heavily geared towards the subsidizing of affordable housing projects making it very
difficult to secure those funds for infrastructure projects.
Mayor Weidt provided closing statements and thanked everyone for coming and making the
meeting a great success.
David Unmacht echoed Mayor Weidts comments and thanked all in attendance for their
participation.
Haas made motion, Petryk seconded, to adjourn at 6:32 p.m.

Wakota Brokers listed the largest privately held tract of land in the state of Minnesota, 8,375 acres in
Biwabik MN.
• Wakota brokers sold the former Jim Lupient Auto Dealership in NE Minneapolis. The team was
then retained by the buyer to lease the property as multi -tenant retail, office and rental housing. The
property was 100% occupied at the end of our assignment.
' Wakota brokers listed and sold a former landfill site in the city of Minneapolis, developed as a

EXCLUSIVE LISTING AGREEMENT

THIS EXCLUSIVE LISTING AGREEMENT (the "Agreement"), dated XXXXX, 2013, is by and between Northco Real
Estate Services, LLC, a Minnesota limited liability company ("Northco") and The City of Hugo, Mn. ("Owner"). Owner
is desirous that Northco act as the exclusive listing broker to sell Owner's property ("Property") PTD # XX -XX -XXX
located in Downtown Hugo, MN. The Property consists of approximately 4.I 9 acres of land.
Owner hereby hires Northco as Owner's exclusive listing agent, to market the Property for sale and Northco hereby
accepts such appointment. The Term of this Agreement shall be for a period of twelve (12) months commencing on
XXXXX, 2013 (the "Commencement Date") and terminating twelve (12) months from the Commencement Date
Northco hereby agrees to immediately commence and diligently pursue the execution ofmarketing programs towards the
sale of the Property. Northco shall use reasonable commercial efforts to procure a buyer for the Property and to assist
Owner in the negotiation ofthe sale of the Property. Northco shall keep Owner advised as to the status of the marketing
program. The Property shall be offered for sale without an initial list price and upon the minimum sale terms and
conditions of an all cash transaction. Such terms shall be subject to modification at any time or from time to time as
Owner shall agree to, in writing.
It is further agreed as follows:
1. Owner will refer all inquiries pertaining to the Property to Dick AIlendorf and Chris Kubesh (the "Selling
Brokers") Northco during the term of this Agreement and Northco will diligently market, promote and make
proposals to all such referrals as deemed appropriate by Northco in furtherance of its duties hereunder.
2. In the event of a sale of all or a portion of the Property during the Term of this Agreement, or any override
period, Owner shall pay Northco a commission of $.50 per square foot of Property sold.
3. The parties specifically agree that Owner is not obligated to pay, nor is Northco entitled to receive, any
commission unless and until the sale of all or any portion of the Property is closed. Further, Owner shall have
the discretion to accept or reject any and all offers received during the term of this Agreement, and shall be
under no obligation to Northco to accept any offer presented or any offer which would entitle Northco to a
commission.
4. Owner shall pay Northco its commission for any transaction, if within one hundred eighty (180) days after the
termination or expiration of this Agreement, Owner sells or agrees to sell all or any portion of the Property, or
commences and thereafter continues discussions leading to a sale of all or any portion of the Property, to any
third person who previously made an affirmative showing of interest in the Property during the Term of this
Agreement by responding to advertising, by contacting Northco or who had been physically shown the Property
by Northco, its salesperson, or a cooperating broker. It is understood that Northco shall not seek to enforce
collection of commission under this Paragraph 5 unless the name of such third person is on awritten list given
to Owner within 72 hours after the termination or expiration of this Agreement.
5. The terms of this Agreement shall survive and be enforceable after termination of the Agreement.
6. This Agreement constitutes the complete agreement between the parties and supersedes any prior oral or written
agreements between the parties. No amendment, modification or extension of this Agreement shall be valid or
binding unless made in writing and signed by both Owner and Northco.
7. This contract shall be governed by the laws of the State of Minnesota.
8. Nothing in this Agreement shall create or be deemed or construed to create a joint venture or partnership
between or among Northco and Owner. This Agreement shall not be deemed at any time to create an ownership
interest ofNorthco in the Property or any improvements thereon.
9. In addition to all remedies otherwise provided in this Agreement, each party hereto shall be entitled to all
remedies available at law or in equity for any breach of, or failure of the other party to perform, any obligations
under this Agreement. In the event suit is brought to enforce or interpret all or any portion of this Agreement,
the prevailing party shall be entitled to recover all costs and expenses incurred by it in connection therewith,
including its reasonable attorney's fees and costs.

Northco will market the subject property utilizing the following resources and methods, at no additional cost to
Owners:
1. Design an electronic brochure to be circulated to:
a. The following websites and multiple listing services: Loopnet, MNCAR/Eproperty, Costar, and
the Northco website.
b. Northco's proprietary data base consisting of real estate brokers, investors, developers, businesses
and individuals.
c. Targeted users with who fit within approved and conditional uses for the site. Followed by phone
calls to target buyers.
2. Design and print brochure/postcard to be circulated by direct mail. The brochure/postcard will be mailed to
select contacts and followed up by direct calls.
3. Put together a comprehensive Offering Memorandum which details out the opportunity. This answers most
of the buyer's questions before they ask them which speeds up the acquisition process.
4. Assist potential buyers in obtaining required information.
5. Monthly marketing reports will be submitted to Owners.
6. Make oral reports to Owners as needed.
7. Once the property is under contract — work with Owners to close the transaction.

Each year, the City Commissions and City Council adopt goals. The adopted goals are
very important to the staff as they help us prioritize our work over the year.
This year, the staff would like to change the framework of the goal setting discussions to
ensure that we are meeting the expectations of the Commissions. Some of the goals that
are adopted each year have been somewhat vague and difficult to measure progress on,
such as "Promote downtown redevelopment" or "Expand recreational programming."
Many goals of this type end up being repeated each year. We'd like to challenge the
commissioners to be creative and specific when setting goals.
Each commission is guided by a set of mission statements, values, or visions that are
written down in the City's Comprehensive Plan or elsewhere. Ideally, the goals will
implement your mission. Each goal statement should be accompanied by action steps
that can be accomplished by the staff, Commissions, and City Council.
The staff will be asking each Commission a series of questions related to your mission,
values, vision, etc. We will facilitate a discussion surrounding those questions with
hopes of reaching a consensus on where our efforts should be focused over the next year
via goals and actions. The appearance of the document that gets approved will be
different from what you have previously seen.
Please take some time to think about the questions in advance, and plan to participate in
the goal setting sessions, as the outcome of these sessions will guide your Commission
and the work of the City staff over the next year.

Vision of the EDA
The goal of the Hugo Economic Development Authority (EDA) is to create a thriving
community with diverse jobs and tax base, brought about by specific emphasis on
business retention, business expansion, and business attraction.
Discussion Questions
Please prepare responses to the following questions to discuss during the goal setting.
1. What strengths does the City of Hugo have? Please identify one or two
considerations that that you believe are unique to Hugo and can be a positive
asset to the community.
2. What weaknesses does the City of Hugo have? Is there something that the City
should be doing with economic development that we are not?
3. What do you think should be the 3 most significant priorities of the EDA for the
next 20 years?

Goal Setting Process
Using the vision above, the EDA will work together to identify three to six goals. Each of
the goals will also have action steps to be taken in 2014. The Hugo City Council will be
presented the goals of the EDA for their feedback and approval. The goals will drive the
activities of the EDA in 2014.

A Year in Review...
This Annual Report is designed to showcase many of the commercial and
industrial businesses that have located in Hugo and other economic de-
velopment during 2013. The goal of the Hugo Economic Development Au-
thority (EDA) is to create a thriving community with diverse jobs and tax
base, brought about by specific emphasis on business retention, business
expansion, and business attraction. Hugo's business community is rapidly
expanding due to strong residential growth and an attractive business en-
vironment. The City had 52 new residential homes built as well as 4 com-
mercial constructions this year. The valuation of the commercial and in-
dustrial construction completed in 2013 in the City totaled over
$4,000,000.00. The City of Hugo and the EDA welcome all of the new
businesses to Hugo and are excited about the new jobs and services they
provide to the community. In this Annual Report the EDA highlights the
projects approved in 2013, the new businesses that have located in Hugo,
EDA events, and a new assessment policy that relates to construction of
roads for economic development proposes.
2013 EDA Goals...
In December, the EDA has a goal setting session to set priorities for the
year ahead. Below are the goals which include action items that the EDA
works on throughout the year.

Christ Lutheran Church Starts Construction
After receiving site plan approval by the
Planning Commission, Christ Lutheran Church
was issued a building permit and started con-
struction of its 12,000 square foot facility. The
property is located at 4790 Rosemary Way. The
facility will include worship space as well as a
daycare center. Christ Lutheran Church has
been worshiping in the Oneka Elementary
School for the last several years. They have ac-
quired several parishioners in Hugo that has
caused the need for a second facility to the ex-
isting church in North St. Paul. The church is ex-
pected to open Spring/Summer 2014.
Washington County Evaluates Economic Development
Since the beginning of 2013, the Washington County Board has been evaluating its role in eco-
nomic development. The process started with an economic development workgroup consisting
of staff from the cities in the county. They discussed the county's current role in economic devel-
opment and what additional items the county could consider to help its cities. In an effort for. fig-
ure out the role, the County hired Springsted Inc. to develop a County wide economic develop-
ment strategic plan. This will be completed through analysis of data collected on Washington
County in regards the local economy, business sectors, and several community engagement
exercises. The goal of the plan is to have realist recommendation on how the county will be in-
volved in economic development. The outcomes will be presented at the League of Local Gov-
ernments Meeting in early 2014.

be the first phase and the apartments the second phase. The developer is proposing to dedicate
land to Lions park as well as relocate Finale Avenue as it ties into 147th Street.

Revisions to the Assessment Policy
The City, through its ordinances, policies, comprehensive plan, and general practice, has
maintained the philosophy that "development pays its own way." So far, this has meant that
public improvements needed because of development are designed, constructed, and fi-
nanced by the developer. This year there was a petition from a developer to levy an assess-
ment against property that he owns for 100% of the road project cost, including all design, en-
gineering, inspections, etc. The property benefiting from the road improvement would be sub-
ject to the assessment. The City Council decided to send the request to all the commissions
and get their feed back on a revised assessment policy where the City could finance a public
improvement under certain conditions. The EDA reviewed the request in May and during the
discussion agreed that completion of key infrastructure improvements is one way to encour-
age business development. The EDA made a recommendation to the City Council to revise
the policy for public improvement projects that could spur economic development. In June,
the City Council revised the policy to allow City financing under 'certain conditions, including
projects with commercial and industrial economic development potential.
City Acquires Additional Commercial Land in Downtown
In May, the City entered into a pur-
chase agreement with the owners of
the former Carpenters Steakhouse to
acquire 1.34 acres adjacent to the city
owned property across from City Hall.
In July, the City closed on three of the
five parcels and is expected to close on
the other parcels early 2014. The total
acreage that the City will own across
from City Hall will be approximately 4
acres. The city owned property is cur-
rently for sale and available for prime
commercial development.
The City does not require parkland dedic

Xcel Energy Training Center open House
In April, Xcel Energy Inc. held a public open
house of its new training center in the Bald Eagle
Industrial Park. The public was able to tour the
40,000 square foot gas and electric training facil-
ity, which included demonstrations by the trainers
themselves. The facility includes a training barn
that is tall enough to provide training on erecting
power poles for electric training during inclement
weather. The barn also features a simulated be-
low -ground electrical vault, complete with top
manhole access. Xcel Energy Inc. combined
three other training facilities in one when they
built this locations. In 2013, Xcel Energy Inc., pur-
chased an additional 15 acres to the north of the
training facility for the future.
