Stoltz 9 <br />OTHERS PRESENT : Mary Divine, Gordon Heitke, and Julie Bartell 10 <br /> 11 <br /> 12 <br />Meeting called to order by President Reinert at 6:03 p.m. 13 <br /> 14 <br />CONSIDERATION OF MINUTES OF NOVEMBER 14, 2005 15 <br /> 16 <br />EDA Member Bergeson moved to approve the November 14, 2005 minutes, as presented. EDA 17 <br />Member Carlson seconded the motion. Motion passed unanimously. 18 <br /> 19 <br />CONSIDERATION OF ANNUAL APPOINTMENTS 20 <br /> 21 <br />Ms. Divine informed the Authority that it is required to make appointments each year at the first 22 <br />meeting of the year. She outlined the appointments that were required. 23 <br /> 24 <br />EDA Member Carlson nominated EDA member O’Donnell for President. EDA member 25 <br />O’Donnell noted he was already President Pro Tem of the City Council and would prefer another 26 <br />member were appointed. Motion died for lack of a second. EDA President Reinert nominated 27 <br />EDA Member Stoltz. EDA Member Bergeson seconded the nomination. Motion passed 28 <br />unanimously. 29 <br /> 30 <br />EDA Member O’Donnell nominated EDA Member Carlson for Vice-President. EDA Member 31 <br />Bergeson seconded the nomination. Motion passed unanimously. 32 <br /> 33 <br />EDA Member Reinert nominated EDA Member O’Donnell for Treasurer. EDA Member 34 <br />Bergeson seconded the motion. Motion passed unanimously. 35 <br /> 36 <br />EDA Member O’Donnell moved to approve the other appointments as outlined by Ms. Divine in 37 <br />the staff report. EDA Member Carlson seconded the motion. Motion passed unanimously. 38 <br /> 39 <br />RESOLUTION NO. 06-01 AMENDING THE EDA BY-LAWS 40 <br /> 41 <br />Ms. Divine outlined suggested amendments to the meeting requirements in the EDA by-laws. 42 <br />Those changes included; 43 <br />1. Holding an annual meeting on the fourth Monday in January of each year so that it 44 <br />coincides with the same night as a City Council meeting. Annual appointments will be 45 <br />made at this annual meeting. 46 <br />2. Hold meetings throughout the year as needed, as has been accepted practice. 47 <br /> 48
