As a separate unit within the division, Subscriber Unit Operations will address subscriber unit related issues such as maintaining the Subsystem database and managing access to the Subsystem by subscriber unit users. 4.3 Operations and Users Group An Operations and Users Group shall be made up of the following: TBD. The Operations and Users Group shall: review the proposed budget for the Subsystem; measure standards, and establish procedures and protocol. SUBSCRIBER agrees to comply with the protocols and procedures established by the Operations and Users Group. 5. TERM AND CANCELLATION 5.1 Term of Agreement This Agreement shall be for an initial term beginning on the date following execution by both parties and continuing through December 31, 2014 ("Initial Term"). After the Initial Term and any subsequent extensions thereto, this Agreement will automatically be extended for an additional one (1) year term, unless either party gives written notice of intent not to extend to the other party, at least one hundred twenty (120) days prior to the expiration of the then current term. • 5.2 Cancellation of Agreement This Agreement may be canceled by COUNTY for breach of contract by SUBSCRIBER, for lack of funding to operate the Subsystem, taking the Subsystem out of service, continued misuse of the Subsystem by SUBSCRIBER, and other causes upon one hundred eighty (180) days' written notice to SUBSCRIBER, provided that any such cancellation by COUNTY shall require action by the Board of Ramsey County Commissioners. This Agreement may be canceled by SUBSCRIBER at any time with or without cause upon one hundred eighty (180) days' written notice to COUNTY, provided that any such cancellation by SUBSCRIBER shall require action by SUBSCRIBER'S governing body. 5.3 Actions Upon Termination Upon expiration or cancellation of this Agreement, SUBSCRIBER shall cease all use of the Subsystem including using the Subsystem with radios owned by SUBSCRIBER. 6. MERGER AND MODIFICATION 6.1 Entire Agreement It is understood and agreed that the entire Agreement between the parties is contained herein and that this Agreement supersedes all oral agreements and negotiations between the parties relating to the subject matter hereof. All items referred to in this Agreement are incorporated or attached and are deemed to be part of this Agreement. 6.2 Amendments to Agreement Any alterations, variations, modifications, or waivers of provisions of this Agreement, except for revisions to Appendix A as provided for below, shall only be valid when they have been reduced to • writing as an amendment to this Agreement signed by the parties hereto. 6.3 Appendix A Revisions 33
