G'L <br />. in suspension of voting privileges of the Party's committee member. Failure to pay a billing <br />within 120 days is grounds for termination of participation as a Party, but the rights of the <br />Operations Committee to payment of the billing are not affected by such termination. <br />IX. WITHDRAWAL <br />9.1 A Party may withdraw from participation in the by giving written notice to the <br />secretary-treasurer of the Operations Committee. The notice shall be accompanied by a certified <br />copy of a resolution adopted by the city council of that Party authorizing withdrawal from <br />membership. The withdrawal is effective at the end of the calendar year in which notice is <br />given. <br />9.2 The withdrawal of a party does not affect that Party's obligation to pay fees, <br />charges or contractual charges for which it is obligated under this Agreement for the budget year <br />in which the notice of withdrawal is given. <br />X. DURATION AND TERMINATION <br />10.1 This Agreement continues in effect indefinitely until terminated in accordance <br />with its terms. <br />10.2 The Operations Committee may be dissolved and this Agreement terminated <br />upon adoption of resolutions providing for termination by the city councils of two-thirds of the <br />Parties then in good standing. This Agreement shall also be terminated and the Operations <br />Committee dissolved upon the withdrawal of all Parties leaving only one Party remaining. <br />10.3 In the event of dissolution, the Operations Committee will determine the <br />measures necessary to effect the dissolution and provide for the taking of such measures as <br />promptly as circumstances permit, subject to the provisions of this Agreement and law. <br />10.4 In the event of dissolution, following the payment of all outstanding obligations, <br />I ~ assets held by the Operations Committee will be distributed among the then existing members in <br />
