Gv <br />direct proportion to their cumulative annual membership contributions. If obligations exceed the <br />assets of the Operations Committee, the net deficit of the Operations Committee will be charged <br />to and paid by the then existing members in direct proportion to the annual membership <br />contributions of the year of dissolution. <br />10.5 At the time of a contribution in kind by a Party, the Operations Committee may <br />make such commitments as it deems reasonable for the return of the property to that Party in the <br />event of withdrawal by the Party or dissolution of the organization. <br />XI.OPERATION AND MAINTENANCE OF <br />HAZARDOUS MATERIALS RESPONSE VEHICLE <br />11.1 Management of the vehicle, that is, selection of supplies and equipment, exterior <br />vehicle color and markings, configuration and type of all equipment mounted on and within the <br />HMRV, and all other day-to-day operational activities needed to fully implement this agreement, <br />• is vested in an Operations Committee. <br />11.2 The Operations Committee may determine that one Party will maintain registered <br />ownership of the vehicle and maintain motor vehicle insurance on it. To the extent any one Party <br />bears insurance costs on the vehicle its costs shall be reimbursed or recognized as a contribution <br />by the Operations Committee. <br />11.3 Furnishing of Specialized Equipment. The Parties' representatives will confer and <br />agree upon the specific type and quantities of specialized hazardous materials equipment, <br />supplies, personnel protective gear, and ancillary items necessary to equip the vehicle. The <br />Parties agree to share the cost of these items and the expense of furnishing cabinets or other <br />interior fixtures needed in the vehicle in accordance with paragraph 8.3. <br />11.4 Replacing Equipment and Supplies. Unless otherwise agreed to by all Parties' <br />representatives, equipment and supplies used from the vehicle shall be replaced promptly by the <br />
