<br />4. Additional Collection Services.

<br />Charges for pickup of additional items and for additional service shall be made directly to the
<br />resident owner by the City at the prices stated in Attachment “B” hereto. Said prices shall be
<br />subject to change from time to time by the Contractor based on changes in disposal costs and subject
<br />to City approval. Contractor will need to include the charges for additional collection in the
<br />monthly bill detail. Charges for additional services shall be billed in the month the service is
<br />provided.
<br />
<br />5. Unmarketable Recyclables.
<br />
<br />The Contractor shall receive one hundred (100%) percent of the gross proceeds from the sale of
<br />recyclables. In the event the Contractor and the City determine that recyclables cannot be sold or
<br />given away, the Contractor shall bear all costs associated with disposal.
<br />
<br />6. Bulky Item Increase.
<br />
<br />If the rate for disposal for bulky items increases to a point in which the haulers feel an increase is
<br />warranted during the term of this contract, it shall be agreed that the City and hauler will meet to
<br />discuss a potential increase to the bulky item collection rate and/or Schedule B.
<br />
<br />7. Taxes (Environmental Services, Disposal, and Sales, if any).
<br />
<br />The City will retain the responsibility for billing all appropriate taxes associated with services
<br />provided for under this contract. Furthermore, the City will be responsible for remitting all the taxes
<br />billed to the proper taxing agencies in compliance with reporting and filing requirements.

<br />
<br />V. INSURANCE, BOND & INDEMNIFICATION. The Contractor shall be licensed and bonded as
<br />required by Little Canada City Ordinances. The Contractor further agrees to take all precautions to protect the
<br />public against injury. The Contractor, each of them individually (“In d emn if yin g Con tracto r”), shall
<br />indemnify and hold harmless the City, its officers, agents, representatives, and employees from and against
<br />all damages, claims, losses, costs or expenses including reasonable attorneys' fees, which may be asserted
<br />against the City, or for which it may be held liable, to the extent resulting from any acts, omissions, or
<br />negligence of the Indemnifying Contractor, Indemnifying Contractor's agent or
<br />employees while engaged in the performance of this Contract and of damages that may arise by reason of any
<br />negligence of the Indemnifying Contractor or the Indemnifying Contractor's agents, or employees while
<br />engaged in the performance of this Contract. The Contractor will indemnify the City against all claims, liens,
<br />expenses, and claims for liens, for work, tools, machinery, materials, or insurance premiums or equipment or
<br />supplies, and against all loss by reason of the failure of the Contractor in any respect to fully perform all
<br />obligations of this Contract, including reasonable attorneys' fees. Notwithstanding anything to the contrary set
<br />forth in this Contract or otherwise, no individual Contractor shall have an obligation to (a) indemnify, defend
<br />or hold harmless the City, or any other parties indemnified under this Contract, for any such liability or claim
<br />to the extent resulting from the negligence or, willful misconduct by the City, any third party or any other
<br />parties indemnified under this Contract, or (b) indemnify, defend or hold harmless another Contractor for
<br />any such liability or claim to the extent resulting from the acts, omissions or negligence of the other
<br />Contractor. In other words, each Contractor is only liable to the extent the damages, claims, losses, costs or
<br />expenses resulted from its o wn o r its emp lo yees’ own acts, omissions or negligence.
<br />
<br />Insurance Limits. During the entire period of the contract, the Contractor shall maintain, at their expense, and
<br />file with the City, policies or certificates of Worker's Compensation, Auto Liability, and General Liability
<br />insurance. Minimum Liability Insurance coverage requirements are $1,000,000.00 bodily injury per person,
