shall terminate immediately, in which case Occupant hereby agrees to vacate the Property <br />immediately and hereby waives any rights and claims with respect to the early vacation <br />of the Property. <br />5.Maintenance and Repair. Occupant promises to maintain, at Occupant’s <br />expense, the Property in a neat and orderly condition, including any required mowing. <br />Occupant agrees to eliminate any violation of health and safety laws that result from the <br />negligent, willful, malicious or irresponsible conduct of the Occupant or its agents or <br />guests. Occupant shall comply with all the sanitary laws affecting the cleanliness, <br />occupancy and preservation of the Property. The EDA has no responsibility for <br />maintenance and repair of the Property during the term of this Agreement <br />6.Alteration of the Property. Occupant may not make any material alteration to <br />the Property without the EDA’s written consent. <br />7.Damage to the Property. If the Property is damaged or destroyed, the EDA may <br />terminate this Occupancy Agreement immediately. <br />8.Right of Entry. The EDA and its agents shall have the right to enter the <br />Property, at reasonable hours, during the term of this Agreement for the purpose of <br />accessing materials stored on the site or for any other lawful purpose. The EDA is not <br />required to provide any notice to the Occupant if entry to the building is required. <br />9.Utilities. Occupant shall be responsible for all utility services needed to facilitate <br />Occupant’s usage of the property and shall pay all bills for utility service provided during <br />the period of Occupant’s possession of the Property, as and when they become due. <br />10.Insurance. Occupant shall, at Occupant’s expense, procure and maintain for the <br />duration of this Agreement (i) personal property insurance and (ii) general commercial <br />liability insurance in the minimum amount of $1,500,000 listing the EDA and the City of <br />Little Canada as an additional insured party and indemnifying the EDA and the City of <br />Little Canada from any claim relating to Occupant’s use and possession of the Property. <br />Such insurance shall be provided by a reputable insurance company licensed to issue <br />policies in the State of Minnesota. <br />11.Property Taxes. Occupant shall be responsible for any property taxes that <br />become due and payable as a result of this transaction. The EDA does not believe there <br />will be any taxes due and payable, but any risk of same is borne by Occupant. Payment <br />of property taxes shall be accounted for at the closing of Occupant’s purchase of <br />property. Should Occupant remain on the premises after July 1st, then occupant shall pay <br />an additional amounts owing directly to Ramsey County. <br />12.Assignment Prohibited. Occupant may not assign this Agreement or permit any <br />other person or entity to use the Property without the prior written consent of the EDA.
