1 <br /> DEVELOPMENT AGREEMENT <br /> <br /> <br /> THIS AGREEMENT made this _____ day of February, 2019, is by and between the <br />City of Little Canada, whose primary address is 515 Little Canada Road East, Little Canada, <br />Minnesota 55117, a municipal corporation organized under the laws of the State of Minnesota, <br />(the “City”), and AFSA Building Company, a Minnesota Non-Profit Corporation, whose primary <br />address is 100 Vadnais Blvd.; Vadnais Heights, MN 55127 (“AFSA”). <br /> <br /> WITNESSETH: <br /> <br />RECITALS <br /> <br /> WHEREAS, AFSA is the owner of real property located at 2925 Country Drive, City of <br />Little Canada, County of Ramsey, State of Minnesota, legally described as follows to wit: <br /> <br /> See Attached Exhibit A (“Property”); and <br /> <br /> WHEREAS, the City Council by resolution has terminated a pre-existing Development <br />Agreement encumbering the Property, which agreement was between the City and RAB, LLC <br />dated July 21, 1999 (as amended), contingent on the execution of this Agreement <br /> <br /> WHEREAS, the Property was previously used as an office building, and is being <br />converted to a charter school use for grades pre-k through 8; and <br /> <br /> WHEREAS, Resolution 2018-10-207 approved an amendment to Ordinance 833 for the <br />purpose of establishing a special PUD District G which would allow charter school, office and <br />office warehouse uses at the Property; and <br /> <br /> WHEREAS, Minnesota Statute § 462.358 authorizes the City to enter into a <br />Development Agreement; and <br /> <br /> NOW THEREFORE, in consideration of the premises and the mutual obligations of the <br />parties hereto, each of them does hereby covenant and agree with the other as follows: <br /> <br /> <br />ARTICLE I <br /> <br />Definitions <br /> <br /> Section 1.1. Definitions. In this Agreement, unless a different meaning clearly appears <br />from the context: <br /> <br /> "Agreement" means this Development Agreement, as the same may be from time to time <br />modified, amended or supplemented. <br />
