A-1 <br />THE BORROWER <br />General <br />Presbyterian Homes Care Centers, Inc. (the “Borrower” or the “Corporation”), a Minnesota nonprofit <br />corporation, was formed in 1984 to own and operate the project to be replaced with the Project (as defined below). <br />The Borrower is an organization described in Section 501(c)(3) of the Internal Revenue Code of 1986, as amended <br />(the “Code”), whose income related to its charitable purposes is exempt from federal income taxes. The Borrower <br />was created for the purposes, among others, of providing housing and services for elderly persons and to aid, assist <br />and contribute to the support of other organizations operated exclusively for one or more of the purposes described <br />in Sections 170(c)(2) and 501(c)(3) of the Code. <br />Governance <br />Members. The sole member of the Borrower is Presbyterian Homes and Services (“PHS” or the “Limited <br />Guarantor”). <br />Board of Directors and Officers. The Borrower’s Board of Directors (the “Board”) controls the <br />management and business affairs of the Borrower. The Board is elected by the sole member of the Borrower. None <br />of the officers or directors of the Borrower are compensated, nor are they expected to be compensated, by the <br />Borrower. As of the date of this Official Statement, the Board and the officers of the Borrower are as follows: <br />Officers <br />Daniel Lindh Chief Executive Officer, Director, and Chairman of the Board <br />Mark Meyer Chief Financial Officer and Director <br />Duane Larson Vice Chairman of the Board <br />Daniel A. Lindh is the chief executive officer of PHS and has been associated with PHS since 1976. <br />Mr. Lindh graduated from Bethel College with a Bachelor of Arts degree in Psychology in 1975 and received a <br />Master’s of Business Administration from the University of St. Thomas in 1980. Mr. Lindh holds a long-term care <br />administrator’s license issued by the State of Minnesota. <br />Mark Meyer is the Chief Financial Officer of PHS and has been associated with PHS since 1987. Mr. <br />Meyer graduated from the University of St. Thomas with a Bachelor of Arts degree in Accounting in 1984. <br />Duane Larson serves as Senior Vice President of Operations of PHS. Mr. Larson has been with PHS since <br />2003. Mr. Larson served as a Campus Administrator and Regional Director of Operations before assuming his <br />current role. Mr. Larson graduated in 1991 with his degree in Health Care Administration from the University of <br />Wisconsin-Eau Claire. Mr. Larson is a licensed Nursing Home Administrator in the State of Minnesota. <br />Conflict of Interest Policy <br />The Borrower’s Conflict-of-Interest Policy requires each Director and Officer to disclose any direct or <br />indirect financial, co-investment interest or other strategic or operational interest that he or she has or reasonably <br />expects to have in any proposed or existing contract, transaction, or arrangement with the Borrower, or in any other <br />matter under consideration or to be considered by the Board, or any other Board committee. <br />Investment Policy <br />The Borrower funds are invested in accordance with investment policies adopted by PHS.
