<br />Page 1 of 8 <br /> <br /> <br /> <br />AGREEMENT <br /> <br />THIS AGREEMENT (“Agreement”) is made and entered into by and between City of Little <br />Canada, a body politic and corporate under the laws of the State of Minnesota, hereinafter <br />referred to as the “ROAD AUTHORITY” and SOO LINE RAILROAD COMPANY, doing <br />business as CANADIAN PACIFIC, hereinafter referred to as the “COMPANY.” <br /> <br />WITNESSETH <br /> <br />WHEREAS, Owasso Blvd Dot #689011T as presently located in the City of Little Canada, <br />Ramsey County, State of Minnesota, crosses at grade one track of the COMPANY at railroad <br />milepost 12.27 on the St Paul Subdivision, which crossing is constructed with 54’ of concrete <br />and is protected by gates, lights’; and <br /> <br />WHEREAS, the ROAD AUTHORITY proposes to have the COMPANY replace the crossing <br />surface at the location shown in “Exhibit A;” and <br /> <br />WHEREAS, the crossing surface work herein proposed to be performed by the COMPANY <br />shall be completed with the street closed to vehicular traffic; and <br /> <br />WHEREAS, the parties desire to set forth the terms and conditions for surface replacement of <br />said crossing. <br /> <br />NOW, THEREFORE, in consideration of the promises and mutual covenants contained <br />herein, the parties agree as follows: <br /> <br />SECTION 1. The “Standard Provisions for Highway-Railroad Agreements” attached hereto <br />as “Exhibit C” are hereby made a part of this Agreement. <br /> <br /> <br />SECTION 2. The parties shall construct, or cause to be constructed, the following items of <br />work: <br /> <br />2.1 WORK BY THE COMPANY. The COMPANY shall furnish, or cause to be furnished, <br />all of the labor, materials and work equipment required to perform and complete the following <br />work (the “COMPANY Work”): <br /> <br />a. The removal of the existing grade crossing surface. <br />b. The preparation of the track structure. <br />c. The installation of concrete crossing material. <br />d.
