NORDSTROM <br />RELATING TO PROPERTY AT 3071 PAYNE AVENUE <br />FOR THUNDER BAY TRAIL EXTENSION PROJECT <br /> <br /> THIS EASEMENT CONVEYANCE AGREEMENT ("Agreement") is made, entered <br />into and effective as of the ____ day of ________________, 2023 ("Agreement Date"), by and <br />between the City of Little Canada, a Minnesota municipal corporation (the "City") and Scott W. <br />Nordstrom and Julie K. Nordstrom, husband and wife (the "Owner"). <br /> <br /> WITNESSETH: <br /> <br /> WHEREAS, the Owner owns the tax parcel identified on the attached Exhibit No. 1 (the <br />Real Property). The tax parcel is located at 3071 Payne Avenue, Little Canada, MN 55117 in <br />Ramsey County, Minnesota. <br /> <br /> WHEREAS, the Owner is willing to provide the City with an Easement Conveyance <br />(pursuant to a Permanent Trail Easement in the form attached hereto as Exhibit No. 2) in exchange <br />for the total sum of $15,603 (Easement Payment). <br /> <br /> WHEREAS, the City proposes install a berm and landscaping to provide screening. <br /> <br /> WHEREAS, the Owner will retain ownership and maintenance responsibilities of the berm <br />and screening. <br /> <br /> NOW, THEREFORE, in consideration of the mutual promises and covenants of each to <br />the other contained in this Agreement and other good and valuable consideration, receipt of which is <br />hereby acknowledged, the parties hereto do covenant and agree as follows: <br /> <br /> ARTICLE 1 <br /> DEFINITIONS <br /> <br /> 1.1 DEFINITIONS. The following are terms used in this Agreement. Their meanings <br />as used in this Agreement shall be expressly indicated below, unless the context of this Agreement <br />requires otherwise: <br />
