(a) Agreement. This agreement for an easement conveyance. (b) Agreement Date. The date written in the first paragraph of the Agreement. (c) Real Property. The tax parcel identified on the attached Exhibit No. 1. (d) City. The City of Little Canada, a Minnesota municipal corporation. (e) Easement Conveyance. The Owner’s execution and delivery of the Permanent Trail Easement to the City in the form attached hereto as Exhibit No. 2. (f) Easement Payment. Easement Payment means the total sum of $15,603. (g) Owner. Scott W. Nordstrom and Julie K. Nordstrom, husband and wife, their heirs, successors, and assigns. (h) Project. Thunder Bay Trail Extension Project ARTICLE 2 COVENANTS AND AGREEMENTS 2.1 COVENANTS AND AGREEMENTS OF THE OWNER. The Owner covenants and agrees with the City that: (a) Easement Conveyance. Owner, in consideration of Easement Payment and other good and valuable consideration, does hereby agree to grant and convey to the City, its successors and assigns, forever, a permanent easement for trail purposes pursuant to the Permanent Trail Easement attached hereto as Exhibit No. 2. The Easement Conveyance shall be executed by the Owner and delivered to the City within ten days after request by the City. 2.2 COVENANTS AND AGREEMENTS OF THE CITY. The City covenants and agrees with the Owner that: (a) Payment of Easement Payment. In consideration of the covenants and agreements of the Owner, the City agrees the City shall pay the Easement Payment upon final execution and recording of the Trail Easement by the City. ARTICLE 3 GENERAL PROVISIONS 3.1 NOTICES. All notices, requests, demands or other communications required or permitted by this Agreement shall be in writing and delivery shall be deemed to be sufficient if delivered personally or by registered or certified mail, return receipt accepted, postage prepaid, addressed as follows:
