<br />1 <br /> <br />LICENSE AGREEMENT <br /> <br />THIS LICENSE AGREEMENT (the “Agreement”) dated this <br />_______________________________, 2024 is by and between NORTHERN STATES <br />POWER COMPANY, a Minnesota corporation, an address of 414 Nicollet Mall, Minneapolis, <br />Minnesota 55401 (hereinafter referred to as “NSP”) and the City of Little Canada, a <br /> corporation, having an address of (“Licensee”). <br /> <br />WITNESSETH <br /> <br />WHEREAS, NSP is the fee owner of certain real property located in Section_______ <br />Township_______ , ________ County, MN more commonly known as ____________________; <br />and <br /> <br />WHEREAS, Licensee desires access to and use of the above described Property shown <br />and described in Exhibit A attached hereto and incorporated herein by reference (the “Licensed <br />Property”), for various activities as described below; and <br /> <br />WHEREAS, NSP is willing to allow Licensee the use of the Licensed Property on a non- <br />exclusive basis, subject to the terms and conditions of this Agreement. <br /> <br />WHEREAS, NSP and Licensee agree to convey and transfer the Licensed Property (PID <br />052922210009, 052922120131, 052922120051) and other fee owned property owned by NSP in the <br />general area (PID 052922110010, 052922110032 ) to Licensee by a separate agreement. <br /> <br /> <br />NOW, THEREFORE, in consideration of the mutual covenants and obligations set forth <br />herein, NSP and Licensee agree as follows: <br /> <br />1. Grant of Right of Entry. NSP hereby grants to Licensee the non-exclusive right to enter <br />upon and use the Licensed Property. Such right of entry is granted only during the time <br />periods listed in this Agreement as set forth in Section 2 below, and only for the purposes <br />set forth in Section 3 below. <br /> <br />2. Term and Fees. The original term of this Agreement shall commence on 03/1/2023 until <br />terminated. NSP may terminate this Agreement for any reason or no reason by providing <br />Licensee with either verbal or written notice. Notwithstanding the foregoing this <br />Agreement shall automatically terminate upon the sale and transfer of the Licensed <br />Property from NSP to Licensee. <br /> <br />3. Allowed Uses/Restrictions. <br /> <br />Use of Property: <br /> <br />(a) Licensee shall use the Licensed Property for the purpose of the Thunder Bay Trail <br />Extension.
