CITY OF LITTLE CANADA <br />LEGAL SERVICES AGREEMENT <br />This Legal Services Agreement (“Agreement”) made this 14 day of August, 2024, by and between <br />the City of Little Canada (“City”), a Minnesota municipal corporation, and LeVander, Gillen & <br />Miller, P.A. (“LeVander”), a Minnesota professional association. <br />RECITALS <br />A.The City has selected LeVander to serve as the law firm to provide civil legal <br />representation for civil legal matters. <br />B.The City and LeVander desire to memorialize their understanding in this Agreement <br />regarding the scope of work and fee arrangements for the civil legal representation. <br />I. DEFINITIONS <br />A.“General Matters” General Matters include appearance at City Council meetings, <br />planning commission meetings, and special meetings, legal opinions, research, ordinance <br />drafting, telephone conferences, personal conferences, correspondence and general civil <br />legal work. <br />B.“Special Matters” include all development-related work where the City is reimbursed <br />for its planning and legal fees by a developer, landowner, or other third party. These <br />projects typically involve an escrow that is provided by a developer or applicant prior <br />to the initiation of work and the costs of legal services are recovered from the escrow, <br />so there is no out-of-pocket expense for the City. This category also includes public <br />improvement project related work, including pre-condemnation matters, easement or <br />real property acquisition or sale matters; eminent domain matters; or other real property <br />sale and title clearance matters. This category also includes any litigation initiated by <br />the City or third parties, such as civil nuisance actions, assessment appeals, and real <br />property litigation matters not covered by the City’s insurance through the League of <br />Minnesota Cities Insurance Trust. <br />II. TERM <br />This Agreement shall be through August 31, 2027. Either party may terminate this <br />Agreement upon sixty (60) days written notice to the other. <br />III. SERVICES PROVIDED <br />LeVander shall provide civil legal representation on behalf of the City during the term of <br />this Agreement. Amanda Johnson will be the principal responsible attorney for all matters. <br />Any of the shareholders, associates, legal assistants or staff will also be available.
