For any work authorized by the Client, documented in writing, w�ith Is beyond that described in this Agreement, such work shall not be included as part of the moximum dollar licit stbted in paragraph 2 on the previous page, but shall be compensated at esta6lilshed billing rates as described in the attached Standard Rate Schedule with materials and expenses charged at cost plus 15 % to defray processing. G. TERMINATION 1. This egreernent ;ray be terminated by either party delivering to the other pony written notice of termination in which ease this agreement shall be deemed terminated as of 9:00 a.m. on the thirtieth (30th) day following receipt of said written notice (termination data). 2. In the event of termination by the Client, the Client shall poy the Consultant for work completed after the termination date on a time plus materials bosfs, Such payment to be mode within thirty (30) days after receipt by Client of a final involve showing work completed. All materials shall be retained by the Consultant until all payments due ' from Client have been received by the Consultant. 3, In the event of termination by the Consultant, the Consultant shall forward to the Client on or prior to the termination date any unearned fees or retainers held by the Consultant. All materials held by the Consultant shall be returned to the Client within thirty (30) days of termination date. t 1. This contract shal l be subject to annual renewal on a cal9nder year basis. Failure to renew this agreement on the port of the Client shall result In application and imposition of Section G of this Agreement. I. RENEGOTIATION In crd-er for this document to become a contract between Consultant and Client, Client must sign and return said document to Consultant w;thin forty-five (45) days of the date oppeoring at the top of Page One hereof. Failure of Client to sign and return this docunvnt to Consultant within said forty-five (45) days shall entitle Consultant at its option to renegotiate the terms hereof.
