1-727665.v2 <br />PROFESSIONAL SERVICES AGREEMENT <br />PROJECT-SPECIFIC BUILDING INSPECTION AND PLAN REVIEW <br /> <br /> This Professional Services Agreement (the “Agreement”) is made and entered into this ___ <br />day of _______________ 2024 by and between Inspectron Inc., a Minnesota business corporation <br />with its principal place of business located 15120 Chippendale Ave., Rosemount, MN 55068 <br />(“Inspectron”), and the City of Little Canada located at 515 Little Canada Road E, Little Canada MN <br />55117 . <br /> <br /> WHEREAS, City of Little Canada has enacted the Minnesota Building Code (the “Code”); <br /> <br /> WHEREAS, although City of Little Canada has its own department which administers and <br />enforces the Code, City of Little Canada desires to hire Inspectron to temporarily assist with certain <br />building code administration tasks related to Building Inspection Services (the “Project”); <br /> <br /> WHEREAS, the specific Project-related building inspection services are more fully <br />described in Inspectron’s proposal attached hereto as Exhibit A (collectively, the “Services”); and <br /> <br /> WHEREAS, Inspectron and its employees are duly licensed to provide such Services to City <br />of Little Canada; <br /> <br /> WHEREAS, the parties desire for Inspectron to provide such Services to City of Little <br />Canada pursuant to the terms and conditions contained in this Agreement. <br /> <br /> NOW THEREFORE, upon adequate consideration, the receipt and sufficiency of which is <br />acknowledged, the parties hereto agree as follows: <br /> <br />1. Services. Inspectron agrees to provide to City of Little Canada the Services that are specified in <br />Exhibit A attached hereto, and said exhibit is made part of this Agreement as if fully set forth <br />herein. Such Services will be provided to City of Little Canada on an as-needed basis and as <br />requested by City of Little Canada during the term of this Agreement. City of Little Canada <br />agrees to provide Inspectron with access to pertinent information, records, systems and data, as <br />determined reasonably necessary to perform the Services, in the discretion of Inspectron. City of <br />Little Canada shall also provide all required forms. <br /> <br />Inspectron shall perform the Services under this Agreement at such location and at such times as <br />Inspectron deems appropriate while providing if Inspectron is able to accomidate, although there <br />is no guarantee that Inspectron will perform any minimum amount of work or Services under this <br />Agreement. Inspectron shall provide all tools, transportation, and communication devices it <br />deems necessary to carry out the field services of this Agreement. Inspectron agrees to proceed <br />diligently, in a timely fashion, and in accordance with its usual course and manner of business. <br />Inspectron agrees to perform additional services that do not fall within the scope of Services <br />identified on Exhibit A only upon written request from City of Little Canada and to the extent that <br />the parties may mutually agree, and said agreed-upon services shall be performed under the terms <br />and conditions of this Agreement. <br />
