<br /> <br />CONTRACT FOR EXECUTIVE SEARCH SERVICES <br />THIS AGREEMENT is made and entered into as of this ___ day of __________, 2025, by and between the <br />City of Little Canada, a municipal corporation located in Minnesota (hereinafter referred to as "City"), <br />and HueLife, a consulting firm with offices at 5775 Wayzata Blvd #700, St. Louis Park, MN 55416 <br />(hereinafter referred to as "Consultant"). <br />1. Scope of Services: The consultant shall provide executive search services to assist the City in the <br />recruitment and hiring process for a City Administrator. Consultant's responsibilities shall include, but <br />not be limited to, the following: <br />• Development of a position profile <br />• Recruitment and screening of candidates <br />• Coordination of interviews and final selection <br />• Assistance with contract negotiations <br />• Onboarding support as requested <br />2. Compensation: The City agrees to compensate the Consultant as follows: <br />• Phase I: Develop Position Profile - $6,000 <br />• Phase II: Recruit and Screen Candidates - $7,000 <br />• Phase III: Interviews and Closing - $5,500 <br />• Expenses (advertising, materials, travel, etc.) - Not to exceed $4,000 <br />The base fee for phases I, II, & III of the executive search process is $18,500. The total contract amount <br />shall not exceed $22,500, including expenses unless agreed upon in writing by both parties. <br />3. Timeline: The Consultant shall complete the executive search process within approximately 3 to 3.5 <br />months, subject to City availability and candidate notice periods. <br />4. Payment Terms: Payments shall be made in accordance with the following schedule: <br />• 50% of the total contract amount upon commencement of services ($9,250) <br />• 25% upon completion of Phase II ($4,625) <br />• 25% upon completion of Phase III ($4,625 + Expenses) <br />• Reimbursement for expenses upon submission of itemized invoices
