3. Brim-down Cet•tificate. 1'he Bring-down Certii9cate dated the Closing <br /> Date, signed by Seller, certifying that the representations and warranties of <br /> Seller contained in this Agreement are true as of tha Closing and <br /> acknowledging that Seller's warranties survive Closing. <br /> 4. Seller's Affidavit. An Affidavit by Seller indicating that on the Closing <br /> Bate there are no outstanding, unsatisfied judgments, tax liens, or <br /> bankruptcies against or involving Seller or the Real estate; that there has <br /> been no skill, labor or material furnished to Clre T2eal Lstate Poe which <br /> payment has not been made or for which mechanic's Liens could be 1`tled <br /> except for such woz•Ic that may have been performed at the request of <br /> Buyer; and that there aro no other unrecorded interests in the Real Lstate, <br /> together with whatever standard owner's affidavit and/or indemnity which <br /> may be required by the 'Title Company to issue an owner's policy of "title <br /> Insurance to Buyer with the "standard" exceptions for matters arising after <br /> the effective date of the ConunitmenC, mechanic's lien claims, questions of <br /> survey, umrecorded interests, rights of parties in possession or other <br /> exceptions. <br /> 5. Anon-foreign affidavit, properly executed and in <br /> recordable form containing such ini'ormatiion as is required by iltC Section <br /> 1445 and its regulations. <br /> 6, 1125 Form. A DesignaCion Agreement designating the "reporting person" <br /> for purposes oi' completing Internal Revenue Form 1099 and, if <br /> applicable, hlternal Revenue Form 8594. <br /> 7. \tVell Certitrcate. A certificate signed by Seller warranting that there are <br /> no "wells" on the Real 1=state wii9iin the meaning of Minnesota Statute <br /> Chapter 1031 that have not been removed or sealed or if there are "wells", <br /> a well certificate in the form required by law. <br /> 8. Storage Tanlcs. If: the Rcal Lstate contains or contained any storage <br /> tanks, an affidavit with respect thereto, as required by Minnesota Statutes <br /> § 116.48, <br /> 9. Leasehold interest.
